Software License Agreement

This Agreement provides the usage of software (“Software”) included in LLS-201 (“Product”), and is made and entered by and between the purchaser (“User”) and Sony Corporation (“Sony”). Use of open source software or third party software included with the Software is subject to additional terms and conditions set forth in the “LLS-201 License Information” in the “PCS Manager” (distributed for Android/iOS) which is the control application for the Product.

Article 1 (License)

Subject to the terms and conditions herein, Sony grants the User a non-exclusive and non-transferable license to use the Software.

Article 2 (Right of use)

1. The right to use the Software granted to the User under this Agreement is limited to the right to use the Software on the Product solely for the purpose to use the Product owned by the User.

2. The User shall not copy, duplicate or amend, either by modification or addition, in whole or in part the Software or associated documentation.

3. Use of the Software by the User is subject to the terms and conditions set forth herein. The User may not distribute the Software to third parties for any purpose.

4. The User shall not use any part or all of the Software to utilize or copy data in a way that violates the provision of copyright laws and other applicable laws. The User shall not allow any third party to use any part or all of the Software by way of sublicense, rental, lease or any other means.

Article 3 (Conditions of license)

1. The User may transfer all of his or her rights under this Agreement only as part of a sale or transfer of all the Software (including all copies, component parts, the media and printed materials, all versions and any upgrades thereof) together with the Product; provided that, the User retains no copies of the Software, and shall cause the recipient of such Product and the Software to agrees to abide by the terms and conditions of this Agreement.

2. The User shall not carry out an act of source code analysis, such as reverse-assembly or reverse-compilation on the Software.

Article 4 (Intellectual property rights in the Software)

All intellectual property rights in the Software and associated documentation shall remain the property of Sony, and Sony shall grant the User no rights other than the right to use the Software and associated documentation granted to the User under this Agreement.

Article 5 (No Warranty)

THE SOFTWARE IS FURNISHED TO THE USER “AS IS” WITHOUT WARRANTY OF ANY KIND. SONY DOES NOT WARRANT THAT THE SOFTWARE WILL MEET THE USER’S REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE. SONY DISCLAIMS AND EXCLUDES ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR ANY WARRANTY WITH REGARD TO ANY CLAIM OF INFRINGEMENT.

Article 6 (Disclaimer)

THE SOFTWARE IS FURNISHED TO USER FOR USE AT THE USER’S OWN RISK. SONY WILL NOT BE LIABLE, AND THE USER WILL HAVE NO REMEDY FOR DAMAGES FOR ANY CLAIM OF ANY KIND WHATSOEVER, CONCERNING THE USER’S USE OF THE SOFTWARE, REGARDLESS OF LEGAL THEORY, AND WHETHER ARISING IN TORT OR CONTRACT. IN NO EVENT WILL SONY BE LIABLE TO THE USER FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, COMPENSATION, REIMBURSEMENT OR DAMAGES ON ACCOUNT OF THE LOSS OF PRESENT OR PROSPECTIVE PROFITS, LOSS OF DATA, OR FOR ANY OTHER REASON WHATSOEVER FOR AND WITH RESPECT TO THE SOFTWARE.

Article 7 (Third party’s claim)

In the event that a dispute occurs between the User and any third party in connection with infringement of intellectual property rights arising out of the use of the Software, the User shall be liable for settlement of such dispute and shall not make any claim against Sony in connection with such dispute.

Article 8 (Updates)

From time to time, Sony may provide updates, upgrades or services to the Software. Some services may be provided automatically without notice when you are online, and others may be available to you through Sony's online network or authorized channels. Some services may change your current settings, cause a loss of data or content, or cause some loss of functionality. It is recommended that you regularly back up any data on the hard disk that is of a type that can be backed up.

Article 9 (Confidentiality)

The User shall preserve the confidentiality of (i) information related to the Software and associated documentation provided under this Agreement and those not publicly available, and (ii) the content of this Agreement, and shall not reveal or divulge such information and content to a third party without the permission of Sony.

Article 10 (Termination)

1. In the event that the User fails to comply with this Agreement, Sony may terminate this Agreement immediately at any time by giving written notice, and the User shall be liable to Sony for damages arising from such breach.

2. If this Agreement is terminated as specified above, the User shall, within two (2) weeks from the date of the termination, destroy the Software and associated documentation, and shall furnish Sony with a written declaration to the effect that this has been done.

Article 11 (Consent to Use of Non-personal Information, Location Data, Data Security)

You agree that Sony and its affiliates, partners and agents may read, collect, transfer, process and store certain information from the Product and the Software, including but not limited to information about the Product, the Software and the software applications and peripheral devices that interact with the Product and the Software (“Information”). Information includes, but is not limited to: (1) unique identifiers relating to your Product and its components; (2) performance of the Product, the Software and their components; (3) configurations of your Product, the Software and the software applications and peripheral products that interact with the Product and the Software; (4) use and frequency of use of the functions of the Product, the Software, and the software applications and peripheral devices that interact with the Product and the Software; and (5) location data, as indicated below. Sony and its affiliates, partners and agents may use and disclose Information subject to applicable laws in order to improve its products and services or to provide products or services to you. Such uses include, but are not limited to: (1) administering the functionalities of the Product and the Software to improve, service, update or upgrade the Product or the Software; (2) improving, developing and enhancing the current and future products and services of Sony and other parties; (3) with your consent, to provide you with information about the products and services offered by Sony and other parties; (4) complying with applicable laws or regulations; and (5) providing you with location-based services of Sony and other parties, as indicated below. In addition, Sony retains the right to use Information to protect itself and third parties from illegal, criminal or harmful conduct.

Certain services available through the Product, including but not limited to Internet connectivity, may rely upon location information, including the real-time geographic location of the Product. You acknowledge that for the purpose of providing such services, Sony, Third Party Licensors or their partners may collect, archive, process and use such location data, and that such services are governed by the privacy policies of Sony or such third party.

Sony, its affiliates, partners and agents will not intentionally use Information to personally identify the owner or the user of the Product without your further consent. Sony’s current privacy policy is located at www.sony.com/selprivacy. Please contact applicable third parties for privacy policies relating to personally identifiable and other information you provide when you use or access third party software or services.

Information may be processed, stored or transferred to Sony, its affiliates or agents which are located in countries outside of your country of residence. Data protection and information privacy laws in certain countries may not offer the same level of protection as your country of residence and you may have fewer legal rights in relation to Information processed and stored in, or transferred to, such countries. Sony will use reasonable endeavors to take appropriate technical and organizational steps to prevent unauthorized access to or disclosure of Information, but does not warranty it will eliminate all risk of misuse of such Information.

Article 12 (Miscellaneous)

1. This Agreement and any dispute related to or arising out of this Agreement shall be governed in all respects by the laws of Japan, without reference to any choice or conflict of laws principles.

2. The provisions of Articles 4 to 12 shall survive any expiration or termination of this Agreement.

3. If any part of this Agreement is found by competent judicial authority to be invalid or unenforceable, the remainder of the terms of this Agreement shall continue in effect.

4. Matters not specified under this Agreement and disputes arising over the interpretation of this Agreement shall be resolved through good-faith discussion by Sony and the User.

Le présent Accord prévoit l’utilisation du logiciel (« Logiciel ») inclus dans le LLS-201 (« Produit ») et est établi et conclu par et entre l’acheteur (« Utilisateur ») et Sony Corporation (« Sony »). L’utilisation de logiciels libres ou de logiciels de tiers fournis avec le Logiciel est soumise à des conditions générales supplémentaires stipulées dans la « Licence d’information du LLS-201 » utilisée pour le « PCS Manager » (distribué pour Android/iOS), qui est l’application de contrôle du Produit.

Article 1 (Licence)

Sous réserve des conditions générales du présent document, Sony accorde à l’Utilisateur une licence non exclusive et non cessible pour utiliser le Logiciel.

Article 2 (Droit d’utilisation)

1. Le droit d’utilisation du Logiciel accordé à l’Utilisateur aux termes du présent Accord se limite au droit d’utilisation du Logiciel sur le Produit uniquement aux fins d’utiliser le Produit dont l’Utilisateur est propriétaire.

2. L’Utilisateur n’est pas autorisé à copier, dupliquer ou changer, par modification ou par ajout, en intégralité ou en partie le Logiciel et la documentation associée.

3. L’utilisation du Logiciel par l’Utilisateur est soumise aux conditions générales stipulées dans le présent document. L’Utilisateur ne peut pas distribuer le Logiciel à des tiers pour quelque motif que ce soit.

4. L’Utilisateur n’est pas autorisé à utiliser une quelconque partie ou l’intégralité du Logiciel pour utiliser ou copier des données d’une manière qui viole les dispositions des lois sur les droits d’auteur et d’autres lois applicables. L’Utilisateur n’autorisera aucun tiers à utiliser une quelconque partie ou l’intégralité du Logiciel par le biais de souslicence, location ou tout autre moyen.

Article 3 (Conditions de licence)

1. L’Utilisateur peut céder l’intégralité de ses droits aux termes du présent Accord uniquement dans le cadre d’une vente ou d’une cession de l’ensemble du Logiciel (y compris toutes les copies, les composantes, les supports et les documents imprimés, toutes les versions et mises à niveaux de celles-ci) avec le Produit ; sous réserve que l’Utilisateur ne conserve aucune copie du Logiciel et fasse en sorte que le destinataire de ce Produit et du Logiciel accepte de respecter les conditions générales du présent Accord.

2. L’Utilisateur ne se livrera pas à une analyse des codes sources, telle que la rétroconception ou la décompilation du Logiciel.

Article 4 (Droits de propriété intellectuelle dans le Logiciel)

Tous les droits de propriété intellectuelle sur le Logiciel et la documentation associée restent la propriété de Sony et Sony n’accorde à l’Utilisateur aucun autre droit que celui d’utiliser le Logiciel et la documentation associée, accordé à l’Utilisateur aux termes du présent Accord.

Article 5 (Clause de non-garantie)

LE LOGICIEL EST FOURNI À L’UTILISATEUR « EN L’ÉTAT » SANS GARANTIE D’AUCUNE SORTE. SONY NE GARANTIT PAS QUE LE LOGICIEL CORRESPONDRA AUX BESOINS DE L’UTILISATEUR OU QUE LE FONCTIONNEMENT DU LOGICIEL NE SERA PAS INTERROMPU OU QU’IL SERA SANS ERREUR. SONY RÉFUTE ET EXCLUT TOUTE GARANTIE, EXPLICITE OU IMPLICITE, CONCERNANT LE LOGICIEL, Y COMPRIS ET SANS S’Y LIMITER, TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE, D’ADAPTATION À UN OBJECTIF PARTICULIER ET/OU TOUTE GARANTIE CONCERNANT TOUTE ALLÉGATION DE VIOLATION.

Article 6 (Clause de non-responsabilité)

LE LOGICIEL EST FOURNI À L’UTILISATEUR POUR UTILISATION AUX SEULS RISQUES DE L’UTILISATEUR. SONY NE SERA PAS TENU RESPONSABLE, ET L’UTILISATEUR NE POURRA EXERCER AUCUN RECOURS EN CAS DE DOMMAGES POUR TOUTE RÉCLAMATION QUELLE QU’ELLE SOIT, CONCERNANT L’UTILISATION DU LOGICIEL PAR L’UTILISATEUR, INDÉPENDAMMENT DU PRINCIPE DE DROIT ET DÉCOULANT D’UNE FAUTE DÉLICTUELLE OU CONTRACTUELLE. SONY NE POURRA EN AUCUN CAS ÊTRE TENU POUR RESPONSABLE ENVERS L’UTILISATEUR DES DOMMAGES PARTICULIERS, INDIRECTS, ACCESSOIRES OU CONSÉCUTIFS QUELS QU’ILS SOIENT, Y COMPRIS ET SANS S’Y LIMITER, LES INDEMNITÉS, REMBOURSEMENTS OU DOMMAGES-INTÉRÊTS EN RAISON DE LA PERTE DE BÉNÉFICES ACTUELS OU POTENTIELS, DE LA PERTE DE DONNÉES OU DE TOUT AUTRE MOTIF QUEL QU’IL SOIT POUR ET CONCERNANT LE LOGICIEL.

Article 7 (Réclamation de tiers)

En cas de litige entre l’Utilisateur et tout tiers relatif à la violation des droits de propriété intellectuelle découlant de l’utilisation du Logiciel, l’Utilisateur est tenu de régler ce litige à ses propres frais et sous sa seule responsabilité, et ne doit faire aucune réclamation à l’encontre de Sony concernant ce litige.

Article 8 (Mises à jour)

De temps en temps, Sony peut procéder à des mises à jour, des mises à niveaux ou des maintenances du Logiciel. Certains de ces services peuvent être effectués automatiquement sans préavis lorsque vous êtes en ligne et d’autres peuvent être mises à votre disposition par l’intermédiaire du réseau en ligne de Sony ou de canaux autorisés. Certains de ces services peuvent modifier vos paramètres actuels, entraîner une perte de données ou de contenu, ou entraîner une perte de fonctionnalité. Il est recommandé de régulièrement sauvegarder vos données sur le disque dur d’un type pouvant être sauvegardé.

Article 9 (Confidentialité)

L’Utilisateur doit préserver la confidentialité (i) des informations relatives au Logiciel et à la documentation associée fournies aux termes du présent Accord et de celles qui ne sont pas accessibles au public et (ii) du contenu du présent Accord, et n’est pas autorisé à révéler ou à divulguer ces informations et ce contenu à un tiers sans l’autorisation de Sony.

Article 10 (Résiliation)

1. Si l’Utilisateur ne respecte pas le présent Accord, Sony peut résilier le présent Accord immédiatement à tout moment par notification écrite et l’Utilisateur sera tenu pour responsable envers Sony de tout dommage découlant de ce manquement.

2. Si le présent Accord est résilié tel qu’indiqué ci-dessus, l’Utilisateur devra, dans les deux (2) semaines suivant la date de la résiliation, détruire le Logiciel et la documentation associée, et devra fournir à Sony une déclaration écrite indiquant que cela a été fait.

Article 11 (Autorisation pour utiliser des informations non personnelles, des données de localisation, la sécurité des données)

Vous acceptez que Sony et ses filiales, partenaires et agents puissent lire, collecter, transférer, traiter et stocker certaines informations du Produit et du Logiciel, y compris, sans toutefois s’y limiter, les informations sur le Produit, le Logiciel ainsi que les applications logicielles et les appareils périphériques qui interagissent avec le Produit et le Logiciel (les « Informations »). Les informations comprennent, sans toutefois s’y limiter : (1) les identifiants uniques concernant votre Produit et ses composants ; (2) les performances du Produit, du Logiciel et de leurs composants ; (3) les configurations de votre Produit, du Logiciel ainsi que des applications logicielles et des produits périphériques qui interagissent avec le Produit et le Logiciel ; (4) l’utilisation et la fréquence d’utilisation des fonctions du Produit, du Logiciel ainsi que des applications logicielles et des produits périphériques qui interagissent avec le Produit et le Logiciel ; et (5) vous fournir des services de localisation de la part de Sony ou d’autres parties, tels qu’indiqués ci-après. Sony et ses filiales, partenaires et agents peuvent utiliser et divulguer les Informations sous réserve des lois applicables afin d’améliorer leurs produits et services ou de vous fournir des produits ou services. Ces utilisations comprennent, sans toutefois s’y limiter : (1) administrer les fonctionnalités du Produit et du Logiciel afin d’améliorer, d’assurer l’entretien, de mettre à jour ou de mettre à niveau le Produit ou le Logiciel ; (2) améliorer, développer et renforcer les produits et services actuels et futurs de Sony et d’autres parties ; (3) avec votre autorisation, vous fournir des informations sur les produits et services proposés par Sony et d’autres parties ; (4) se conformer aux lois et règlementations applicables ; et (5) vous fournir des services de Sony et d’autres parties en fonction de votre localisation, tels qu’indiqués ci-après. De plus, Sony se réserve le droit d’utiliser les Informations pour se protéger et protéger les tiers de tout comportement illégal, criminel ou préjudiciable.

Certains services disponibles par le biais du Produit, y compris, sans toutefois s’y limiter, la connectivité Internet, peuvent s’appuyer sur des informations de localisation, y compris la localisation géographique en temps réel du Produit. Vous reconnaissez qu’afin de fournir ces services, Sony, les Donneurs de licence tiers ou leurs partenaires peuvent collecter, archiver, traiter et utiliser ces données de localisation et que ces services sont régis par les politiques de confidentialité de Sony ou de ce tiers.

Sony, ses filiales, partenaires et agents n’utiliseront pas intentionnellement des Informations pour identifier personnellement le propriétaire ou l’utilisateur du Produit sans votre autorisation. La politique de confidentialité actuelle de Sony est disponible à l’adresse www.sony.com/selprivacy. Veuillez contacter les tiers concernés pour les politiques de confidentialité relatives aux informations identifiables personnellement ou autres que vous fournissez lors de l’utilisation ou de l’accès à des logiciels ou services de tiers.

Les Informations peuvent être traitées, stockées ou transférées à Sony, ses filiales ou agents qui se trouvent dans des pays autres que votre pays de résidence. Les lois relatives à la protection des données et aux politiques de confidentialité dans certains pays peuvent ne pas offrir le même niveau de protection que celles de votre pays de résidence et il se peut que vous ayez moins de droits légaux concernant les Informations traitées et stockées dans ces pays ou transférées vers ceux-ci. Sony fera son possible pour prendre les mesures techniques et organisationnelles appropriées afin d’empêcher l’accès aux Informations ou leur divulgation non autorisés, mais ne garantit pas qu’elle éliminera tous les risques d’emploi incorrect de ces Informations.

Article 12 (Dispositions diverses)

1. Le présent Accord et tout litige relatif au présent Accord ou en découlant seront régis à tous égards par la législation japonaise, sans référence à tout choix de droit ou aux principes relatifs aux conflits de lois.

2. Les dispositions des Articles 4 à 11 survivront à toute expiration ou résiliation du présent Accord.

3. S’il est constaté par une autorité judiciaire compétente qu’une partie du présent Accord est non valable ou inapplicable, le reste des conditions du présent Accord reste en vigueur.

4. Ce qui n’est pas prévu aux termes du présent Accord et les litiges portant sur l’interprétation du présent Accord seront

résolus par des discussions de bonne foi entre Sony et l’Utilisateur.
