The model and serial numbers are located on the bottom of the Wireless Speaker. Record the serial numbers in the space provided below. Refer to them whenever you call upon your Sony dealer regarding this product.

Do not install the Wireless Speaker in a confined space, such as a bookcase or built-in cabinet.

Do not place this product close to medical devices

This product (including accessories) has magnet(s) which may interfere with pacemakers, programmable shunt valves for hydrocephalus treatment, or other medical devices. Do not place this product close to persons who use such medical devices. Consult your doctor before using this product if you use any such medical device.

WARNING

To reduce the risk of fire or electric shock, do not expose this Wireless Speaker to rain or moisture.

The AC adapter is not disconnected from the mains as long as it is connected to the AC outlet, even if the Wireless Speaker itself has been turned off.

To reduce the risk of fire, do not cover the ventilation opening of the Wireless Speaker with newspapers, tablecloths, curtains, etc. Do not expose the Wireless Speaker to naked flame sources (for example, lighted candles).

To reduce the risk of fire or electric shock, do not expose this Wireless Speaker to dripping or splashing, and do not place objects filled with liquids, such as vases, on the Wireless Speaker.

As the main plug of AC power adapter is used to disconnect the AC power adapter from the mains, connect it to an easily accessible AC outlet. Should you notice an abnormality in it, disconnect it from the AC outlet immediately.

5.15 - 5.35 GHz band is restricted to indoor operations only.

Precautions

On safety

Should any solid object or liquid fall into the product, unplug it and have it checked by qualified personnel before operating it any further.

On power sources

• Before operating the product, check that the operating voltage is identical with your local power supply. The operating voltage is indicated on the nameplate on the bottom of the product.

• The product is not disconnected from the AC power source (mains) as long as it is connected to the wall outlet, even if the product itself has been turned off.

• If you are not going to use the product for a long time, be sure to disconnect it from the wall outlet. To disconnect the AC power cord, grasp the plug itself; never pull the cord.

On placement

• Do not set the product in an inclined position.

• Place the product in a location with adequate ventilation to prevent heat buildup and prolong the life of the product.

• Do not place the product near heat sources, or in a place subject to direct sunlight, excessive dust, or mechanical shock.

• Do not place anything on top of the product that might cause malfunctions.

• Use caution when placing the product on surfaces that have been specially treated (with wax, oil, polish, etc.) as staining or discoloration of the surface may result.

On operation

Before connecting other equipment, be sure to turn off and unplug the product.

About the Voice Guidance

The voice guidance can be heard from the product as follows.

On cleaning

Clean this product with a soft cloth slightly moistened with a mild detergent solution. Do not use any type of abrasive pads, scouring powder, or solvents, such as thinner, benzine, or alcohol.

Notes on the update

The software of this product will be automatically updated to the latest software while connected to the Internet via a Wi-Fi® network. The software update will be delivered from time to time when, for example, a new feature becomes available or the update is required for stable use. Such automatic software feature may not be disabled. Also, previous versions of the software cannot be retrievable. Do not turn off power of this product while updating. The product may not be operational while updating.

To use this product, a Wi-Fi environment and Google Account are necessary, as well as your consent to Google Terms of Use and/or Privacy Policy. By using this product, you agree to Sony’s EULA. Software for this product is automatically updated from time to time and you cannot choose or refuse to load such automatic software.

You agree to use the SOFTWARE only in compliance with all such laws and agreements that apply to such content. You acknowledge and agree that SONY may take appropriate measures to protect the copyright of content stored, processed or used by the SOFTWARE. Such measures include, but are not limited to, counting the frequency of your backup and restoration through certain SOFTWARE features, refusal to accept your request to enable restoration of data, and termination of this EULA in the event of your illegitimate use of the SOFTWARE.

CONTENT SERVICE

PLEASE ALSO NOTE THAT THE SOFTWARE MAY BE DESIGNED TO BE USED WITH CONTENT AVAILABLE THROUGH ONE OR MORE CONTENT SERVICES (“CONTENT SERVICE”). USE OF THE SERVICE AND THAT CONTENT IS SUBJECT TO THE TERMS OF SERVICE OF THAT CONTENT SERVICE. IF YOU DECLINE TO ACCEPT THOSE TERMS, YOUR USE OF THE SOFTWARE WILL BE LIMITED. You acknowledge and agree that access to certain SOFTWARE features may require an Internet connection for which you are solely responsible. Further, you are solely responsible for payment of any third party fees associated with your Internet connection, including but not limited to Internet service provider or airtime charges. Operation of the SOFTWARE may be limited or restricted depending on the capabilities, bandwidth or technical limitations of your Internet connection and service. The provision, quality and security of such Internet connectivity are the sole responsibility of the third party providing such service.

EXPORT AND OTHER REGULATIONS

You agree to comply with all export and re-export restrictions and regulations of the Department of Commerce and other United States agencies and authorities, and not to transfer, or authorize the transfer, of the SOFTWARE to a prohibited country or otherwise in violation of any such restrictions or regulations.

U.S. GOVERNMENT RESTRICTED RIGHTS

Use, duplication, or disclosure by the United States Government is subject to restriction as set forth in subparagraph (c) (1) and (2) of the Commercial Computer Software-Restricted Rights at 48 C.F.R. § 52.22719, as applicable. HIGH RISK ACTIVITIES

The SOFTWARE is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the SOFTWARE could lead to death, personal injury, or severe physical or environmental damage (“HIGH RISK ACTIVITIES”). SONY, each of the THIRD-PARTY SUPPLIERS, and each of their respective affiliates specifically disclaim any express or implied warranty, duty or condition of fitness for HIGH RISK ACTIVITIES.

EXCLUSION OF WARRANTY ON SOFTWARE

You acknowledge and agree that use of the SOFTWARE is at your sole risk and that you are responsible for use of the SOFTWARE. The SOFTWARE is provided “AS IS,” without warranty, duty or condition of any kind.

SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR UNDER ANY OTHER LEGAL THEORY RELATED TO THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES ARISING OUT OF LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE SOFTWARE OR ANY ASSOCIATED HARDWARE, DOWN TIME AND USER’S TIME, EVEN IF ANY OF THEM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, EACH AND ALL OF THEIR AGGREGATE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID FOR THIS DEVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

CONSENT TO USE OF CERTAIN INFORMATION, LOCATION DATA, DATA SECURITY

SONY and its affiliates, partners and agents may use your IP address to connect your DEVICE to the Internet for the purpose of SOFTWARE updates. You acknowledge and agree that THIRD PARTY SERVICE PROVIDERS may read, collect, transfer, process and store certain information collected from the SOFTWARE, including but not limited to

information about (i) the SOFTWARE and (ii) the software applications, contents and peripheral devices that interact with your DEVICE and the SOFTWARE (“Information”). Information includes, but is not limited to: (1) unique identifiers relating to your DEVICE and its components; (2) performance of the DEVICE, the SOFTWARE and their components; (3) configurations of your DEVICE, the SOFTWARE and the software applications, contents and peripheral devices that interact with the DEVICE and the SOFTWARE; (4) use and frequency of use of the functions of (x) the SOFTWARE, and (y) the software applications, contents and peripheral devices that interact with the SOFTWARE; and (5) location data, as indicated below. THIRD PARTY SERVICE PROVIDERS may use and disclose Information subject to applicable laws in order to improve their products and services or to provide products or services to you. Such uses include, but are not limited to: (a) administering the functionalities of the SOFTWARE; (b) to improve, service, update or upgrade the SOFTWARE; (c) improving, developing and enhancing the current and future products and services of THIRD PARTY SERVICE PROVIDERS and other parties; (d) to provide you with information about the products and services offered by THIRD PARTY SERVICE PROVIDERS and other parties; (e) complying with applicable laws or regulations; and (f) to the extent offered, providing you with location-based services of THIRD PARTY SERVICE PROVIDERS and other parties, as indicated below. In addition, THIRD PARTY SERVICE PROVIDERS may retain the right to use Information to protect itself and third parties from illegal, criminal or harmful conduct.

Certain services available through the SOFTWARE may rely upon location information, including, but not limited to, the geographic location of the DEVICE. You acknowledge that for the purpose of providing such services, the THIRD-PARTY SUPPLIERS, THIRD PARTY SERVICE PROVIDERS or their partners may collect, archive, process and use such location data, and that such services are governed by the privacy policies of such third party. By using any such services, you agree that you have reviewed the privacy policies applicable to such services and consent to such activities.

SONY, its affiliates, partners and agents will not intentionally use Information to personally identify the owner or user of the SOFTWARE without your knowledge or consent. Any use of Information will be in accordance with the privacy policies of SONY or such third party. SONY’s current privacy policy is located at: www.sony.com/selprivacy.

Please contact applicable third parties for privacy policies relating to personally identifiable and other information you provide when you use or access third party software or services.

Information may be processed, stored or transferred to SONY, its affiliates or agents which are located in countries outside of your country of residence. Data protection and information privacy laws in certain countries may not offer the same level of protection as your country of residence and you may have fewer legal rights in relation to Information processed and stored in, or transferred to, such countries. SONY will use reasonable efforts to take appropriate technical and organizational steps to prevent unauthorized access to or disclosure of Information, but does not warrant it will eliminate all risk of misuse of such Information.

AUTOMATIC UPDATE FEATURE

From time to time, SONY, the THIRD-PARTY SUPPLIERS or THIRD PARTY SERVICE PROVIDERS may automatically update or otherwise modify the SOFTWARE, including, but not limited to, for purposes of enhancement of security functions, error correction and improvement of functions, at such time as you interact this DEVICE with SONY’s or third parties’ servers, or otherwise. Such updates or modifications may delete or change the nature of features or other aspects of the SOFTWARE, including, but not limited to, functions you may rely upon. You acknowledge and agree that such activities may occur at SONY’s sole discretion and that SONY may condition continued use of the SOFTWARE upon your complete installation or acceptance of such update or modifications. Any updates/modifications shall be deemed to be, and shall constitute part of, the SOFTWARE for purposes of this EULA. By acceptance of this EULA, you consent to such update/modification.

ENTIRE AGREEMENT, WAIVER, SEVERABILITY

This EULA and SONY’s privacy policy, each as amended and modified from time to time, together constitute the entire agreement between you and SONY with respect to the SOFTWARE. The failure of SONY to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. If any part of this EULA is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to maintain the intent of this EULA, and the other parts will remain in full force and effect. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the SOFTWARE or this EULA. Furthermore, this EULA will not be governed or interpreted in any way by referring to any law based on the Uniform Computer Information Transactions Act (UCITA) or any other act derived from or related to UCITA.

BINDING ARBITRATION ANY “DISPUTE” THAT IS NOT RESOLVED THROUGH THE INFORMAL

NEGOTIATION PROCESS DESCRIBED HEREIN SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION. “DISPUTE” is defined

as any disagreement, cause of action, claim, controversy, or proceeding between you and any Sony entity related to or arising out of the SOFTWARE or this EULA. DISPUTE is to be given the broadest possible meaning that will be enforced. If a DISPUTE arises, you agree to first give notice to SONY by contacting Sony Electronics Inc. at 16530 Via Esprillo, MZ 1105, San Diego, CA 92127, Attn: Legal Department, and engaging in good faith negotiations to attempt to resolve any DISPUTE for at least 14 days, except that you or Sony (or any of its affiliates) may skip this informal negotiation procedure for DISPUTE enforcing, protecting, or concerning the validity of intellectual property rights.

ARBITRATION INSTRUCTIONS

To begin arbitration, either you or SONY must make a written demand to the other for arbitration. The arbitration will take place before a single arbitrator. It will be administered in keeping with the Expedited Procedures of the Commercial Arbitration Rules, and the Supplementary Proceedings

for Consumer-Related disputes when applicable (“Rules”) of the American Arbitration Association (“AAA”) in effect when the claim is filed. You may get a copy of AAA’s Rules by contacting AAA at (800) 778-7879 or visiting www. adr.org. The filing fees to begin and carry out arbitration will be shared between you and SONY, but in no event shall your fees ever exceed the amount allowable by the special rules for Consumers Disputes provided for by AAA, at which point SONY will cover all additional administrative fees and expenses. This does not prohibit the arbitrator from giving the winning party their fees and expenses of the arbitration when appropriate pursuant to the Rules. Unless you and SONY agree differently, the arbitration will take place in the county and state where you live, and applicable federal or state law shall govern the substance of any DISPUTE. The Federal Arbitration Act, 9 U.S.C. § 1, et seq., will govern the arbitration itself and not any state law on arbitration. The arbitrator’s decision will be binding and final, except for a limited right of appeal under the Federal Arbitration Act. The arbitrator may award declaratory or injunctive relief only in favor of the party seeking relief, and only to the extent necessary to provide relief warranted by that party’s individual claim. Any court with jurisdiction over the parties may enforce the arbitrator’s decision.

SMALL CLAIMS EXCEPTION

Despite the provisions set forth above, you have the right to litigate any DISPUTE in small claims court or other similar court of limited jurisdiction, to the extent the amount at issue does not exceed $15,000, and as long as such court has proper jurisdiction and all other requirements (including amount in controversy) are satisfied.

CLASS ACTION WAIVER YOU UNDERSTAND AND ACKNOWLEDGE THAT BY AGREEING TO

BINDING ARBITRATION, YOU ARE GIVING UP THE RIGHT TO LITIGATE (OR PARTICIPATE IN AS A PARTY OR CLASS MEMBER) ANY DISPUTES IN COURT BEFORE A JUDGE OR JURY. ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND BOTH PARTIES AGREE NOT TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, REPRESENTATIVE ACTION, CONSOLIDATED ACTION,

OR PRIVATE ATTORNEY GENERAL ACTION, UNLESS ALL PARTIES INVOLVED IN THE DISPUTE SPECIFICALLY AGREE TO DO SO IN WRITING FOLLOWING INITIATION OF THE ARBITRATION.

OPT-OUT INSTRUCTIONS

IF YOU DO NOT WISH TO BE BOUND BY THE BINDING ARBITRATION PROVISION AND/OR THE CLASS ACTION WAIVER ABOVE, THEN: (1) YOU MUST NOTIFY SONY IN WRITING WITHIN 30 DAYS OF THE DATE THAT YOU FIRST USE THE SOFTWARE OR AGREE TO THIS EULA, WHICHEVER OCCURS FIRST; (2) YOUR WRITTEN NOTIFICATION MUST BE MAILED TO Sony Electronics Inc., 16530 Via Esprillo, MZ 1105, San Diego CA 92127, Attn: LEGAL DEPARTMENT; AND (3) YOUR WRITTEN NOTIFICATION MUST INCLUDE: (A) YOUR NAME; (B) YOUR ADDRESS; (C) THE DATE YOU FIRST USED THE SOFTWARE OR AGREED TO THIS EULA; AND (D) A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH ANY SONY ENTITY THROUGH ARBITRATION AND/OR TO BE BOUND BY THE CLASS ACTION WAIVER.

REJECTING CHANGES MADE TO THE DISPUTE PROCEDURES

Despite anything to the contrary in this EULA, you may reject changes made to the binding arbitration provision and class action waiver if: (1) you’ve already begun authorized use of the SOFTWARE at the time the change was/is made; and (2) you mail written notice to the address in the immediately preceding paragraph within 30 days after the particular change was/is made. Should such a situation arise, you will still be bound by the DISPUTE procedures you previously agreed to and existing before the change you rejected was made.

MISCELLANEOUS

Any DISPUTE determined not subject to arbitration and not initiated in small claims court will be litigated by either party in a court of competent jurisdiction in either the superior court for the County of San Diego or in the United States District Court for the Southern District of California.

EQUITABLE REMEDIES

Notwithstanding anything contained in this EULA to the contrary, you acknowledge and agree that any violation of or non-compliance with this EULA by you will cause irreparable harm to SONY, for which monetary damages would be inadequate, and you consent to SONY obtaining any injunctive or equitable relief that SONY deems necessary or appropriate in such circumstances. SONY may also take any legal and technical remedies to prevent violation of and/or to enforce this EULA, including, but not limited to, immediate termination of your use of the SOFTWARE, if SONY believes in its sole discretion that you are violating or intend to violate this EULA. These remedies are in addition to any other remedies SONY may have at law, in equity or under contract.

TERMINATION

Without prejudice to any of its other rights, SONY may terminate this EULA if you fail to comply with any of its terms. In case of such termination, you must: (i) cease all use, and destroy any copies, of the SOFTWARE; (ii) comply with the requirements in the section below entitled “Your Account Responsibilities”.

AMENDMENT

SONY RESERVES THE RIGHT TO AMEND ANY OF THE TERMS OF THIS EULA AT ITS SOLE DISCRETION BY POSTING NOTICE ON A SONY DESIGNATED WEB SITE, BY EMAIL NOTIFICATION TO AN EMAIL ADDRESS PROVIDED BY YOU, BY PROVIDING NOTICE AS PART OF THE PROCESS IN WHICH YOU OBTAIN UPGRADES/UPDATES OR BY ANY OTHER LEGALLY RECOGNIZABLE FORM OF NOTICE. If you do not agree to the amendment, you should promptly contact SONY for instructions. Your continued use of the SOFTWARE after the effective date of any such notice shall be deemed your agreement to be bound by such amendment.

THIRD-PARTY BENEFICIARIES

Each THIRD-PARTY SUPPLIER is an express intended third-party beneficiary of, and shall have the right to enforce, each provision of this EULA with respect to the SOFTWARE of such party.

YOUR ACCOUNT RESPONSIBILITIES

Should you return your DEVICE to its place of purchase, sell or otherwise transfer your DEVICE, or if this EULA is terminated, you are responsible for and must delete any and all accounts you may have established on DEVICE or are accessible through this DEVICE. You are solely responsible for maintaining the confidentiality of any accounts you have with SONY or third parties and any usernames and passwords associated with your use of the DEVICE.

Le présent CLUF est un contrat conclu entre vous et Sony Electronics Inc. (ci-après «SONY»). Le présent CLUF régit vos droits et obligations eu égard au logiciel de SONY et/ou de ses concédants de licence tiers (y compris les sociétés affiliées de SONY) ainsi que leurs sociétés affiliées respectives (ci-après collectivement dénommés les «FOURNISSEURS TIERS») pour cet appareil («appareil audio de SONY, cet «APPAREIL»), ainsi qu’eu égard à toute mise à jour/mise à niveau fournie par SONY, à toute documentation imprimée, en ligne ou électronique relative à ce logiciel et à tous fichiers de données créés du fait de l’utilisation de ce logiciel (ci-après collectivement dénommés le «LOGICIEL»).

Nonobstant ce qui précède, tout logiciel compris dans le LOGICIEL auquel est associé un contrat de licence d’utilisateur final distinct (y compris, notamment, une Licence publique générale GNU ou une Licence publique générale limitée ou pour les bibliothèques) sera couvert par les dispositions du contrat de licence d’utilisateur final

distinct qui s’appliqueront en lieu et place des dispositions du présent CLUF dans la mesure précisée par ledit contrat de licence d’utilisateur final distinct (ci-après le «LOGICIEL EXCLU»).

LICENCE D’UTILISATION DU LOGICIEL

Le LOGICIEL est concédé sous licence, il n’est pas vendu. Le LOGICIEL est protégé par les lois relatives aux droits d’auteur et autres droits de propriété intellectuelle.

DROITS D’AUTEUR

Tous les droits et titres afférents au LOGICIEL et sur celui-ci (y compris, notamment, toute image, toute photographie, toute animation, toute vidéo, tout fichier audio, toute musique, tout texte et tout « applet » intégrés au LOGICIEL) sont détenus par SONY ou l’un ou plusieurs des FOURNISSEURS TIERS.

OCTROI DE LICENCE

SONY vous concède une licence limitée d’utilisation du LOGICIEL exclusivement avec cet APPAREIL et uniquement à des fins personnelles non commerciales. SONY et les FOURNISSEURS TIERS se réservent expressément l’ensemble des droits, titres et intérêts (y compris, notamment, l’ensemble des droits de propriété intellectuelle) afférents et se rapportant au LOGICIEL, qui ne vous sont pas spécifiquement octroyés aux termes du présent CLUF.

OBLIGATIONS ET LIMITES

Vous ne pouvez pas copier, publier, adapter, redistribuer, tenter de déterminer le code source, modifier, faire de l’ingénierie inverse sur, décompiler ou désassembler tout ou partie du LOGICIEL, ni créer d’œuvres dérivées du LOGICIEL, sauf si de telles œuvres dérivées sont volontairement facilitées par le LOGICIEL. Vous ne pouvez pas modifier ni falsifier la fonctionnalité de gestion des droits numériques du LOGICIEL. Vous ne pouvez pas contourner, modifier, empêcher ou circonvenir l’une quelque des fonctions ou protections du LOGICIEL ou de tout mécanisme fonctionnellement lié au LOGICIEL. Vous ne pouvez pas séparer un composant spécifique du LOGICIEL afin de l’utiliser sur plus d’un APPAREIL sans l’autorisation expresse de SONY à cet effet.

Vous ne pouvez pas supprimer, altérer, recouvrir ou détériorer les marques ou mentions apposées sur le LOGICIEL. Vous ne pouvez pas partager, distribuer, louer, donner en location, concéder en sous-licence, céder, transférer ni vendre le LOGICIEL. Les logiciels, services de réseau ou autres produits, autres que le LOGICIEL, indispensables à l’exécution du LOGICIEL, peuvent être interrompus ou arrêtés à la discrétion des fournisseurs (fournisseurs de logiciels, prestataires de services ou SONY). SONY et ces fournisseurs ne garantissent pas que le LOGICIEL, les services de réseau ou les autres produits resteront disponibles ou fonctionneront sans interruption ni modification.

LOGICIELS EXCLUS ET COMPOSANTS LIBRES DE DROIT

Nonobstant l’octroi d’une licence limitée susmentionné, vous reconnaissez que le LOGICIEL peut comprendre des LOGICIELS EXCLUS. Certains LOGICIELS EXCLUS peuvent être couverts par des licences de logiciels libres de droit (ci-après les «Composants libres de droit»), c’est-à-dire toute licence logicielle approuvée en tant que licence libre par l’Open Source Initiative ou toute licence substantiellement similaire, y compris, notamment, toute licence qui, comme condition à la distribution des logiciels concédés selon ses termes, exige du distributeur qu’il rende les logiciels disponibles au format code source. Si et dans la mesure où une communication est requise, veuillez consulter le site www.sony.net/Products/Linux ou un autre site Web désigné par SONY pour trouver une liste des COMPOSANTS LIBRES DE DROIT pertinents inclus dans le LOGICIEL en tant que de besoin ainsi que les conditions générales régissant leur utilisation. UTILISATION DU LOGICIEL AVEC DES ÉLÉMENTS PROTÉGÉS PAR LE DROIT D’AUTEUR

Il est possible que vous puissiez utiliser le LOGICIEL pour visualiser, stocker, traiter et/ou utiliser le contenu créé par vous-même ou par des tiers. Ce contenu peut être protégé par le droit d’auteur, les lois portant sur d’autres droits de propriété intellectuelle et/ou des accords y afférents. Vous acceptez d’utiliser le LOGICIEL uniquement conformément à tous lesdits lois et accords s’appliquant à ce contenu. Vous reconnaissez et acceptez que SONY puisse prendre des mesures appropriées pour protéger les droits d’auteur relatifs au contenu stocké, traité ou utilisé par le LOGICIEL. Ces mesures comprennent, sans toutefois s’y limiter, le décompte de la fréquence de vos sauvegardes et restaurations par certaines fonctionnalités du LOGICIEL, le refus de votre demande de permission de restauration de données et la résiliation du présent CLUF en cas d’utilisation illégitime de votre part du LOGICIEL.

L’UTILISATION DU SERVICE ET DE CE CONTENU EST SOUMISE AUX CONDITIONS DE SERVICE DE CE SERVICE DE CONTENU. SI VOUS REFUSEZ CES CONDITIONS, VOTRE UTILISATION DU LOGICIEL SERA LIMITÉE. CONNECTIVITÉ INTERNET ET SERVICES DE TIERS

Vous reconnaissez et acceptez que l’accès à certaines fonctionnalités du LOGICIEL puisse nécessiter une connexion internet dont vous êtes exclusivement responsable. Par ailleurs, vous êtes exclusivement responsable du paiement des frais de tiers afférents à votre connexion internet, y compris, notamment, les frais des fournisseurs d’accès ou d’utilisation du réseau. L’exploitation du LOGICIEL peut être limitée ou restreinte en fonction des capacités, de la bande passante ou des limites techniques de votre connexion et de votre service internet. La fourniture, la qualité et la sécurité de cette connectivité internet relèvent de la responsabilité exclusive du tiers fournissant le service.

RÉGLEMENTATIONS RELATIVES AUX EXPORTATIONS ET AUTRES

REFUS DES MODIFICATIONS APPORTÉES AUX PROCÉDURES DE LITIGES

Malgré tout ce qui précède dans ce CLUF, vous pouvez refuser les modifications apportées à la disposition d'arbitrage exécutoire et à la renonciation à une action collective si: (1) vous avez déjà commencé à utiliser le LOGICIEL au moment de la modification; et (2) vous envoyez un avis écrit à l'adresse figurant dans le paragraphe précédent sous 30 jours à compter de la date de l’apport de ladite modification. DIVERS

Tout litige déterminé non soumis à un arbitrage et non commencé auprès d’un tribunal de petites créances sera en litige par l'une ou l'autre partie auprès d’un tribunal de juridiction compétente, soit devant le tribunal supérieur du comté de San Diego, soit devant le tribunal de district des États-Unis pour le district sud de la Californie .

DROIT APPLICABLE ET JURIDICTION COMPÉTENTE

Estas son las únicas maneras en que parte de la banda base digital encenderá el transmisor de radiofrecuencia, el que luego se apaga al final del paquete. Por lo tanto, el transmisor solo estará encendido mientras uno de los paquetes mencionados antes está siendo transmitido. En otras palabras, el dispositivo discontinúa automáticamente la transmisión en caso de ausencia de información para transmitir o falla operativa.

Colocación

• No coloque el producto en posición inclinada.

Este EULA constituye un contrato legal entre Ud. y Sony Electronics Inc. (“SONY”). OTORGAMIENTO DE LICENCIA

SONY le otorga una licencia limitada de uso del SOFTWARE exclusivamente en relación con este DISPOSITIVO y únicamente para su uso personal y no comercial. SONY y los TERCEROS PROVEEDORES se reservan expresamente todos los derechos, la plena titularidad y los intereses (incluyendo, sin limitación alguna, todos los derechos de propiedad intelectual) sobre el SOFTWARE que este EULA no le otorgue de forma específica.

REQUISITOS Y LIMITACIONES

Ud. no podrá copiar, publicar, adaptar, redistribuir, intentar descifrar el código fuente, modificar, realizar trabajos de ingeniería inversa, descompilar o desensamblar ningún SOFTWARE, total o parcialmente, o crear trabajos derivados del SOFTWARE, salvo que dichos trabajos derivados sean facilitados intencionadamente por el SOFTWARE. No podrá modificar o alterar las funciones de gestión de los derechos digitales del SOFTWARE. No podrá eludir, modificar, anular o evitar ninguna de las funciones y protecciones del SOFTWARE ni ningún mecanismo operativamente vinculado al SOFTWARE. No podrá separar

ningún componente individual del SOFTWARE para ser utilizado en más de un DISPOSITIVO salvo que SONY así lo autorice expresamente. No podrá suprimir, alterar, ocultar o eliminar ninguna de las marcas y advertencias del SOFTWARE. No podrá compartir, distribuir, alquilar, arrendar, sublicenciar, ceder, transferir o vender el SOFTWARE. El software, los servicios de red y el resto de productos distintos del SOFTWARE de los que depende el funcionamiento del SOFTWARE podrán dejar de prestarse o comercializarse a elección exclusiva de los proveedores (proveedores de software, proveedores de servicio o SONY). Ni SONY ni los mencionados proveedores garantizan que el SOFTWARE, los servicios de red, y el resto de productos seguirán estando disponibles o que funcionarán sin interrupciones o modificaciones.

SOFTWARE EXCLUIDO Y COMPONENTES DE CÓDIGO ABIERTO

Sin perjuicio de la licencia limitada otorgada anteriormente, Ud. reconoce que el SOFTWARE podrá incluir SOFTWARE EXCLUIDO. Determinado SOFTWARE EXCLUIDO podrá estar cubierto por licencias de software de código abierto (“Componentes de Código Abierto”), es decir, aquellas licencias de software aprobadas como licencias de código abierto por la Iniciativa de Código Abierto u otras licencias sustancialmente similares, incluyendo, sin limitación alguna, cualquier licencia que, como condición para la distribución del software otorgado bajo la misma, exija que el distribuidor ofrezca el software en formato de código fuente. Cuando dicha divulgación sea obligatoria, deberá visitar la página www.sony.net/Products/Linux o cualquier otra página web que SONY determine para consultar la lista de COMPONENTES DE CÓDIGO ABIERTO incluidos en el SOFTWARE en cada momento, así como los términos y condiciones por los que se rige su uso. Estos términos y condiciones podrán ser modificados en cualquier momento por el correspondiente tercero sin incurrir por ello en ningún tipo de responsabilidad frente a Ud. En la medida de lo estipulado en las licencias por las que se rige el SOFTWARE EXCLUIDO, los términos y condiciones de dichas licencias serán de aplicación en lugar de los

términos y condiciones de este EULA. En la medida en que los términos y condiciones de las licencias de aplicación al SOFTWARE EXCLUIDO prohíban cualquiera de las restricciones contenidas en este EULA con respecto a dicho SOFTWARE EXCLUIDO, tales restricciones no serán de aplicación al mencionado SOFTWARE EXCLUIDO. En la medida en que los términos y condiciones de las licencias de aplicación a los Componentes de Código Abierto exijan a SONY ofrecer el código fuente relativo al SOFTWARE, dicha oferta se realiza en virtud del presente EULA.

UTILIZACIÓN DEL SOFTWARE CON MATERIALES PROTEGIDOS POR DERECHOS DE AUTOR

Es posible que el SOFTWARE le permita visualizar, almacenar, procesar y/o utilizar contenido creado por Ud. y/o por otros terceros. Dicho contenido podrá estar protegido por derechos de autor y por leyes y/o acuerdos en materia de propiedad intelectual. Ud. se obliga a utilizar el SOFTWARE únicamente de conformidad con las leyes y los acuerdos que sean de aplicación a dicho contenido. Ud. reconoce y acepta que SONY podrá adoptar las medidas oportunas para proteger los derechos de autor del contenido almacenado, procesado o utilizado por el SOFTWARE. Dichas medidas incluirán a título enunciativo, que no limitativo, la determinación de la frecuencia de realización de copias de seguridad y restauración mediante determinadas características del SOFTWARE, la negativa a aceptar su solicitud para permitir la restauración de datos, y la resolución del presente EULA en caso de que Ud. utilice el SOFTWARE de forma ilícita.

SERVICIOS DE CONTENIDO

EL SOFTWARE PUEDE HABER SIDO DISEÑADO PARA SER UTILIZADO CON EL CONTENIDO DISPONIBLE A TRAVÉS DE UNO O VARIOS SERVICIOS DE CONTENIDO (“SERVICIO DE CONTENIDO”). EL USO DEL SERVICIO Y DEL CORRESPONDIENTE CONTENIDO ESTÁ SUJETO A LOS TÉRMINOS Y CONDICIONES DE SERVICIO DE ESE SERVICIO DE CONTENIDO. SI NO ACEPTA ESOS TÉRMINOS Y CONDICIONES, SU UTILIZACIÓN DEL SOFTWARE QUEDARÁ LIMITADA. UD. RECONOCE Y ACEPTA QUE DETERMINADOS CONTENIDOS Y SERVICIOS DISPONIBLES A TRAVÉS

DEL SOFTWARE PODRÁN SER PROPORCIONADOS POR TERCEROS (“PROVEEDORES DE SERVICIOS DE TERCEROS”) SOBRE LOS QUE SONY NO TIENE NINGÚN TIPO DE CONTROL. EL USO DE LOS SERVICIOS DE CONTENIDO EXIGE CONEXIÓN A INTERNET. LOS SERVICIOS DE CONTENIDO PODRÁN DEJAR DE PRESTARSE EN CUALQUIER MOMENTO.

CONEXIÓN A INTERNET Y SERVICIOS DE TERCEROS

Ud. reconoce y acepta que el acceso a determinadas prestaciones del SOFTWARE podrá exigir conexión a Internet de la que Ud. será el único responsable. Asimismo, será enteramente responsable del pago a terceros de las tarifas relativas a su conexión a Internet incluyendo, sin limitación alguna, las tarifas de los proveedores de Internet o de tiempo de uso. El funcionamiento del SOFTWARE podrá quedar limitado o restringido en función de las capacidades, el ancho de banda o las limitaciones técnicas de su conexión y servicio de Internet. El suministro, la calidad y la seguridad de dicha conexión a Internet son responsabilidad exclusiva del tercero que preste dicho servicio.

EXPORTACIÓN Y OTRA NORMATIVA

Ud. se obliga a cumplir con todas las normativas y restricciones en materia de exportación y reexportación del Departamento de Comercio y otras agencias y autoridades de Estados Unidos, y se obliga asimismo a no transferir el SOFTWARE (o autorizar su transferencia) a un país prohibido o en contravención de lo estipulado por dichas normativas y restricciones.

DERECHOS RESTRINGIDOS DEL GOBIERNO DE ESTADOS UNIDOS

El uso, duplicación o divulgación por parte del Gobierno de los Estados Unidos está sujeto a restricciones como se establece en el subpárrafo (c) (1) y (2) de los Derechos Restringidos de Software de Ordenadores Comerciales en 48 C.F.R. § 52.227-19, según corresponda. ACTIVIDADES DE ALTO RIESGO

El SOFTWARE no es infalible ni ha sido diseñado, fabricado o concebido para ser utilizado o revendido como equipo de control on-line en entornos peligrosos que requieran un funcionamiento a prueba de

fallos, como en instalaciones nucleares, sistemas de navegación o comunicación aérea, sistemas de control del tráfico aéreo, equipos de soporte vital directo o sistemas armamentísticos, en los que el fallo del SOFTWARE podría provocar muertes, daños personales o graves daños materiales o medioambientales (“ACTIVIDADES DE ALTO RIESGO”). SONY, y todos y cada uno de los TERCEROS PROVEEDORES y sus respectivas filiales excluyen específicamente cualquier garantía, obligación o condición, expresa o implícita, sobre la idoneidad del SOFTWARE para el desarrollo de ACTIVIDADES DE ALTO RIESGO.

EXCLUSIÓN DE GARANTÍAS SOBRE EL SOFTWARE

Ud. reconoce y acepta que la utilización del SOFTWARE será por su cuenta y riesgo exclusivamente y que Ud. será el responsable de su uso. El SOFTWARE se proporciona “TAL CUAL,” sin garantías, obligaciones o condiciones de ningún tipo.

SONY Y TODOS Y CADA UNO DE LOS TERCEROS PROVEEDORES (a los efectos de esta Cláusula, SONY y los TERCEROS PROVEEDORES se denominarán conjuntamente “SONY”) EXCLUYEN EXPRESAMENTE TODAS LAS GARANTÍAS, OBLIGACIONES O CONDICIONES, EXPRESAS O IMPLÍCITAS, INCLUYENDO, SIN LIMITACIÓN ALGUNA, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, NO INFRACCIÓN Y ADECUACIÓN A UN FIN CONCRETO. SONY NO GARANTIZA NI ESTABLECE NINGÚN TIPO DE CONDICIÓN O MANIFESTACIÓN EN EL SENTIDO DE QUE (A) LAS FUNCIONES CONTENIDAS EN EL SOFTWARE SE AJUSTARÁN A SUS REQUISITOS O SERÁN ACTUALIZADAS, (B) EL SOFTWARE FUNCIONARÁ CORRECTAMENTE, ESTARÁ LIBRE DE ERRORES O SUS POSIBLES FALLOS SERÁN CORREGIDOS, (C) EL SOFTWARE NO DAÑARÁ NINGÚN OTRO SOFTWARE, HARDWARE O DATOS, (D) EL SOFTWARE, LOS SERVICIOS DE RED (INCLUYENDO INTERNET) O LOS PRODUCTOS (DISTINTOS DEL SOFTWARE) DE LOS QUE DEPENDE EL FUNCIONAMIENTO DEL SOFTWARE SEGUIRÁN ESTANDO DISPONIBLES, O NO EXPERIMENTARÁN INTERRUPCIONES O MODIFICACIONES, Y (E), CON RESPECTO AL USO O A LOS RESULTADOS DEL USO DEL SOFTWARE, SONY NO GARANTIZA NI ESTABLECE NINGÚN TIPO DE CONDICIÓN O MANIFESTACIÓN EN CUANTO

A SU EXACTITUD, PRECISIÓN, FIABILIDAD O CUALQUIER OTRO ASPECTO.

NINGUNA INFORMACIÓN O INDICACIÓN FACILITADA VERBALMENTE O POR ESCRITO POR SONY O POR UN REPRESENTANTE AUTORIZADO DE SONY SERÁ CONSTITUTIVA DE UNA GARANTÍA, OBLIGACIÓN O CONDICIÓN NI AMPLIARÁ EN MODO ALGUNO EL ÁMBITO DE APLICACIÓN DE ESTA GARANTÍA. EN CASO DE QUE EL SOFTWARE RESULTE DEFECTUOSO, UD. ASUMIRÁ EL COSTE ÍNTEGRO DE TODOS LOS TRABAJOS DE REVISIÓN, REPARACIÓN O SUBSANACIÓN QUE RESULTEN NECESARIOS. ALGUNAS JURISDICCIONES NO PERMITEN LA EXCLUSIÓN DE GARANTÍAS IMPLÍCITAS, POR LO QUE ESTAS EXCLUSIONES PODRÍAN NO SERLE DE APLICACIÓN.

LIMITACIÓN DE RESPONSABILIDAD

NI SONY NI NINGUNO DE LOS TERCEROS PROVEEDORES (a los efectos de esta Cláusula, SONY y los TERCEROS PROVEEDORES se denominarán conjuntamente “SONY”) SERÁN RESPONSABLES POR CUALESQUIERA DAÑOS DERIVADOS O EMERGENTES QUE PUEDAN RESULTAR DE LA INFRACCIÓN DE CUALQUIER GARANTÍA EXPRESA O IMPLÍCITA, DE CUALQUIER INCUMPLIMIENTO CONTRACTUAL O NEGLIGENCIA, O EN APLICACIÓN DEL PRINCIPIO DE RESPONSABILIDAD OBJETIVA O DE CUALQUIER OTRO PRINCIPIO JURÍDICO EN RELACIÓN CON EL SOFTWARE, INCLUYENDO, SIN LIMITACIÓN ALGUNA, CUALESQUIERA DAÑOS DERIVADOS DE PÉRDIDA DE BENEFICIOS, PÉRDIDA DE INGRESOS, PÉRDIDA DE DATOS, PÉRDIDA DE UTILIZACIÓN DEL SOFTWARE O CUALQUIER HARDWARE RELACIONADO, TIEMPO DE INACTIVIDAD Y TIEMPO DEL USUARIO, AUN CUANDO SE HAYA ADVERTIDO DE LA POSIBILIDAD DE QUE SE PRODUZCAN TALES DAÑOS. EN TODO CASO, LA RESPONSABILIDAD TOTAL DE SONY DERIVADA DE CUALQUIER DISPOSICIÓN DEL PRESENTE EULA ESTARÁ LIMITADA AL IMPORTE EFECTIVAMENTE ABONADO POR ESTE DISPOSITIVO. ALGUNAS JURISDICCIONES NO PERMITEN LA EXCLUSIÓN O LIMITACIÓN DE LA RESPONSABILIDAD POR DAÑOS DERIVADOS O EMERGENTES, POR LO QUE LA EXCLUSIÓN DISPUESTA ANTERIORMENTE PODRÍA NO SERLE DE APLICACIÓN.

ACEPTACIÓN DEL USO DE DETERMINADOS DATOS, DATOS DE LOCALIZACIÓN, SEGURIDAD DE LOS DATOS

SONY y sus filiales, socios y agentes podrán utilizar su dirección IP para conectar su DISPOSITIVO a Internet con el propósito de actualizaciones de SOFTWARE. Usted reconoce y acepta que los PROVEEDORES DE SERVICIOS DE TERCEROS podrán leer, obtener, transferir, tratar y almacenar determinados datos obtenidos a través del SOFTWARE, incluyendo, sin limitación alguna, datos sobre (i) el SOFTWARE y (ii) las aplicaciones de software, contenidos y dispositivos periféricos que interactúan con su DISPOSITIVO y el SOFTWARE (la “Información”). El término “Información” incluye, sin limitación alguna: (1) los identificadores únicos relativos a su DISPOSITIVO y sus componentes; (2) el funcionamiento del DISPOSITIVO, el SOFTWARE y sus componentes; (3) las configuraciones de su DISPOSITIVO, el SOFTWARE y las aplicaciones de software, los contenidos y los dispositivos periféricos que interactúan con el DISPOSITIVO y el SOFTWARE; (4) la utilización y frecuencia de utilización de las funciones de (x) el SOFTWARE, y (y) las aplicaciones de software, los contenidos y los dispositivos periféricos que interactúan con el SOFTWARE; y (5) datos de localización, conforme a lo indicado a continuación. Los PROVEEDORES DE SERVICIOS DE TERCEROS podrán usar y revelar la Información de acuerdo con la normativa vigente con el fin de mejorar sus productos y servicios o proporcionarle a Ud. productos o servicios. Este uso incluye, sin limitación alguna: (a) la gestión de las funcionalidades del SOFTWARE; (b) las tareas de mejora, mantenimiento, actualización o nueva versión del SOFTWARE; (c) las actividades de mejora, desarrollo y perfeccionamiento de los actuales y futuros productos y servicios de PROVEEDORES DE SERVICIOS DE TERCEROS y de otros terceros; (d) la comunicación de información relativa a productos y servicios ofrecidos por PROVEEDORES DE SERVICIOS DE TERCEROS y por otros terceros; (e) el cumplimiento de las leyes y normativas de aplicación; y (f) en la medida en que se ofrezcan, la prestación de servicios locales por parte de PROVEEDORES DE SERVICIOS DE TERCEROS y de otros

terceros, de conformidad con lo indicado continuación. Adicionalmente, los PROVEEDORES DE SERVICIOS DE TERCEROS pueden reservarse el derecho a utilizar la Información para protegerse y proteger a otros terceros frente a posibles conductas ilegales, delictivas o perjudiciales.

Determinados servicios disponibles a través del SOFTWARE podrán depender de los datos de localización, incluyendo, sin limitación alguna, la ubicación geográfica del DISPOSITIVO. Ud. reconoce que, con el fin de prestar dichos servicios, los TERCEROS PROVEEDORES, PROVEEDORES DE SERVICIOS DE TERCEROS o sus socios podrán obtener, archivar, tratar y utilizar los mencionados datos de localización, y que tales servicios se rigen por las políticas de privacidad del tercero en cuestión. Al utilizar cualquiera de estos servicios, estará aceptando que ha revisado las políticas de privacidad de aplicación a los servicios y que presta su consentimiento para la realización de tales actividades.

SONY, sus filiales, socios y agentes no utilizarán deliberadamente la Información para identificar personalmente al dueño o usuario del SOFTWARE sin su conocimiento o consentimiento. Todo uso de la Información será conforme a las políticas de privacidad de SONY o del correspondiente tercero. En www.sony.com/selprivacy podrá consultar la política de privacidad de SONY actualmente en vigor.

Deberá contactar con los terceros que corresponda para consultar sus políticas de privacidad en materia de datos personales y del resto de información que facilite cuando acceda al software o a los servicios de esos terceros o los utilice.

La Información podrá ser tratada, almacenada o transferida a SONY, sus filiales o agentes, los cuales se encuentran situados en países distintos de su país de residencia. Las leyes de protección de datos y privacidad de determinados países podrían no ofrecer un nivel de protección semejante al de su país de residencia, por lo que es posible que tenga menos derechos legales con respecto a la Información tratada y almacenada en dichos países, o transferida a estos. SONY tratará por todos los medios a su alcance de adoptar las correspondientes medidas

técnicas y organizativas para evitar las actividades no autorizadas de acceso y revelación de la Información, si bien no garantiza que eliminará todos los riesgos de uso indebido de dicha Información.

FUNCIÓN DE ACTUALIZACIÓN AUTOMÁTICA

SONY, los TERCEROS PROVEEDORES o los PROVEEDORES DE SERVICIOS DE TERCEROS podrán actualizar o modificar el SOFTWARE de forma automática para diversos fines como, a título enunciativo, el perfeccionamiento de funciones de seguridad, la corrección de errores y la mejora de funciones, tanto en el momento en que Ud. interactúe este DISPOSITIVO con los servidores de SONY o de dichos terceros como en cualquier otro momento. Dichas actualizaciones o modificaciones podrán eliminar o cambiar la naturaleza de las características u otros aspectos del SOFTWARE incluyendo, sin limitación alguna, las funciones que Ud. utilice habitualmente. Ud. reconoce y acepta que tales actividades podrán realizarse a elección exclusiva de SONY y que SONY podrá exigirle que instale o acepte totalmente tales actualizaciones o modificaciones para poder seguir utilizando el SOFTWARE. Cualquier actualización/modificación se considerará y constituirá parte integrante del SOFTWARE a los efectos del presente EULA. Al aceptar el presente EULA, Ud. presta su consentimiento para que se lleve a cabo dicha actualización/modificación.

ACUERDO COMPLETO, RENUNCIA Y NULIDAD PARCIAL

Este EULA junto con la política de privacidad de SONY, en la versión vigente de estos documentos en cada momento, constituyen el acuerdo completo entre Ud. y SONY con respecto al SOFTWARE. La omisión por parte de SONY en el ejercicio o exigencia de cualquier derecho o disposición de este EULA no constituirá una renuncia a dicho derecho o disposición. Si alguna disposición del presente EULA es declarada inválida o inaplicable, esa disposición se aplicará en la medida máxima de lo permitido por ley con el fin de mantener el espíritu de este EULA, y las disposiciones restantes permanecerán vigentes en todos sus términos. La Convención de las Naciones Unidas sobre Contratos para la Venta Internacional de Bienes no se aplicará al SOFTWARE ni a este EULA. Además, este EULA no se regirá ni interpretará de ninguna

manera al referirse a ninguna ley basada en la Ley Uniforme de Transacciones de Información Computerizada (UCITA) o cualquier otro acto derivado o relacionado con UCITA.

ARBITRAJE OBLIGATORIO CUALQUIER “DISPUTA” QUE NO SE RESUELVE A TRAVÉS DEL PROCESO

DE NEGOCIACIÓN OFICIAL DESCRITO EN ESTE DOCUMENTO SERÁ RESUELTO EXCLUSIVAMENTE A TRAVÉS DE ARBITRAJE OBLIGATORIO.

“DISPUTA” se define como cualquier desacuerdo, causa de acción, reclamo, controversia, o procedimiento entre Ud. y cualquier entidad de Sony relacionada o que surja del SOFTWARE o de este EULA. DISPUTA deberá tener el significado más amplio posible que se hará cumplir. Si surge una DISPUTA, Ud. Acepta en primer lugar notificar a SONY poniéndose en contacto con Sony Electronics Inc. en 16530 Via Esprillo, MZ 1105, San Diego, CA 92127, a la atención de: Departamento Legal, y entablar negociaciones de buena fe para intentar resolver cualquier DISPUTA durante por lo menos 14 días, excepto que Ud. o Sony (o cualquiera de sus afiliados) pueden omitir este procedimiento de negociación informal para la aplicación de la DISPUTA, la protección, o sobre la validez de los derechos de propiedad intelectual.

INSTRUCCIONES DE ARBITRAJE

Para iniciar el arbitraje, Ud. o SONY deben presentar una demanda por escrito al otro para el arbitraje. El arbitraje tendrá lugar ante un árbitro único. Se administrará de acuerdo con los Procedimientos Acelerados de las Reglas de Arbitraje Comercial y los Procedimientos Complementarios para Disputas Relacionadas con el Consumidor cuando sea aplicable (“Reglas”) de la Asociación Americana de Arbitraje (“AAA”) en vigor cuando se presente la reclamación. Ud. puede obtener una copia de las Reglas de la AAA poniéndose en contacto con la AAA llamando a (800) 778-7879 o visitando www.adr.org. Los honorarios de presentación para iniciar y llevar a cabo el arbitraje serán compartidos entre Ud. y SONY, pero en ningún caso su importe excederá la cantidad permitida por las reglas especiales para las disputas de consumidores prevista por AAA, momento en el que SONY cubrirá todos los honorarios y gastos administrativos adicionales. Esto no prohíbe que el árbitro

entregue a la parte ganadora sus honorarios y gastos de arbitraje cuando sea apropiado según las Reglas. A menos que Ud. y SONY lo acuerden de otra manera, el arbitraje tendrá lugar en el condado y el estado donde Ud. viva, y la ley federal o estatal aplicable regirá la sustancia de cualquier DISPUTA. La Ley Federal de Arbitraje, 9 U.S.C. § 1, y siguientes, regirá el arbitraje en sí y no cualquier ley estatal sobre arbitraje. La decisión del árbitro será vinculante y definitiva, a excepción de un derecho limitado de apelación bajo la Ley Federal de Arbitraje. El árbitro puede otorgar una medida declaratoria o cautelar solo en favor de la parte que solicita la medida, y solo en el grado que sea necesario para otorgar la medida garantizada por la reclamación individual de esa parte. Cualquier tribunal con jurisdicción sobre las partes puede hacer cumplir la decisión del árbitro.

EXCEPCIÓN DE RECLAMACIONES MENORES

A pesar de las disposiciones expuestas arriba, Ud. tiene el derecho de litigar cualquier DISPUTA en el tribunal de reclamaciones menores u otro tribunal similar de jurisdicción limitada, en la medida de que la cantidad en cuestión no exceda 15.000 $, y mientras dicho tribunal tenga jurisdicción apropiada y se satisfagan todos los demás requisitos (incluyendo la cantidad en la controversia).

RENUNCIA DE ACCIÓN DE CLASE UD. ENTIENDE Y RECONOCE QUE, AL ACEPTAR EL ARBITRAJE

OBLIGATORIO, ESTÁ CEDIENDO EL DERECHO DE LITIGAR (O PARTICIPAR COMO PARTE O MIEMBRO DE CLASE) CUALQUIER DISPUTA EN TRIBUNAL ANTE UN JUEZ O JURADO. CUALQUIER PROCEDIMIENTO DE RESOLUCIÓN DE DISPUTAS SE REALIZARÁ ÚNICAMENTE SOBRE UNA BASE INDIVIDUAL, Y AMBAS PARTES ACEPTAN NO TENER NINGUNA DISPUTA SENTADA COMO UNA ACCIÓN DE CLASE, ACCIÓN REPRESENTATIVA, ACCIÓN CONSOLIDADA, O ACCIÓN GENERAL DE ABOGADO PRIVADO, A MENOS QUE TODAS LAS PARTES INVOLUCRADAS CONCUERDEN ESPECÍFICAMENTE HACERLO POR ESCRITO DESPUÉS DE INICIAR EL ARBITRAJE.

INSTRUCCIONES DE EXENCIÓN

SI UD. NO DESEA ESTAR OBLIGADO POR LA DISPOSICIÓN DE ARBITRAJE OBLIGATORIO Y/O LA RENUNCIA DE ACCIÓN DE CLASE ANTERIOR, ENTONCES: (1) DEBERÁ NOTIFICAR A SONY POR ESCRITO DENTRO DE 30 DÍAS DE LA FECHA EN QUE UTILICE EL SOFTWARE O ACEPTE ESTE EULA, LO QUE OCURRA PRIMERO; (2) SU NOTIFICACIÓN POR ESCRITO DEBERÁ SER ENVIADA A SONY ELECTRONICS INC., 16530 VIA ESPRILLO, MZ 1105, SAN DIEGO CA 92127, A ATENCIÓN DE: DEPARTAMENTO LEGAL; Y (3) SU NOTIFICACIÓN POR ESCRITO DEBERÁ INCLUIR: (A) SU NOMBRE; (B) SU DIRECCIÓN; (C) LA FECHA EN LA QUE USÓ EL SOFTWARE O ACEPTÓ ESTE EULA; Y (D) UNA DECLARACIÓN CLARA DE QUE NO DESEA RESOLVER DISPUTAS CON NINGUNA ENTIDAD DE SONY A TRAVÉS DE ARBITRAJE NI ESTAR OBLIGADO POR LA EXENCIÓN DE ACCIÓN DE CLASE.

RECHAZO DE LOS CAMBIOS REALIZADOS EN LOS PROCEDIMIENTOS DE DISPUTA

A pesar de cualquier cosa contraria en este EULA, puede rechazar los cambios hechos a la disposición de arbitraje obligatorio y la renuncia de acción colectiva si: (1) Ud. ya había comenzado el uso autorizado del SOFTWARE en el momento en el que se realizó el cambio; y (2) Ud. envía una notificación por escrito a la dirección del párrafo inmediatamente anterior dentro de 30 días después de que se haya realizado el cambio particular. En caso de que se produzca tal situación, Ud. seguirá estando sujeto a los procedimientos de DISPUTA previamente acordados y existentes antes de que se realizase el cambio que Ud. rechazó.

VARIOS

Cualquier DISPUTA que no esté sujeta a arbitraje y no esté iniciada en un tribunal de reclamaciones menores será litigada por cualquiera de las partes en un tribunal de jurisdicción competente en el Tribunal Superior del Condado de San Diego o en el Tribunal de Distrito de los Estados Unidos para el Distrito Sur de California.

ACCIONES LEGALES

Sin perjuicio de cualquier disposición en sentido contrario contenida en este EULA, Ud. reconoce y acepta que cualquier contravención o incumplimiento de este EULA por parte de Ud. ocasionará un

daño irreparable a SONY, con respecto al cual sería insuficiente una indemnización monetaria. En consecuencia, Ud. acepta que SONY podrá solicitar las medidas judiciales y cautelares que considere necesarias o convenientes en tales circunstancias. Asimismo, SONY podrá adoptar las medidas legales y técnicas que se precisen para evitar cualquier contravención de este EULA y/o velar por su cumplimiento incluyendo, sin limitación alguna, el cese inmediato de su uso del SOFTWARE si SONY considera, a su elección exclusiva, que Ud. está infringiendo o pretende infringir este EULA. Estas acciones legales son adicionales a cualesquiera otras de las que SONY pueda disponer conforme a Derecho, en virtud de los principios de equidad o el contrato.

RESOLUCIÓN

Sin perjuicio del resto de derechos que le asisten, SONY podrá resolver este EULA si Ud. incumple cualquiera de sus términos y condiciones. En caso de producirse tal resolución, Ud. deberá: (i) dejar de utilizar el SOFTWARE y destruir todas sus copias; (ii) cumplir con las obligaciones recogidas en la cláusula titulada “Sus Responsabilidades de Cuenta” a continuación.

MODIFICACIÓN

SONY SE RESERVA EL DERECHO A MODIFICAR LOS TÉRMINOS Y CONDICIONES DE ESTE EULA A SU ELECCIÓN EXCLUSIVA PUBLICANDO UN AVISO EN LA PÁGINA WEB DESIGNADA POR SONY, ENVIÁNDOLE UNA NOTIFICACIÓN A LA DIRECCIÓN DE E-MAIL QUE HAYA FACILITADO, COMUNICÁNDOSELO COMO PARTE DEL PROCESO A TRAVÉS DEL CUAL UD. OBTENGA NUEVAS VERSIONES/ACTUALIZACIONES O POR CUALQUIER OTRA FORMA DE NOTIFICACIÓN LEGALMENTE PREVISTA. Si no está conforme con la modificación, deberá ponerse en contacto inmediatamente con SONY para recibir las instrucciones pertinentes. Si sigue utilizando el SOFTWARE tras la fecha de efectos de la correspondiente notificación, se entenderá que ha aceptado la modificación y que se obliga a su cumplimiento.

TERCEROS BENEFICIARIOS

Cada uno de los TERCEROS PROVEEDORES se considerará expresamente

un tercero beneficiario de las disposiciones de este EULA relativas a su SOFTWARE y, en consecuencia, tendrá derecho a exigir su cumplimiento.

SUS RESPONSABILIDADES DE CUENTA

Si devuelve su DISPOSITIVO en el lugar donde lo adquirió, lo vende o lo transfiere, o en caso de resolución de este EULA, deberá eliminar todas las cuentas que haya podido crear en el DISPOSITIVO o a las que haya tenido acceso a través de este DISPOSITIVO. Ud. será el único responsable de mantener la confidencialidad de las cuentas que tenga en SONY o en otros terceros, así como de los nombres de usuario y contraseñas asociados a su uso del DISPOSITIVO.
