August has been a successful month for Avenir
and there is plenty of activity planned for
September, including our glamourous Keys to
Success incentive event and several exciting
product ranges to add to Avenir’s portfolio.

Firstly, our congratulations go to Christine Niven from BM
Communications, who is the winner of our Work Smarter incentive in
association with Orange. Christine will visit London’s famous Savile Row
and receive a made to measure, hand-cut suit. Thanks to all those who
took part in this popular incentive and keep making those quality b2b
connections.

Our Keys to Success incentive with Vodafone closed in mid August and
we received a huge number of responses, so thank you to all those who
took part. The spectacular Keys to Success event will be held at the
Tower of London, where guests will be treated to a champagne reception
on arrival, lavish dinner, entertainment and a viewing of the crown jewels
before the winners of our three amazing prizes will be revealed. Winners
will be given keys allocated to a safe in their category. Three of the keys
will be genuine and will open each of the safes containing three fantastic
prizes worth up to £10,000, including a once in a lifetime safari trip,
luxury five star hotel break and the chance to drive the car of your
dreams.

• Promotional offer that applies to 24 month contracts only until

31/01/08: Any 24 month Small Business contract taken prior to and
including 31st Jan 2008 will have free calls 24/7 to all UK landlines for
the life of the contract.

Free calls to other businesses on Vodafone business price plans

• Applies to Small Business 12, 18 and 24 month contracts.

• Includes calls to the following business price plans; Small Business,

Sharetime Plus, Sharetime, Company Caller Plus, Business Caller Plus,

All existing Small Business customers will automatically receive the above
benefits relevant to their length of contract. No upgrade is required.
Each Vodafone Unlimited Landline Call will have a maximum duration of
60 minutes. After this 60 minute period, if a call is still in progress the
remainder of the call will be charged at 8p per minute. Unlimited landline
calls for customers on 24-month contracts are subject to Vodafone’s fair
use policy.

Mobile Broadband plans and pricing

The Vodafone Mobile Broadband price plans are available to businesses
of all sizes, with a simplified structure enabling customers to choose a
competitive price plan to fit the way they work.
Vodafone Mobile Broadband consists of the following price plans:
Mobile Broadband 24 - Ideal for occasional users or those who’d like to
try the technology without committing to ongoing regular payments.
Customers can sign a contract and pay nothing until they chose to
connect for a 24 hour session as there is no monthly line rental
commitment.
Mobile Broadband - Mobile Broadband offers flat rate monthly access at
£25 ex vat per month so customers can enjoy the freedom of being
connected all over the UK (over 80% population coverage) to Vodafone’s
fast and reliable 3G broadband network.
The 2 options for roaming on the Mobile Broadband price plan are:

1) 24 hour session based roaming, at a cost of £8.50 ex vat per 24 hours
on selected networks.

2) Per MB roaming, at a cost of £4.25 per MB ex vat, so only cost effective
for usage under 2MB.
Mobile Broadband Travel - For the extensive business traveller there’s
Mobile Broadband Travel. For a flat rate of £95 ex vat per month,
customers can benefit from bill predictability and 200MB on any network
where Vodafone UK has a data roaming agreement.

Sharetime Plus Plans

Sharetime Plus plans are targeted at the SME segment and deliver greater
value to customers with UK and international call rates and cheap calls
between office and company mobiles. The plans are available on 12 and
24 month contracts with a 15% discount on 24 month contracts.
Sharetime Plus customers have the ability to add a text and data bundle
to their plan. The bundle is added to the lead handset and the sharer
mobiles can then share the bundle. See page 20 for text and data options.

New Anytime Price Plan Changes

Vodafone has added additional value and simplified the Anytime Price
Plans. The number of Anytime plans have been streamlined in order to
make the ‘meal deals’ more understandable to customers. The new
Anytime price plan benefits are only available to New Anytime
connections and existing customers who upgrade their Anytime plan.

Office 2 Mobile

Office 2 Mobile enables customers to get cheap or free calls from their
office landlines to their company mobiles. Office 2 Mobile is available on
Sharetime Plus, Company Caller Plus and Commercial Caller Plus. Office 2
Mobile only applies when Vodafone Virtual Fixed Link is used. If a supplier
other than Vodafone is used for this purpose then that supplier's prices
and terms and conditions will apply.

Option 1: Office 2 Mobile Basic

This is at no additional charge to the customer, they simply pay for what
they use. Cheap rates have been introduced for calling from the office
landlines to the company mobiles.

Option 2: Office 2 Mobile Small / Medium / Large

Customers commit to monthly spend. Committed spend provides a bundle
of minutes for all non-company mobile calls, with an out of bundle rate
(pence per minute) as the bundled minutes. Customers also receive a
bundle of minutes at no charge, for all company calls, with an allocation
of minutes (up to twice the number of non-company minutes).

Early Re-signs on 12 & 18 month contracts

Avenir Telecom would like to remind you that commission on re-signs will
only be paid on or after the customers’ contract end date. If you are in any
doubt as to whether you will receive commission on a re-sign please
check prior to processing it. No re-signs should be processed before a
customers contract has expired. If this is done, commission will not be
paid.

BlackBerry Curve 8310 Smartphone featuring Sat Nav

Vodafone is delighted to announce the amazing new BlackBerry Curve®
8310™ smartphone with Vodafone Satellite Navigation (launched on the
3rd September 2007). This new device features all the functionality that
BlackBerry offers with the added benefit of a fully operational Satellite
Navigation system.

Best for Business (B4B) Price Plans

The B4B range of plans come with inclusive minutes and a free
promotional Any O2 Bolt On (normally £5) which offers free calls to
O2 mobiles including –intra company calls. The price plans are
available on 12, 24 and 36 month contract terms.
Customers will receive more inclusive minutes and greater value
when they sign a 24 / 36 month contract. The free promotional Any
O2 Bolt On is automatically applied to your customers account at the
point of connection. The Any O2 Bolt On provides customers with
2000 minutes of O2 to O2 calls per mobile number per month on the
primary and additional handsets as long as the customer remains
connected to the O2 network on an eligible plan. Each of the bundled
plans have an inclusive text allowance. All plans also have free
voicemail 901 retrieval, itemised billing, International Travel service
and Business Data Sense (0.5MB of inclusive data per month).

Shared Minute Bolt Ons

The monthly subscriptions for O2’s Shared Minute Bolt Ons were
changed to align with the B4B plans. Connections on or after 27 April
2007 will pay the published monthly subscriptions. An existing and
re-signing customer subscribing to a pre 27 April Shared Minute Bolt
On will continue to pay their existing pre 27 April subscription.
However, should a customer re-sign to the current B4B plans and
subscribe to a new Shared Minute Bolt On, they will pay the
published monthly subscriptions. If an existing customer subscribing
to a pre 27 April 2007 Shared Minute Bolt On adds additional
handsets to their account, they will continue to pay the pre 27 April
Shared Minute Bolt On subs. Customers can add up to five Bolt Ons
to their plan and 2 of the Bolt Ons can be of the same size, as
standard. All Bolt Ons have a one month rollover period, as standard.

Group Shared Data bundles

O2 changed the primary and additional device subscriptions for their
Group Shared Data bundles on the 27 April to give customers even
better value when they are taken with voice plans. New connections
on or after 27 April 2007 will pay the revised monthly subscriptions.

BlackBerry Internet Solution (BIS)

Customers can now connect to the Best for Business pay as you use
voice plan with the BIS pay as you use data proposition. With BIS
PAYU there is no monthly subscription and no minimum charge,
customers will only get charged for the data they use.

Data price plans

Business Data 20

To encourage converged sales, the Business Data 20 plan comes
with 20MB bundle and can be connected with a B4B voice plan - the
monthly sub is £8.51 or as a stand alone Data plan - the monthly cost
is £11. The out of bundle rate is £1 per MB, there’s no rollover and it’s
compatible with all business voice plans.

Consumer Data 20MB

This plan is targeted at consumers and it offers a 20 MB browse and
download bundle with no rollover period. The monthly cost is £10 inc
VAT (£8.51 ex VAT). The out of bundle rate is £3 per MB inc VAT
(£2.55 ex VAT).

Consumer price plans

Last month O2 introduced a 24 month price plan range to
complement the 12 and 18 month options. These plans offer the
same inclusive bundle value as the 18 month equivalent plans
however the subscriptions are reduced by £5.
The core messaging allowance for all plans is a combi-bundle
permitting SMS (text) and MMS (pictures and video) messages, an
inclusive data browsing allowance and the option to add a range of
browsing Bolt Ons. There is no rollover of unused voice and message
allowance. Calls to numbers beginning with 08, 05 and O6 (non­geographic numbers) do not form part of the inclusive allowance.
Calls will be charged at the standard call rate with a 20p/min charge.
Voicemail 901 calls form part of the inclusive allowance on sub £35
plans. On £35 and above plans all calls are free.

O2 Disconnects / Re-Connects

Please note that an O2 mobile number that ports to another network
and then disconnects from that network under the 14 day money
back rule and subsequently ports straight back to O2 is classified as
a disconnect / re-connect and is not eligible for commission
payment.

Important changes to downward migration policy

On Wednesday 29th August two changes were made to the
T-Mobile downward migration policy.

1. Downward migrations are currently not permitted until month 11
for new customers. This will now also apply to renewing and
upgrading customers. All new, renewing and upgrading customers
should be advised that they will not be able to downward migrate
their price plan for 11 months.

2. Customers who downward migrate after month 11, but then
request a contract cancellation while still within their minimum
contract term, must be advised that the early termination charge
they will be required to pay will be calculated on the higher
original monthly charge that they were paying prior to the price
plan change. This will also apply if they have downward migrated
more than once after month 11 and within their minimum contract
term.

Contract cancellations

All customers requesting to cancel their contract should be directed
to call the Loyalty Team on 150 from their mobile phone or 0845 412
5000 from a landline before taking a new contract. This ensures the
cancellation can be dealt with efficiently and all bills are settled with
both parties. This includes customers at contract end or during the
life of their contract and customers requesting a PAC.

Nokia battery issue

It has been identified that there may be an issue with BL-5C batteries
on the following T-Mobile Nokia phones:

• 1110,1600, 2310, 2610, 3100, 3120, 6030, 6230, 6230i, 6600, 6630,
6820, 7610, N70 & E50

Some customers are potentially experiencing over heating while
charging which may cause concern to affected customers.
Nokia have provided a tool to identify the impacted batteries. This can
be found at http://www.nokia.com/batteryreplacement/en/
At the bottom of the page there is an input field where you will be
able to validate whether the battery is affected. If the battery is not
affected then no further action is required. If the battery is affected by
this issue then the customer needs to call Nokia directly on
0845 0455555 to arrange for a replacement battery.

Re-sign Premiums

Re-sign premium quotes are no longer available from T-Mobile sales
support. They will no longer be able to disclose re-sign premium
information to channel. This is to ensure they are compliant with the
data protection act, and in-line with customer services procedures.
Re-sign premiums are available by dialling 150 from the customers
handset, ivr (option 2,2,3).

NB: RRP's marked with

customer is quoted £39.99 from T-Mobile but decides to choose a
£19.99 handset, you will only receive the commission rate for the
£19.99 handset not the commission rate for the £39.99 handset. If a
customer is quoted £39.99 from T-Mobile but decides to choose a
£79.99 handset, you will only receive the £39.99 commission rate
and will have to charge the customer the difference in RRP.

18 month handset re-sign bonus

An additional £25.00 bonus is paid to you when a customers
existing 18 month plan is extended for a further 18 months via an
re-sign.

24 month handset re-sign bonus

An additional £50.00 bonus is paid to you when a customers
existing 24 month plan is extended for a further 24 months via a
re-sign.

Business 1 plan migration policy

Customers who wish to migrate to ‘business 1 plan’ who currently
have a single handset account can only migrate on the bill date.

Customers that want to add new handsets to their account on
‘business 1 plan’ when migrating must wait until after their account
has been migrated - this is when the new handsets can be
connected.

For existing business customers in commitment on ‘everyone share’
and or ‘relax and share’:

1) migration to business 1 plan can occur once the account is more
than 3 months old

2) Same contract term applies; 12 month migrates to 12 months on
business 1-plan, 18 month migrates to 18 months on
business 1-plan etc

For customers out of commitment or due for renewal:

1) migration to business 1-plan can be for any contract length as
long as the customer renews their contract

New customers to business 1-plan can upward migrate/increase
their bundle size and range at any time.

Orange Business Plans

The current promotions on Orange Solo, Venture and Momentum will
now continue to run until 31 October 2008. For all three plan
segments Orange is offering customers who sign up for longer
contracts additional value in their plan, all contracts over 12 months
will receive free Orange Care and the old tenure discounts have been
replaced by additional in-bundle minutes.

Orange Solo

Orange Solo is aimed at single users, who are more likely to buy in a
retail environment. There are three price points and two contract
lengths for these customers, and as a promotion until 31 October
2007 all three price points offer an unlimited shout to make them
competitive with Orange consumer (Animal) plans. In addition to the
unlimited offers all Orange Solo customers qualify for:
free Orange Care, dedicated business customer services, one month
roll over of minutes (and texts on £35/£40), no minimum call charge
and free missed call alerts.

Orange Venture

Orange Venture is designed for the SoHo audience. This audience
typically has up to 10 employees and the companies tend to be run
by an owner-manager. To encourage customers to sign up to a longer
contract Orange is offering customers who sign up before 31 October
2007 extra inclusive minutes on 18 and 24 month contracts. All
Orange Venture customers will benefit from;
free Orange Answer phone, free itemised billing, unlimited calls
between sharers, mid-contract price plan review, dedicated business
customer services, flat rate out of bundle charges, one month roll
over of minutes, no minimum call charge and free missed call alerts.
The number of sharers is dependent on the plan signed up for, all
sharers are charged at £15.

Orange Momentum

Orange Momentum is for larger companies, typically with over 10
employees. As communication between the staff is key to these
customers Orange Momentum offers free calls and texts between
sharers. The contract lengths for Orange Momentum have been set
at 12, 24 and 36 months as companies of this size tend to have an
annual buying cycle, and as a promotion for all customers joining on
a 24 or 36 month contract before 31 October 2007 can chose from
either extra inclusive minutes or unlimited Orange to Orange calls
each month. Orange Momentum offers the capacity for up to 400
sharers with a flat rate sharer fee of £12.50. All Orange Momentum
customers will benefit from;
free Orange Answer phone, free itemised billing, unlimited calls and
texts between sharers, dedicated business customer services, one
month roll over of minutes, no minimum call charge and free missed
call alerts.
Customers signing up to Orange Momentum will be tied to their plan
for the duration of their contract.

Unlimited offers on 18 month contracts

From the 1 September until 31 December 2007 Orange is
reintroducing the unlimited offers on 18 month contracts. The
headline offers are unlimited Orange to Orange calls on Canary £40,
unlimited texts on Dolphin £35, unlimited landline calls on Racoon
£35 and a choice of an unlimited offer on Panther. The unlimited
offers are available to new and existing customers connecting or
upgrading to an eligible Talkplan between 1 September 2007 and 31
December 2007. Subject to terms and conditions.

Magic Numbers

Customers connecting to an 18 month contract will be able to
nominate a Magic Number which they can call without paying.
Customers can add a new number every six months, and if they stay
with Orange they’ll keep gaining more Magic Numbers. Magic
Numbers must be another Orange mobile number, or a landline
number connected to Orange home broadband. To register Magic
Numbers the customer will need to call 150 on their handset or visit
www.orange.co.uk/youraccount

There are two options to connect to BlackBerry BIS either a stand
alone data only plan or by adding Internet Talk for BlackBerry to a
voice plan. Theses plans have been designed to reward customers
who sign up for over 12 months by offering a sliding scale charge for
the service. The same rates will apply to the Animal plans, however
they will be advertised including VAT. Each price plan option includes
6MB of data, additional data is charged at £1.70 per MB. Please see

Roaming Refresh

Orange is introducing new roaming rates for making and receiving
calls across Europe. From 30 August it will cost 38p to make a call
and 19p to receive a call, per minute. All other costs for using your
phone abroad will stay the same. Orange has also refreshed the
country zones for roaming (calling the UK from abroad) and they are
no-longer aligned with IDD (international direct dialling/calling
abroad from the UK). Please note that rates and countries for the
Orange Business Zone and Orange Zone (Pay Monthly) are identical
so customers pay the same regardless of consumer or business.
Other key points are:

• Orange Business Frequent Traveller - refreshed pricing and
renamed to Business World Traveller.

• IDD - there are no changes to pricing and until further notice, IDD
will still use the old zones.

• data roaming – there are no changes to pricing

SatNav from Orange

Sat Nav from Orange is a quick and easy to install solution that works on a
range of Symbian and Windows Mobile devices.
Simply download the application, pair the device with a GPS Bluetooth
receiver (or utilise the built in receiver on selected devices) and then realise
the benefits of real time turn by turn navigation with Sat Nav from Orange
even in the most built up areas. Routes are downloaded from Webraska’s
server to ensure they are always up to date and download time varies from a
few seconds over EDGE or 3G to a few tens of seconds over GPRS. In addition
to the cost of the licence the customer will pay the standard data rate to
download the journey information.

There are five Re-sign Investment Classes, calculated on how
much the customer has spent in the last six months, the length
of time since the start of their last agreement and their contract
type.
Each customer will fall into one of the five classes, which will
then determine the level of commission payable to yourselves.

The freephone trade support line and the sub-dealer line
0161 380 0152 enables you to input your connector code and
use the automated service to get your customer's re-sign fee
and UIC, which translates into the commission. The prices given
are subject to the customer's eligibility to re-sign and are valid
only on the day that they're quoted.

New Mobile broadband Internet

3’s new Mobile Broadband price plans and USB Modem will be
available from 6th September.
Currently customers that want to browse the internet must ‘opt
in’ either as a casual user or obtaining an internet add on
(Internet 10 etc). From September 17, all customers (new and
current) will automatically have access to internet browsing on
their mobile. Customers may choose to “opt out” of internet
access via My3. Customers will be charged at Casual User rates

A completed Avenir Telecom Returns Authorisation Form must accompany all returns. There will be a delay in
processing and/or the goods will be sent back to any customer of Avenir Telecom should this not be adhered to.
In addition, a carriage charge will be invoiced to any customer of Avenir Telecom for any phones sent back to any
customer of Avenir Telecom, for not conforming to the policies/procedures as detailed below.

Sim-Free GSM Phones

Sim-free GSM phones are sold by Avenir Telecom on a non-return
basis. Sim-free GSM phones may only be returned for credit if
found to be faulty within 14 days of sale from Avenir Telecom, and
provided that the following conditions are met:
쐌 Phones returned must be fully boxed and in new condition.

Avenir Telecom reserves the right not to credit any customer if
the original box is missing, damaged, marked, or had any
labels/stickers placed on it, or if any of the original contents are
missing,

쐌 Phones returned after 14 days of sale from Avenir Telecom will

only be repaired (if necessary) and sent back to its customer(s).
Sim-free GSM phones which are not faulty or are found to be used,
and/or have lock codes in use, will be repaired (if necessary) and
sent back to its customer(s). In addition, Avenir Telecom will pass
on any charges incurred to its customer(s).

Orange Phones

Orange phones are sold on a non-return basis. However, Avenir
Telecom may, on occasion, on an ex gratia basis, accept returned
phones and will issue a credit accordingly. In such circumstances,
the following criteria will need to be met:
쐌 Unconnected phones must be returned within 30 days from

date of purchase and any seal must be intact and unbroken.
쐌 Unconnected phones returned must be fully boxed kit in new

condition. Avenir Telecom reserves the right not to credit any of

its customers if contents are missing, the box is damaged,

marked, has any adhesive stickers or labels affixed to it, or the

kit/box is considered to be in poor condition.
쐌 All Orange phones being returned to Avenir Telecom must be

accompanied with the original sim card issued with the phone

from the original date of sale.
쐌 Previously connected Orange phones may be returned to Avenir

Telecom and a subsequent credit will be issued, however you

must request a Return Authorisation number from Orange prior

to doing this. For handsets where the connection was made

after the 1st June 2005, credit will only be issued if the handset

has a valid Orange Return Authorisation Number as w

ell as an
Avenir Telecom Return Authorisation number. The Orange
Returns number is 07973 100272. The Orange Returns
Authorisation number must be requested within 14 days from
the date of connection, and any customer of Avenir Telecom
must subsequently return this to Avenir Telecom within 5 days
of collecting the Orange Returns Authorisation number.

쐌 Dead On Arrival/Out of box failures can only be returned to

Avenir Telecom for credit provided an Orange Returns
Authorisation number has been obtained from Orange. Contact
Orange on 07973 100272 to obtain the Returns Authorisation
number.

쐌 Phones returned will be credited either at the current selling

price or the invoiced price at the time of sale, which ever is the
lowest.

쐌 Invoices will be raised for any promotional items that are not

returned with the corresponding phones.

쐌 From the 1st June 2005 if the Orange Returns Authorisations in

a given month exceed 5% of the net new connections in the
preceding month, Avenir Telecom reserve the right to
implement the following charges to its customers account:

쐌 5-6.25% £10 per unit
쐌 6.25-7.5% £15 per unit
쐌 7.5%+ £20 per unit

Please note that all Orange phones are shipped with SIM cards
and these may not be exchanged i.e. each phone has a matching
sim and vice versa and these may not be swapped over with
other phones or SIM cards.
쐌 Orange reserves the right to levy the following charges if in

any calendar month the number of handset re-signs which are
cancelled as a percentage of the number of handset re-signs in
the same calendar month exceed the thresholds set out
below:

쐌 5% or more but less than 10% = £20
쐌 10% or more = £50

This charge will be levied for each handset re-sign which is
subsequently cancelled. The percentages will be calculated in
respect of mobile devices supplied by Orange only.

T-Mobile Phones

T-Mobile phones are sold on a non-return basis. However, Avenir
Telecom may, on occasion, on an ex gratia basis, accept returned
phones and will issue a credit accordingly. In such circumstances,
the following criteria will need to be met:
쐌 Unconnected phones must be returned within 30 days from

date of purchase and any seal must be intact and unbroken.

쐌 Unconnected phones returned must be fully boxed kit in new

condition. Avenir Telecom reserves the right not to credit any
of its customers if contents are missing, the box is damaged,
marked, has any adhesive stickers or labels affixed to it, or
the kit/box is considered to be in poor condition.

쐌 T-Mobile no longer operates any form of 14-day CSG, so no

goods will be accepted for credit under any 14-day CSG claims.
This applies to both PAYG and Contract.

쐌 Avenir Telecom will reverse any credit given to any of its

customers should any returned phones be subsequently
refused credit by the network. Avenir Telecom would like to
remind you of the importance for all its customers to ensure
that stock is rotated and connected.

쐌 T-Mobile now operates a returns cap for all phones returned.

This will apply when the total number of phones returned to
Avenir Telecom exceeds 4.5% of the total net connections in
the month. Any phones returned in excess of the cap will be
subject of a charge of £80.00 per phone and a corresponding
invoice will be raised to the relevant Avenir Telecom customer
and will become immediately due upon
presentation.

3 Phones

3 phones are sold on a non-return basis. However, Avenir
Telecom may, on occasion, on an ex gratia basis, accept returned
phones and will issue a credit accordingly. In such circumstances,
the following criteria will need to be met:
쐌 Unconnected phones must be returned within 30 days from

date of purchase and any seal must be intact and unbroken.

쐌 Unconnected phones returned must be fully boxed kit in new

condition. Avenir Telecom reserves the right not to credit any
of its customers if contents are missing, the box is damaged,
marked, has any adhesive stickers or labels affixed to it, or the
kit/box is considered to be in poor condition.

쐌 3 operates a 14 day money back scheme and a 14 day

exchange policy but will only accept fully boxed/complete kit
for credit accompanied by a 14 day exchange reference
number. This must be obtained from 3 customer services while
your customer is present. All 3 returns must be accompanied
with a 3 Customer Return form filled out and completed
together with the disconnection reference (if applicable).
The handset and completed return form must reach ATUK
within 5 days of the disconnection taking place.
For further information please contact our returns team on
0208 731 4470. 3 and Avenir Telecom will only provide credit
on returns that are UNUSED. This means handsets that have
not been used to make or receive calls, send or receive texts,
have downloads or any other content and are not damaged.

쐌 Avenir Telecom will reverse any credit given to any of its

customers should any returned phones be subsequently
refused credit by the network. Avenir Telecom would like to
remind you of the importance for all its customers to ensure
that stock is rotated and connected.

쐌 All phones returned to Avenir Telecom must include all

components, accessories and/or auxiliary items that were
supplied at the date of sale. Should this not be adhered to, 3
are entitled to levy a charge against any customer of Avenir
Telecom for each missing component, accessories and/or
auxiliary items in accordance with the price list.

쐌 3 introduced a scheme to encourage 3 sellers to keep their

returns rate as low as possible. If the returns rate in a given
month exceeds 10%, Avenir Telecom reserves the right to
implement the following charges to any of its customers:

Disconnection rate

0% - 9.99% Neutral
10% - 14.99% ATUK will charge £20 per return
15% - 24.99% ATUK will charge £40 per return
25% + ATUK will change £50 per return

쐌 Disconnected sim cards must be destroyed by the customer

upon disconnection and not returned for credit.

Repairs

Please note the following:
쐌 Avenir Telecom is not an authorised repair centre for any make

of phone. Phones sent back for repair are out-sourced to
repair centres of our choice. This can take between 7-21 days.

쐌 Phones sent in for repair that are found to be out of warranty

will be handled as follows: You will be contacted by fax or
phone with a quote. On receipt of the go-ahead or refusal the
phone will either be repaired, invoiced and sent back, or
returned un-repaired.

쐌 All phones sent in for repair must be sent in an unlocked state.

An administration charge of £10 will apply for phones sent

with lock codes.
Please note a return carriage charge of £10 applies to all phones
sent in for repair.

Accessories/SIMs

Avenir Telecom only offers an exchange on a like for like basis on
any accessories.
쐌 SIM cards can only be returned if faulty, within 30 days of

receipt.
쐌 Orange Pay as you go connection packs require an Orange

Returns Authorisation number obtainable as outlined

previously in the Orange section.
쐌 Accessories sent back must be accompanied by an Avenir

Telecom Returns Authorisation Form and the Avenir Telecom

invoice number (or copy of the invoice). If not, they may be

sent back and carriage charged accordingly.

Important changes to Avenir Telecom Terms
and Conditions

With immediate effect Avenir Telecom can no longer accept back
phones, accessories or SIMS which are not in our current stock or
Talking Shop brochure due to policy changes from all the
networks. No stock is sold on a sale or return basis and any
authorisation for return of stock is at the discretion of the Head
of Sales. All authorised returns must be sent back to us within 5
days of the Avenir Telecom Returns Authorisation Number being
given.

All Networks

ATUK reserves the right to raise a commission reclaim within
the following clauses of our full terms & conditions

쐌 Where there is evidence of non compliance with the Service

Provider’s operational procedures as notified from time to
time.

쐌 In respect of any Airtime Agreement where the end

customer’s call spend is lower than that reasonably
expected. The determination of ‘reasonable call spend’ to
be entirely at the discretion of the relevant Service
Provider.

쐌 In respect of any connection where minimal call activity

takes place within a six calendar months’ billing period
from the relevant Service Provider from the date of
connection. The determination of ‘minimal call activity’ to
be entirely at the discretion of the relevant Service
Provider.

쐌 In respect of any Airtime Agreement where the Buyer does

not supply new units to the End Customer

쐌 In respect of any Airtime Agreement procured via

unauthorised marketing activity on the part of the buyer.

쐌 The Seller will clawback all and any amounts as may be

reclaimed by the Service Provider from the Seller from time
to time for any reason whatsoever.

쐌 The relevant network and ATUK must approve all “gateway”

connections before any commission payments will be
made. Failure to disclose at point of credit check a
“gateway” application will invalidate the connection
resulting in the commission payment being withheld or
reclaimed without notice.

쐌 Where the connection is deemed to be for commercial gain.

쐌 If a phone is disconnected within the first 14 days.
쐌 If a request is made for proofs and these are not supplied

within 14 days of the request being made.

쐌 Where the connection has been identified by Orange as

fraudulent.

쐌 Where value added services are sold and subsequently

disconnected within three months.

쐌 Due to an amendment to the terms and conditions from the

Orange network concerning provisions for clawbacks, as of

the 1st February 2003, ATUK reserves the right to clawback

any commission following any connection or price plan

change when, in the sole belief of Orange, the connection or

disconnection has been made for the commercial gain of

either the customer or connecting dealer.
쐌 Any errors in commission payments can be reclaimed up to

12 months from date of connection.

쐌 If a phone is disconnected for whatever reason within 180

days from date of activation.*

쐌 If a customer fails to pay the first 6 months bills in full.
쐌 If a price plan is downgraded within 6 months on Vodafone

the additional commission will be reclaimed.
쐌 If a price plan is downgraded within 7 months (consumer)

or 12 months (business) on O2, the additional commission

will be reclaimed.
쐌 Where the connection has been identified by Vodafone/O2

as fraudulent.
쐌 Where value added services are sold and subsequently

disconnected within 180 days (Vodafone) and 6 months

(O2) a commission reclaim will be applied.
쐌 Any errors in commission payments can be reclaimed up to

12 months from date of connection.

쐌 If a request is made for proofs for SOHO customers only

and these are not supplied within 10 days of the request

being made.
쐌 Where the connection has been identified by

T Mobile as fraudulent.
쐌 Commitment VAS Pack disconnection clawback - If a

customer disconnects a commitment VAS pack after 31

days but before the end of the 5th month following the

month of connection (approx. 6 months) then the VAS pack

commission is clawed back.
쐌 Non-Commitment VAS packs including business SOC - If the

VAS pack SOC is not active at the end of the 2nd month

following the month of connection (approx. 3 months) then

the VAS pack commission is clawed back.
쐌 Non-Commitment VAS pack migration - review at end of the

activity and/or account/tariff consolidation.

쐌 Tariff discontinuation clawback - if a customer disconnects

after 31 days but before the end of the 5th month following
the month of connection (approx 6 months), then the tariff
bonus is clawed back within 90 days.

With effect from 1st March 2004, for new connections, 3
reserve the right to clawback all commission payments
(including price plan and volume bonuses) for disconnections
due to fraud including non-payment since registration.
However, where a valid proof has not been presented to, and
accepted by 3 within 14 days of request, the commission
clawback will be reversed in full. A full list of proofs are
available from 3 Sellers website. 3 may clawback
commissions up to 120 days after activation if the customer
defaults on the payment of their bills. This decision for non
payment is automated in 3’s systems through their collections
team who have the hold on this decision.

Commission Reclaims ­Payment Terms on Avenir Telecom Invoice

Notwithstanding any prior arrangements that you may have
reached with Avenir Telecom in respect of a credit account,
any invoices issued to you by Avenir Telecom in respect of any
commission reclaims from the airtime providers are due
immediately upon presentation. If you do not make an
immediate payment of the full amount claimed (including VAT)
Avenir Telecom reserves the right to make immediate offset
against any amounts that may be due from Avenir Telecom to
you.

Avenir Telecom may receive incorrect information from the networks and will obviously reclaim any commission that has been paid in
error. Never-pays may be deemed as fraudulent connections by the networks.

Irrespective of stated Commission Reclaim terms Avenir Telecom reserves the right to reclaim any commission paid if any subsequent
disconnection or price plan change has been made for the commercial gain of the Buyer or the end user.
