This is a licence agr eement bet ween You and Soni q gran ting you a lice nce to use the So ftware. By u sing the Softwar e
you a re deem ed to hav e accep ted the t erms o f thi s Ag reem ent. I f you d o not a ccep t the te rms o f this Ag reeme nt
do no t use the S oftwa re.
Son iq does n ot stor e an indi vidua l copy of t his Agre ement e ntere d into wi th you an d we reco mmend th at You save

In th is Agree ment:
"Ag reeme nt" mea ns this l icenc e agree ment be tween You a nd Soni q compr ising t he terms You acc ept by using
the S oftwa re;
"Au thori sed Pur poses " means t he non- comme rcial u se by You of the Softw are as a platf orm to acces s Cont ent;
"Co ntent " means c onten t provi ded by bo th Soni q and thi rd part ies via t he inte rnet th at You acce ss usin g the
Sof tware ;
“Sm art TV" m eans th e telev ision s ets prod uced by Soni q that a re capable o f conn ecting to , and dow nloadi ng
conten t from, t he inte rnet th rough t he use of t he Soft ware.
"So ftwar e" mean s the sof tware i ntegr ated in to Soni q's Sma rt TV set s;
"Son iq" me ans Qua tius Di gital M edia Pt y Ltd (AC N 133 185 6 81) tra ding as S oniq;
"Term" m eans th e perio d begin ning on t he date y ou acce pt this Ag reeme nt and en ding on t ermin ation o f the
Agre ement i n accor dance w ith cla use 6;
"Th ird Par ty Cont ent" me ans any C onten t that is c reate d by some one oth er than S oniq; a nd
"You " or "Your" m eans yo u or any us er of the S oftwa re.
2. Li cence
2.1 Sub ject to the ter ms and condi tions of this Agreeme nt, Soniq grants to You a non-exc lusive and non-tra nsferable
lic ence du ring th e Term to u se the So ftwar e for the Au thori sed Pur poses .
2.2 U se of the S oftwa re sign ifies You r accep tance o f this Agr eemen t.
2.3 A ny use of t he Soft ware ot her tha n as expr essly a uthor ised by t his Agre ement , or any re sale or f urthe r
distr ibution of t he Softwar e by You, con stitute s a mate rial breac h of this Agreem ent and may vi olate appl icable
cop yrigh t law.
3. Ch anges t o this Agr eemen t
3.1 S oniq is p ermit ted to al ter thi s Agr eemen t from ti me to tim e by givi ng You seve n (7) day s notic e.
3.2 You r conti nued us e of the So ftwar e after t he noti ce peri od ends con stitut es your acce ptance of th e modi fied
Agre ement .
3.3 I f You do n ot acce pt the mo difie d Agre ement y ou must i mmedi ately s top usi ng the So ftwar e.
4. Re stric tions o n use
4.1 You m ust not , and mus t not per mit any t hird pa rty to:
(a) a ccess o r dupli cate th e Softw are for any p urpose oth er than as rea sonably ne cessar y to use th e Soft ware
as co ntemp lated b y this Agr eemen t;
(b) p ublis h the Sof tware , or use th e Softw are oth er than f or the Aut horis ed Purp oses;
(c) e xcept a s expre ssly au thori sed by la w, reverse e ngineer, di sassemb le, decom pile, tra nslate, re constr uct,
tra nsfor m or extr act the S oftwa re or any p ortio n of the So ftwar e;
(d) e xcept as e xpressl y auth orised by la w or as permit ted using th e Soft ware's st andard men u option, ch ange,
mod ify or ot herwi se alte r the Sof tware i nclud ing by di sabli ng any fe ature o r block ing any a dvert iseme nt
or me ssage i ntend ed to be di splay ed;

(e) t ransf er, pled ge, ren t, shar e or subl icens e the Sof tware ;
( f ) defe at or cir cumve nt, att empt to d efeat o r circu mvent , or auth orize o r assis t any thi rd part y in defe ating
or ci rcumv entin g contr ols on th e use of co pies of t he Soft ware; o r
(g) e ngage i n any con duct or a ctivi ty that ma y cause dama ge to the Soft ware, disr upt acces s to the So ftware
or ot herwi se inte rfere o r affec t the per forma nce of th e Softw are.
5. Ac cess an d suppo rt
5.1 You a re resp onsib le for ac cessi ng and us ing the S oftwa re. Son iq is not o bliga ted to pr ovide You w ith any
ser vices o r techn ical su pport i n relat ion to th e Softw are und er this Ag reeme nt.
5.2 S oniq ma y at any ti me and in i ts sole d iscre tion:
(a) d isabl e or susp end Your ac cess to t he Soft ware; o r
(b) sc reen, fil ter, review, mo dify, block o r refu se access to an y Content th at may be acce ssed by the Sof tware,
but i s under n o oblig ation t o do so.
6. Ter minat ion
6.1 W ithou t preju dice to a ny of its o ther ri ghts, S oniq sh all be en title d to term inate t he lice nce gra nted by t his
Agre ement w ithou t liabi lity:
(a) o n five (5 ) days no tice to You , at Soni q's sol e discr etion ; or
(b) f or caus e at any ti me with out not ice if You co mmit a ma teria l breac h of this Ag reeme nt.
6.2 You may t erminat e this Agr eement on se ven (7) days no tice by giving notice to Soniq at supp ort@soniq. com.au
or by p erman ently c easin g to use th e Smart T V.
6.3 T he term inati on of thi s Agr eemen t does not af fect any rig hts, oblig ations or li abilit ies that Son iq has accru ed
und er the Agr eemen t prior t o termi natio n.
6.4 O n the exp irati on or ter minat ion of th is Agree ment, S oniq wi ll term inate You r acces s to the So ftwar e.
Sec tions 4 , 7, 10, 12 ,13, an d 14 will s urviv e the exp irati on or ter minat ion of th is Agree ment.
7.I nt ellec tual Pr opert y
7.1 C onten t provi ded by So niq for ms part o f Soniq 's inte llect ual pro perty.
7.2 S oniq re serve s all rig hts in th e Softw are not exp ressly gr anted by thi s Agree ment. All cop yrights , trad emarks
and ot her conce ivable in tellect ual prope rty rights i n and to th e Soft ware (inc luding, bu t not limite d to, all code ,
data fi les, imag es appear ing in the Soft ware and scr een displays as well as any and al l docu mentat ion relati ng
to th e Softw are) ar e owned o r licen sed by So niq, an d are pro tecte d by law.
7.3 T hird Pa rty Con tent ma y be subj ect to th ird par ty inte llect ual pro perty r ights , inclu ding bu t not lim ited to
cop yrigh t, trad e mark an d desig n right s.
7.4 T he lice nce gra nted by t his Agre ement i s a bare li cence t o use the S oftwa re and do es not gr ant any r ight in
Son iq's in telle ctual p roper ty or any t hird pa rty int ellec tual pr opert y display ed or access ed via the Sof tware.
7.5 S oniq does no t auth orise any ac t that w ould infri nge Soniq 's intell ectual pro perty or any t hird party i ntellec tual
prop erty righ ts includi ng but not lim ited to the rep roducti on, distr ibution , sale, modi ficati on or grant of lic ence
in an y intel lectu al prop erty ow ned by a th ird par ty.
7.6 You h ereby i ndemn ify Son iq for al l loss an d damag e suffe red by it d ue to Your br each of a ny of Son iq's or a
thi rd part y's int ellec tual pr opert y right s.
8. In terne t Usage
8.1 U se of the S oftwa re requ ires an i ntern et conn ectio n. It is Your r espon sibil ity to ob tain an d maint ain an
int ernet c onnec tion at y our cos t.
8.2 S oniq us es the So ftwar e to prom ote goo ds and se rvice s offer ed by Son iq and th ird par ties. Th ese
adv ertis ement s will re quire You t o downl oad Con tent fr om the In terne t and may i ncur co sts fro m Your
int ernet s ervic e provi der.
8.3 A ny Cont ent You acc ess via t he Soft ware ma y resul t in addi tiona l downl oads an d may inc ur costs fro m Your
int ernet s ervic e provi der.
8.4 You a re enti rely re spons ible fo r maki ng enquir ies with Your Inte rnet Serv ice Provi der as to the cost s incurre d
by us ing the S oftwa re or dow nload ing Con tent vi a the Sof tware .
9. So ftwar e Usage
9.1 S oniq do es not gu arant ee that You r use of th e Softw are wil l be unin terru pted an d Your a bilit y to use th e
Sof tware w ill be af fecte d by the pe rform ance of You r inter net whi ch is the r espon sibil ity of Your i ntern et
ser vice pr ovide r.
9.2 You m ust sup ervis e and con trol th e use of th e Softw are and e nsure t hat all u se of the S oftwa re is for t he
Auth orise d Purpo ses and i n accor dance w ith thi s Agr eemen t.

10. 1 Soniq d oes not w arran t that an y Third P arty Con tent, inc luding any l inks to thir d party w ebsit es, is sa fe to
acc ess, fr ee from v iruse s and mal ware, c orrec t or reli able. Al l Third P arty Co ntent i s entir ely the
res ponsi bilit y of the th ird par ty supp lier an d is acce ssed at You r risk.
10. 2 By usin g the Sof tware You m ay be exp osed to T hird Pa rty Con tent th at You find o ffensi ve, ind ecent ,
obj ectio nable o r unlaw ful.
10. 3 You ag ree tha t Soniq i s not res ponsi ble for e xamin ing or eva luating Th ird Party Co ntent and S oniq ma kes
no re prese ntati ons as to t he suit abili ty of Thi rd Part y Conte nt.
10. 4 Soniq d oes not w arran t, guar antee o r make an y repre senta tion:
(a) r egard ing the a ccura cy, adeq uacy, rel iabil ity, com plete ness or t imeli ness of t he Cont ent;

(b) c hange s to the So ftwar e or its co ntent c annot b e rever sed;
(c) i nform ation o r data pr ovide d by You unde r the sup ersed ed vers ion may b e clear ed and ma y need to b e
rec reate d or ente red aga in;
(d) t his Agre ement w ill app ly unle ss Soni q speci fy othe rwise ; and
(e) S oniq do es not gu arant ee that a ny supe rsede d versi on will r emain a vaila ble.
12. L iabil ity and D iscla imers
12. 1 All Sof tware i s provi ded on an " as is", " as avai lable " basis . You ac knowl edge th at the So ftwar e, due to i ts
nat ure, ca nnot be g uaran teed er ror fre e and You acc ept tha t the exi stenc e of such e rrors s hall no t be
con strue d as a brea ch of thi s Agr eemen t of sect ion 54 of t he Austr alian C onsum er Law Sc hedul e to the
Com petit ion and C onsum er Act 201 0 (Cth) a s amend ed ("AC L").
12. 2 You ar e solel y respo nsibl e for ens uring t he Soft ware is s uitab le for Your purpos es, inclu ding the App roved
Pur poses . You ha ve not ma de know n to Soni q any par ticul ar purpos e for whi ch You requ ire the So ftwar e.
12. 3 Excep t as spec ifica lly sta ted her ein, or a s conta ined in a ny expr ess war ranty p rovid ed in rel ation t o the
Sof tware , the Agre ement d oes not i nclud e by impl icati on any ot her ter m, condi tion or warr anty in resp ect
of th e quali ty, merc hanta bilit y, acc eptab ility, f itnes s for pur pose, c ondit ion, de scrip tion, a ssemb ly,
man ufact ure, de sign or p erfor mance o f the Sof tware o r any con tract ual rem edy for i ts fail ure.
12. 4 You ac knowl edge th at:
(a) You h ave not r elied o n any ser vice in volvi ng skil l and jud gemen t, or on an y advic e, reco mmend ation ,

the S oftwa re and You ha ve the so le resp onsib ility o f satis fying You rself t hat the S oftwa re is sui table
for You r inten ded use .
12. 5 If You are a co nsume r as defi ned in th e ACL , nothi ng in thi s Agre ement r estri cts, li mits or m odifi es Your
rig hts or re medie s again st Soni q for fai lure of a s tatut ory gua rante e provi ded und er the ACL .
12. 6 If clau se 12.5 d oes not a pply, th en othe r than as s tated i n the Agre ement o r any wri tten wa rrant y
sta temen t, Soni q is not li able to You i n any way h owsoe ver ari sing un der or in c onnec tion wi th the sa le,
lic ence, i nstal latio n, use of , stora ge or any o ther de aling s with th e Softw are by You or a ny thir d party.
12. 7 For cla rity, ex cept to t he exte nt of any l iabil ity imp osed by t he ACL:
(a) S oniq wi ll not be l iable t o any par ty in any w ay for an y injur y, loss or d amage ari sing out of or re lated to
the u se (or th e inabi lity to u se) the S oftwa re,
(b) S oniq wi ll not be l iable f or any di rect, i ndire ct, inc ident al, spe cial or c onseq uenti al loss o r damag e,
inc ludin g loss of p rogra ms or dat a, corr upted p rogra ms or dat a, dele ted pro grams o r data, o r the cos t
of se rvici ng or rep lacin g equip ment.
12. 8 Nothi ng in thi s Agr eemen t is to be inte rpreted a s excl uding, re stricti ng or modifying the effe ct or applic ation
of an y legis latio n that ca nnot be s o exclu ded, re stric ted or mo difie d.

13. 1 Any per sonal i nform ation pr ovided by You to Son iq via the Sof tware will b e held on a da tabase mai ntaine d
by or o n behal f of Soni q.
13. 2 The inf ormat ion on th is data base ma y be used , store d and tra nsmit ted by So niq in ac corda nce wit h the
Onl ine Pri vacy Po licy. Fo r examp le, Son iq may us e this in forma tion fo r marke ting, p lanni ng, pro duct
dev elopm ent, re searc h and oth er comm ercia l purpo ses. Fo r furth er deta ils, pl ease re fer to So niq's

14. 1 Notic e. Soni q may del iver an y notic e to You via po p-up wi ndow, di alog bo x or othe r means , even th ough

del ivere d on the da te Soni q first make s it availab le throug h the So ftware, ir respec tive of when You act ually
rec eive it .
14. 2 Compl ete Agre ement . This Agr eemen t const itute s the com plete Ag reeme nt betw een the You a nd Soni q
and s upers edes al l previ ous com munic ation s and rep resen tatio ns or agr eemen ts, eit her ora l or writ ten,
wit h respe ct to the S oftwa re.
14. 3 Waiver. An y failu re by Soni q to insi st upon or enf orce stric t perform ance of any pro vision of th is Agre ement
sha ll not be c onstr ued as a wa iver of a ny such p rovis ion or ri ght. Any w aiver i s only va lid if in w ritin g and
onl y to the ex tent se t out in th e waive r.
14. 4 Sever abili ty. If a pro visio n is unen force able it m ust be re ad down t o be enforce able or, if i t canno t be read
dow n, the pr ovisi on must b e sever ed from t he Agree ment, w ithou t affec ting th e enfor ceabi lity of t he
rem ainin g provi sions .
14. 5 Gover ning La w. This Agr eemen t will be g overn ed by the l aws of th e State o f Victor ia, Aust ralia .
14. 6 No Thir d Party B enefi ciari es. This Ag reeme nt is int ended s olely f or the be nefit o f You an d Soniq . No
per son not a p arty to t his Agre ement m ay brin g a cause o f actio n pursu ant to th is Agree ment as a t hird
par ty bene ficia ry here of.
