Remote Control
You can access all of the DPF’s features, and perform all of the functions by using the remote control. You will be able to perform several
functions with the remote control that are not possible with the top-back panel control buttons.
Note: Before first time use, pull the plastic tab sticking out of the remote control. It protects the battery and the remote control
will not work unless it is removed.

Control Buttons on DPF
You can perform many (but not all) of the DPF functions by using the control buttons located on the top-back panel of the DPF. Their basic
functions are the same no matter when you use them.
The instructions throughout this User Guide only reference the use of the remote control. However, if desired, you can use the frame
control buttons when the

Getting Started
1. Plug the AC Power Adapter into the DPF’s DC power jack and an electrical wall outlet.
2. Slide the power button on the left side of the DPF up to the ON position.
3. The DPF will automatically connect to the cellular network.
4. A slideshow will begin displaying the photos that are stored in the internal memory.
5. To view your own photos from a memory card or USB flash drive, insert into the appropriate slot or port on the right side of the DPF.
CAUTION: The memory cards will only fit in one direction; do not force them as this will dama ge the card reader.
6. A pop-up window will appear; press ENTER on Start Slideshow.

Photo Mail
The Photo Mail feature allows your DPF to receive emails with photos attached sent from your family & friends via their Smart Phones, PCs
or Netbooks. You can then download those photos directly into your DPF’s internal memory.
IMPORTANT: The unique Photo Mail email address is only for receiving photos directly into your DPF. Do not attempt to use the

within the USA, and then send it to someone outside of the USA, all of the unit’s features will function properly except
the Photo Mail feature.
Criteria for Photo Mails
Photo files attached to emails can be in popular photo formats.
Your senders can enter the Photo Mail email address in the ‘To’ or ‘Cc’ field of their email, but not in the ‘Bcc’ field.
A maximum of 30MB can be sent per email (1 photo or sum of multiple photos attached).
Photos larger than 800x600 pixels will automatically be rescaled to fit the DPF’s screen.
Photos smaller than 80x60 pix els or 15KB will not be delivered to the DPF.
If emails include embedded photos t hat are larger than 15KB (i.e., signature logo, background photo), those photos may be
included along with the attached photos as downloadable.
Photo Mails are assigned a date when the server receives them. Since the server is based on Greenwich Mean Time (GMT),
depending on the time of day, your Photo Mails may have the following day’s date when you receive them. The follow ing table
shows how the Photo Mails are affected by the time zone criteria.

Photo Mails from Cellular Phones
In order to receive Photo Mails from cellular phones, the phone must be capable of sending Photo Mail Service email messages
(POP3/SMTP). This type of phone is often referred to as a Smart Phone.
Not all cell phones that have built-in cameras and have emailing capabilities are Smart Phones. If senders are attempting to email you
photos from their cell phones and you are not receiving them, they should check their cell phone documentation to be sure the phone
has POP3/SMTP email capabilities.
SPAM Filtering
In an effort to control SPAM, filtering rules are in place and apply to all Photo Mails sent through the Pandigital mail server
(panhub.net).
The current list of SPAM filtering rules can be found at
www.pandigital.net/PhotoMail click Support link. You can also call
Customer Support for more information: 1-800-715-5354. These rules are subject to change without notic e.
Receiving Photo Mails
Each DPF is pre-assigned a unique Photo Mail email address (i.e., unit_id@panhub.net ) that your family & friends will use to send
email messages with photos attached.
The pre-assigned Photo Mail email address can be found on the back of your DPF and on the System Information screen
(page 25).
If the
HOME screen is displayed or a slideshow is playing when Photo Mail messages are received,
a pop-up notification will appear on the screen until the DPF connects to the Photo Mail server. Once
connected, the
Photo Mail Inbox screen will be displayed.
If the DPF cannot connect with the Photo Mail server within 4 minutes, the pop-up message will
disappear and you can try connecting later by selecting
pressing
PHOTO MAIL.

Downloading Photo Mail Photos
Your DPF was pre-loaded with a bonus Photo Mail package, allowing you to receive and download photos immediately. One Photo
Mail Download is required for each photo you want to download through Photo Mail. When you need additional Photo Mail
Downloads, refer to
Note: There is no photo preview feature for viewing photos before downloading them. Also, you cannot select partial photo
downloads (i.e., if you select a photo mail with 7 photos, you cannot choose a portion of the 7 to be downloaded).
1. Press PHOTO MAIL on the remote control, or select Photo Mail on the HOME screen. The Photo Mail Inbox screen will be
displayed.
For optimal performance, a maximum of 20 emails will be displayed in the Inbox at any given time. At times, the email count
on the
HOME screen may indicate more than 20, which means you should download current emails to allow for newer ones
to be delivered.
The highlighted photo mail’s sender’s Email Address and Subject text appears in the white message area. If the sender
included a personal message within the body of their email, it will not be displayed.

Purchase Photo Mail Packages on page 11.)

5. The downloaded photos will appear in the background as a status window shows the progress of the download. Wait until the
download completes before pressing any remote control or back panel buttons.
Note: The downloaded Photo Mails are automatically removed from the Photo Mail Inbox to prevent duplicate downloads
which would result in duplicate deductions from your available downloads. However, if you download a different Photo
Mail with a photo attached named the same as one that already exists in the Internal Memory, the file name will be
renamed before it is imported into the internal memory. This prevents photos from being overwritten should you
receive different photos that have been named the same.
If desired, after you download photos from Photo Mails, you could copy them from the DPF to your PC using the instructions
beginning on page 23.
Lost Connection during Download
Should your unit lose connection during a download, you may see an error message and then the Photo Mail Inbox will be
displayed rather than the slideshow playing. The email you were downloading will no longer be listed in the Inbox even though
all photos may not have been successfully downloaded.

1. Exit the Photo Mail Inbox, and then re-connect to view the Inbox again.
2. The email that did not successfully download should now be listed and the photo total should reflect only the undownloaded
photos.
3. Select the email and try downloading the remaining photos.
4. If you are unable to download the remaining photos after multiple attempts, there may be data corruption which could prevent
a successful download; delete the email.
Note: You will only be charged for successfully downloaded photos.
Delete Photo Mail
If you do not want to download photos from specific Photo Mails, simply delete the Photo Mails from the Photo Mail Inbox.

You can block specific sender’s email addresses so you will not receive future photo mail from them, and you can unblock them at a

Personalized Digital Greeting Card
You can set a personalized greeting which displays when the DPF is powered on. This feature is especially useful when presenting this
DPF as a gift.
Greeting Card Virtual Keyboard
The virtual keyboard used for entering your personalized greeting is different than
the one used for other DPF modes (i.e., Photo Mail, Wi-Fi setup).

When the alarm sounds, press any button on the remote control to stop it and return to the CLOCK/CALENDAR screen.
To cancel the alarm before its scheduled time, follow the previous instructions for setting the alarm and set the frequency to
OFF.

Wi-Fi
This feature allows a wireless connection with multiple online photo sharing and streaming RSS content feed websites (i.e., Windows Live
FrameIt). You will be able to view images you have uploaded to these sites, as well as receiving streaming news, weather, traffic, and other
content feeds directly through the DPF.
Use this feature to also connect wirelessly to your PC for easy file transfer (page 24).
Set up DPF to connect to Photo Sharing Websites
Setting up your DPF to connect with the photo sharing websites requires the following 3 steps, which are covered later in this section:
A. Set up Wi-Fi Network by assigning the Wi-Fi network ID and password on the DPF.
B. Establish an account with the online photo sharing website and upload your photos to their website. (The available online photo
sharing websites vary depending on the DPF models.)
C. Assign your photo sharing website User ID and password on the DPF to connect with the site and view your uploaded photos
directly through the DPF.
You will use a virtual keyboard to enter dat a in som e of the setup screen fields. If you need help with navigating the keyboard,
refer to the Virtual Keyboard instructions on page 8.
Set up Wi-Fi Network
Note: You must have an active Wi-Fi network within range of the DPF, and the Pandigital Wi-Fi USB Adapter must be

Q: How do I receive Photo Mails from my family & friends?
A: Give your family & friends your unit’s unique Photo Mail email address (found on the back of the DPF) and as k them to send

c) For optimal performance, a maximum of 20 emails will be displayed in the Inbox at any given time. At times, the email count on

A: Yes, however, if a deleted sender sends future Photo Mails, their address will once again be added to the Senders List. If you
want to prevent receiving any future Photo Mails from specific senders, use the ‘Block Senders’ option instead of ‘Delete Senders’

Q: How many Photo Mails am I allowed to receive/download?
A: The only limitations are the number of Photo Mail Downloads you have purchased and the remaining memory for storing the
photos. Please note that a maximum of 20 emails will be displayed in the Inbox at any given time, so you may need to download
some emails already in the inbox to make room for more to be delivered.
Q: Is there a size limitation for Photo Mails or photos?
A: Photo Mails cannot exceed 30MB (1 photo or the sum of multiple photos attached).

Always follow these basic safety precautions when using your Multimedia Photo Mail® Digital Photo Frame (DPF). This will reduce the risk of
fire, electric shock, and injury.
WARNING: Do not expose this product to rain or moisture.
The DPF is for indoor use only.
Unplug the DPF before performing care and maintenance.
Do not block the ventilation holes on the back of the DPF at any time.
Keep your DPF out of direct sunlight and heat sources.
Protect the power cord. Route power cords so that they are not likely to be walked on or pinched by items placed on or against
them. Pay particular attention to the point where the cord attaches to the DPF.
Only use the AC adapter included with the DPF. Using any other power adapter will void your warranty.
Unplug the power cord from the power outlet when the unit is not in use.
Cleaning the DPF
Treat the screen gently, it is made of glass and can break. To clean fingerprints or dust from the LCD screen, we recommend using a
soft, non-abrasive cloth such as a camera lens cloth to clean the LCD screen. If you use a commercial LCD Cleaning Kit, do not apply
the cleaning liquid directly to the LCD screen. Clean the LCD screen with cleaning cloth moistened with the liquid.
Clean the outer surface of the DPF (excluding the screen) and the remote control with a soft cloth dampened with water.
Do not remove the cover. There are no user-serviceable parts inside. Refer all servicing to qualified personnel.

The product must be accompanied by a copy of the original retail purchase receipt. If no proof of purchase is attached, the warranty will not be honored and repair
costs will be charged. This warr anty is only valid with written d ocumentation detailing the complaint attached to the outside or inside of the carton. This warranty is
invalid if the factory applied serial number has been altered and or removed from the product. This warranty does not provide protection for the loss of data,
regardless of format. Pandigital reserves the right to modif y and design this product without prior notice, written or ot herwise.
To obtain warranty service, you must deliver the product freight prepaid in either its or iginal packaging or packaging affording an equal degree of protection, plus
proof of purchase.
Repair or replacement as provided under this warranty is the exclusive remedy of the consumer. Pandigital, its parent company, affiliates or subsidiaries, shall not
be liable for any incidental or co nsequential damages for breach of any expressed or implied warranty on this product. Exc ept to the extent prohibited b y applicable
law, any implied warranty of merchantability or fitness for a particular purpose on this product is limited in duration to the duration of this warranty.
Some states do not allow the exclusion or limitation of incidental or cons equential damages, or allow li mitation on how long an implied warranty lasts, so the above
limitations or exclusions may not apply. This warranty gives you specific legal rights, and you may have other rights, which vary from state to state.

graphics, logos, designs, photographs, button icons, ima ges, audio/video clips, digit al downloads, data compilations, and software, is the property of Pandigital or

the original resolution of your content may be affected. Further, if you upload an image that is too large, Pandigital may in its discretion may down-sample the
image size.

Digital Image Storage: Images sent to your Photo Mail
Digital Photo Frame are delivered to your active device and must be approved or deleted when received.
Pandigital will hold a maximum of five hundred transmitted images on its servers for a minimum of fourteen days from the date of transmission while awaiting
approval or deletion. Any images not approved or deleted within the allotted time frame will be permanently deleted from our servers. Any images transmitted
above the maximum allowed number of imag es will be deleted from our servers. Pandigital reserves the right to increase or decrease the holding period and/or
quantity limitations for images at its discretion. Under no circumstances will Pandigital be responsible for the loss of any images at any time for any reason.
Non-deliverable Photo Mails: Pandigital will attempt to deliver all Phot o Mails that are received. Photo Mails are considered undeliverable after two delivery
attempts and will be deleted from the Pandigital server.

Frame, Pandigital may delete, move, and edit Content for any reason, at any time, without notice. All content that is processed and received on the Photo Mail
Digital Photo Frame is the responsi bility of the person who a) sent it and b) approved it on the Photo Mail
content. By accepting images from unknown persons, you may be exposed to content that you consider offensive. You take s ole responsibility for such exposure.

Choice of Law: The state and federal courts of California are the exclusi ve forum and venue to resolve an y and all disputes arising out of or otherwise relating to
these Terms and Conditions. You consent to personal jurisdiction and venue by the stat e and federal courts of the State of California.
Modification of Terms: Pandigital may amend these Terms and Conditions at any time, for any reason, and without notice, including the right to terminate the
Photo Mail
Entire Agreement: These Terms and Conditions constitute the entire agreement between you and Pandigital governing your use of the Photo Mail

Digital Photo Frame or any part of the related services. Any amendments or modifications made by Pandigital will be prospective only.

Frame and related services. In the case of inconsistencies between these Terms and Conditions any information included in off-line materials, these Terms and
Conditions will always control. You may also be subject to additional terms and conditions that may apply when you use Pandigital Affiliate services, third-party
Content, or third-party software. The failure of Pandigital to exercise or enforce any of these Terms and Conditions will not constitute a waiver of such Te rms an d
Conditions. If any Terms and Conditi ons are found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor
to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms and Conditions remain in full force and effect.
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the CDP or related services or these Terms and Con diti ons
will be filed within one year after such claim or cause of action arose , or be forever barred.
End User License Agreement
This End User License Agreement (“EULA”) is a legal agreement between yo u and PANDIGITAL Incorporated (“PANDIGITAL”) for use of the software
accompanying the “Device” (as defi ned below), which includes “PC Software” (as defined below), device software and electronic documentation (“Software”). BY
USING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY ALL OF THE TERMS SET FORTH BELOW. IF YOU DO NOT AGREE TO THE TERMS OF
THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE; YOU MAY RETURN IT TO YOUR PLACE OF PURCHASE FOR A FULL REFUND, IF
APPLICABLE.
1. License Grant. PANDIGITAL hereby grants to you a non-exclusive, non-transferable li mited copyright license to use, access, display, and run the Software on
or in connection with the PANDIGITAL device (“Device”), display run, access, use the p ersonal computer software included with the Software (“PC Software”)
on one personal computer and use such PC Software in connection with your use of the Devic e. All rights not expressl y granted are reserved by PANDIGITAL.
This license is with respect to copyri ght rights only and specifically excludes any and all patent rights. The terms of this EULA will govern any upgrades provided
by PANDIGITAL that replace and/or supplement the original Software, unless such upgrade is accompanied by a separate license in which case the terms of
that license will govern. The license rights granted under this EULA are limited to the first thirty (30) days after you first use the Software unless you su pply
information necessary to activate your subscription to the PANDIGITAL mobile television service (“PANDIGITAL Service”). You may subscribe to the
PANDIGITAL Service through the Internet or telephone; toll charges may apply.
2. Restrictions. You agree not to exceed the scope of the foregoing license, copy, create derivative works, reproduce, modify or distribute the Software. Subject
to applicable law, you agree not to decompile, reverse engineer, disassemble or otherwise attempt to l earn the source code, structure or algorithms underlying
the Software. You agree not to (i) remove any copyright or other proprietary notice from the Software, (ii) sublicense or transfer the Software to a third party; (iii)
extract or replace any part of t he S oftware; or (iv) sell, rent, lease, lend, provide commercial hosti ng services or otherwise transfer the software for value. This
EULA does not allow you to use the Software on any device or personal computer that you do not own or control, and you may not distribute or make the
Software available over a network where it could be used by multiple devices at the same time.

3. No Licenses. For the avoidance of doubt, all communications and/or broadcasting f eatures, functions and/or technologies of any products and/or services
which enable or permit the transmissio n and/or receipt of communications and/or broadcasting signals (such as and without limitation CDMA (including, without
limitation, cdmaOne, cdma2000 and RTT MC), EV-DO, EV-DV, HSDPA, HSUPA, HSPA+, TD-CDMA, TD-SCDMA, WCDMA, UMTS, OFDM, OFDMA, FLO,
GSM, GPRS, EDGE, TDMA, DVB-H, ISDB-T, T-DMB, DVB-T, DAB, 3GPP LTE, WiMax, WiFi, UMB, 802.11, 802.16, 802.20, etc.) are not included in the
licenses or any other rights granted to you under this EULA, either expressly or by implication, est oppel or otherwise.
5. Security Software. The Software includes rights management technology (“Security Software”) to protect the integrity of content (“Secure Content”) so that
certain intellectual property rights, including copyright, are not misappropriated. Portions of the Software use Security Software to make Secure Content
available for viewing. If the Secure Software’s security has been compromised, then the Secure Content may not display and/or play. PANDIGITAL may require
you to upgrade some of the Software before accessing content. When you attempt to view such content, the Device will ask you to upgrade the Software and
you may need to synch the Device with your computer or contact PANDIGITAL by teleph one. If you decline to upgrade, you may not be able to access content
on the Device.
6. Upgrades. To use Software identified as an upgrade, you must first be licensed for the software identified by PANDIGITAL as eligible for the upgrade. After
upgrading, you may no longer use the Software that formed the basis for your upgrade eligibility. You acknowledge and agree that PANDIGITAL may
automatically check the version of the Software and/or its components that you are utilizing and may provide upgrades or fixes to the Software.
7. Technical Information. You agree that PANDIGITAL and its affiliates may collect and use technical informatio n related to the Device, the PANDIGITAL Service
and your usage thereof. PANDIGITAL’s use of such information is further described in our privacy policy l ocated at ww.pandigital.net/legal/privacy-statement.
8. Termination. This Agreement shall terminate immediately, without notice, if you fail to comply with any material term of this Agreement. In addition,
PANDIGITAL may terminate this Agreement at any time upon notice to you and by posting notice on PANDIGITA L’s website located at ww.pandigital.n et. Upon
termination you agree to imm ediately erase the Software from your Device and personal c omputer. Sections 2, 3, 4 and 8-14 s hall survive the expiration or
termination of this EULA.
9. Disclaimer of Warranty. THE SOFTWARE IS LICENSED TO YOU “AS IS.” PANDIGITAL IT’S MANUFACTURERS, LICENSORS AND THEIR RESPECTIVE
AFFILIATES DISCLAIM ANY AND ALL WARRANTIES REGARDING THE SOFTWARE, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT
LIMITATION, THE IMPLIED WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPO SE. PANDIGITAL, IT’S MANUFACTURERS, LICENSORS AND THEIR RESPECTIVE AFFILIATES DO NOT WARRANT THAT THE
OPERATION OF THE SOF TWARE WILL BE UNINTERRUPTED OR ERROR FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF
IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY OR MAY BE LIMITED IN THOSE JURISDICTIONS.
10. WAIVER OF CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PANDIGITAL OR IT’S
LICENSORS, MANUFACTURERS AND THEIR RESPECTIVE AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT
DAMAGES OF ANY KIND ARISING OUT OF THE USE OF THE SOFTWARE, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF
THIS EULA (INCLUDING BUT NOT LIMITED TO LOST DATA, LOST PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS
INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF
REASONABLE CARE, FOR NEG LIGENCE AND FOR ANY OTHE R PECUNIARY OR OTHER LOSS WHATSOEVER), EVEN IF PANDIGITAL OR ITS

LIMITATION, ALL DAMAGES REFERENCED HEREIN AND ALL DIRECT OR GENERAL DAMAGES IN CONTRA CT OR ANYTHING ELSE), THE ENTIRE
LIABILITY (IN THE AGGREGATE) OF PANDIGITAL, ITS LICENSORS, MANUFACTURERS AND THEIR RESPECTIVE AFFILIATES UNDER ANY
PROVISION OF THIS EULA AND YOUR EXCLUSIVE REMEDY HEREUNDER (EXCEPT FOR ANY REMEDY OF REPAIR OR REPLACEMENT ELECTED
BY PANDIGITAL WITH RESPECT TO ANY BREACH OF THE LIMITED WARRANTY) SHALL BE LIMITED TO US $30.00. THE FOREGOING LIMI TATIONS,
EXCLUSIONS AND DISCLAIMERS (INCLUDING SECTIONS 9, 10 AND 11) SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
12. Export. The Software is subject to the export control laws and regulations of the United States and other jurisdictions. You agree to comply with all such laws
and regulations.
13. U.S. Government End Users. This section only applies to the U.S. Government or if you are or are acting on behalf of an agency or instrumentality of the U.S.
Government. The Software is “commercial computer software” developed exclusively at private expense. Pursuant to FAR 12.212 or DFARS 227 7202 and the ir
successors, as applicable, use, reproduction and disclosure of the Software is govern ed by the terms of this Agreement.
14. Miscellaneous. This EULA is governed by the laws of the State of California, USA, without regard to California’s conflict of law principles.
Convention on Contracts for the Sale of International Goods does not apply to this EULA. If any provision hereof is held illegal, invalid or unenforceable, in
whole or in part, such provision shall be modified to the minimum extent necessary to make it legal, vali d and enforceable, and the legality, validity and
enforceability of all other provisions of this EULA shall not be affected thereb y. Current versions of PANDIGITAL’s Privacy Sta t em ent, w hic h desc ri bes our
privacy policies, and PANDIGI TAL Customer Contract , which sets forth the terms and conditions of the PANDIGITAL service, are hereby incorporated by
reference and available for your review at ww.pandi gital.net/legal/privacy-s tatement and ww.pandigital.net/l eg al/customer-contract respectively. This EULA
constitutes the entire agreement between you and PANDIGITAL regarding its subject matter and supersedes any prior or contemporaneous agreement,
whether written or oral, relating to the subject matter of this EULA. If any provision of this EULA is held to be void, invalid, unenforceable or illegal the provisions
of this EULA shall continue in full force and effect. To the extent any PANDIGITAL policies or programs for support services conflict with the terms of this EULA,
the terms of this EULA shall control. This EULA may be updated from time to time.

I. PANDIGITAL Incorporated (“PANDIGITAL”) Customer Contract
Thank you for choosing PANDIGITAL. Please read this Contract carefully. This is the contract that applies to your paid, trial, promotional and other PANDIGITAL
subscriptions and use of PANDIGITAL service (the “Contract”). By using the PANDIGITAL service, you are accepting this Contract and you ar e bound b y its ter ms
and conditions. This Contract applies to all of the services provided to you by FLOTV. Please keep in mind that the PANDIGITAL Privacy Statement and the End
User License Agreement (“EULA”) for your PANDIGITAL device(s) (“Device”) are additional contracts by which you also are bound, both of which are incorporated
herein and shall become a part of this Contract. If there are any expr ess conflicts between this Contract and your EULA or the PANDIGITAL Privacy Statement, the
EULA or the PANDIGITAL Privacy Statement will govern. For a copy of the PANDIGITAL Privacy Statement, please visit. A copy of the EULA may be found in the
documents included in your De vice package at the time of purchase or at www.pandigital.net/ l egal and www.pandigital.net/l egal/ptv350-eula. Please keep this
Contract, a copy of the PANDIGITAL Privacy Statement and the EULA for your r ecords. You can obtain updated copies of this Contract by visiting our website at

A. Acceptance of this Contract:
THIS CONTRACT STARTS WHEN YOU ACCEPT. You accept when you do any of the following things:

Give PANDIGITAL a written or electronic signature; or
Use the PANDIGITAL service, including your use of the ser vice after changes or additions to your subscription have been made and we have notified you that
the change or addition requires your acceptance.
IF YOU DON'T WANT TO ACCEPT, DON'T DO ANY OF THESE THINGS. You can cancel, change or transfer your subscription only as allowed in Section D
of this Contract.
B. The PANDIGITAL Service:
1. How the PANDIGITAL Service Works: The PANDIGITAL service is an over-the-air multicast service which provides various TV and other content offerings.
Since this is an over-the-air service, the quality of your signal and your ability to get the service may be affected by your location. We can't provide service
when your Device isn't in range of a transmission site used to provid e the service. You must be within ou r coverage area to use the service and to perform
certain functions from your Device, such as initial activation of the service, deactivation, and service changes (to name a few). Even within our coverage
area, there are many factors, including network capacity, your De vice type, terrain, your proximity to buildings, foliage and weather (to name a few) that
may impact availability and qual ity of the service. You acknowledge and accept these limitations of the PANDIGITAL service.
2. PANDIGITAL Service Changes: The content available on the PANDIGITAL service may change. W e are permitted to change, rearrange, add, delete, or
cancel any content, networks, shows, content providers, program schedules, menu order, programs and channel availability and service functionality with
or without notice to you at any time. Please visit www.pandigital.net or contact our Customer Care department if you have any questions regarding the
changes that we make to your service.
3. Interrupted Service: The PANDIGITAL service may be interrupted or restricted without notice to you, including for emergency broadcasts and alerts and
blackout restrictions for spor ts and other programming offered as part of the PANDIGITAL ser vice. We are not required to give any refunds or credits if
your service is interrupted or if your ability to use the service is limited based on our network’s coverage and availability. Please visit www.pandigital. net or
contact our Customer Care d epartment if you have any questions regarding interruption of your service.
C. Terms of the Contract and Your PANDIGITAL Service Plan:
1. Changes to Terms of the Contract: Your service is subject to our business policies, practices and procedures, which we can c hange without giving notice
to you. UNLESS OTHERWISE PROHIBITED BY LAW, WE RESERVE THE RIGHT TO ADD TO OR CHANGE THE TERMS AND CONDITIONS OF THIS
CONTRACT AT ANY TIME. ANY OF THESE CHANGES OR ADDITIONS WILL GO INTO EFFECT WITHIN 5 BUSINESS DAYS AFTER WE NOTIFY
YOU OF THEM. Please visit www.pandigital.net or contact our Customer Care department if you have an y questions about these changes and how they
apply to your use of the serv ice and/or your Device).
2. PANDIGITAL Service Plan Choices: When you sign up for th e PANDIGITAL service and accept this Contract, you will be purchasing a PANDIGITAL
subscription package that generally sets out your PANDIGITAL subscription information and s ervice features, including (to name a few allowances and
features) the term, duration, billing information, payment due dates, price, costs, fees, taxes and recurring charges associated with those allowances and
features. WE WILL REFER TO YOUR PANDIGITAL SUBSCRIPTION PACKAGE AND RELATED TERMS AS YOUR “PLAN”. YOUR PLAN WILL
BECOME PART OF THIS CONTRACT. If a term or condition of your Plan expressly conflicts with this Contract, the term or condition in your Plan will
govern. If at any time you change your service (for example, by accepting a promotional opportunity offered by PANDIGI TAL or subscribing to a new
service offering), you'll be subject to the requirements, such as a new minimum term, associate d with that change.
3. Service Included Offers: From time to time, PANDIGITAL may offer a period of service as included in the price when a Device is purchased. These kinds of
offers will only apply to certain devices and PANDIGITAL service plan subscriptions. These offers will be available for a limited time only and are valid one
time per Device. Cancellation of your subscription before the expiration of the applicable term may result in a termination fee as detailed in this Contract
and/or your Plan. Any service-included offer cannot be combined with any other offers and PANDIGITAL reserves the right to cancel or modify the offer(s)
at any time. Please check out our website at www.pandigital.net from time to time or visit one of our authorized sales locations to determine whether there
are any Service Included Offers available regarding a specific device.
D. Your Rights to Change, Transfer or End Your Service; Termination Fees; Automatic Renewals:
Except as explicitly permitted by this Contract, you agree to maintain service with PANDIGITAL for the minimum term set forth in your Plan (keeping in mind
that periods of suspension of service or free promotions don't count towards fulfillment of your minimum term). After that, your Plan will renew automatically for
another period of the same length under the terms of this Contract unless you choose to cancel prior to such renewal or your service is cancelled, terminated
or discontinued by PANDIGITAL or if you select a different Plan. Your account will automatically be charged (or you will be billed, as applicable) at the rates in
effect at the time of renewal. You have the right to change y our subscription package an d Plan. How the change will affect your charges will depend on the
choices you make. PANDIGITAL may, at our option, process your renewal on a month-to month basis instead of your chosen subscription term if there are
issues on your account. AN EARLY TERMINATION FEE MAY ALSO APPLY IF YOU CHOOSE TO END YOUR SERVICE BEFORE YOUR FIRST
RENEWAL OR ANY SUBSEQUENT RENEWAL, OR IF WE TERMINATE IT EARLY FOR GOOD CAUSE. Otherwise, and except as otherwise provided in the
next sentence, all terminations by you during a monthly billing cycle become effective on the last day of that billing cycle. You'll remain responsible for all fees
and charges incurred until then and you won't be entitled to any partial–month credits or refunds (unless you terminate within the first 5 days of your monthly
billing cycle). KEEP IN MIND, HOWEVER, THAT SUBSCRIPTIONS AND FEES FOR ALL PRE-PAID, AUTOMOTIVE PRE-PAID, MONTHLY, AND CERTAIN
PROMOTIONAL SUBSCRIPTIONS ARE NONREFUNDABLE. There will be no canc ellations, refunds, or credits allowed for day passes and event channel
subscriptions. Day passes and event channel subscriptions are payable in full on the date of purchase and no recurring charges will apply to you for such
passes. IN THE EVENT THAT WE ABANDON OR CEASE DISTRIBUTION OF THE SERVICE, WHETHER AS A RESULT OF LIQUIDATION,
BANKRUPTCY, OR OTHERWISE, ALL PREPAID SUBSCRIPTIONS WILL BE TREATED AS NONREFUNDABLE. Except as may be permitted by additional
device terms, each subscription to PANDIGITAL service is tied to one Device. You may have multiple Devices and multiple subscriptions. If you add additional
PANDIGITAL devices to your account, you must purchase a separate subscription for each one. You are allowed to transfer subscriptions from one Device to
another Device of the same “type”, but you may be charged a Transfer Fee. Because a subscription is t ied to a Device, if your Device is lost, stolen, or
otherwise transferred to another person, you must cancel or suspend your subscription or you will remain responsible for the pa
E. Charges, Fees and Taxes:
1. Charges and Fees We Set: In return for receiving the PANDIGITAL service, you agree to pay all access, usage, activation/deactivation fees and other
charges we bill you for or that the authorized user of your Device accepts. We may charge you one or more of the following fees:
Activation Fee: We may charge a one-time activation fee that is payable with your first subscription fee payment. The activation fee is currently $20.00.
Late Fee: IF WE DON'T RECEIVE PAYMENT IN FULL WHEN DUE, WE MAY, TO THE EXTENT PERMITTED BY THE LAW OF THE STATE OF THE
BILLING ADDRESS WE HAVE ON FILE FOR YOU AT THE TIME, CHARGE YOU THE LESSER OF A LATE FEE OF UP TO 1.5 PERCENT A MONTH
(18 PERCENT ANNUALLY) AND THE MAXIMUM AMOUNT PERMITTED BY LAW, OR A FLAT $5 A MONTH, WHICHEVER IS LESS, ON UNPAID
BALANCES. IF YOUR PLAN INVOLVES BILLING BY A THIRD PARTY, LATE FEES WILL BE SET BY THAT PARTY OR BY ITS TARIFFS, WHICH MAY
BE HIGHER THAN OUR LATE FEES. WE MAY ALSO CHARGE YOU FOR ANY COLLECTION AGENCY FEES AND COSTS INCURRED IN
COLLECTING FROM YOU AS PERMITTED BY RELEVANT LAW. We do not extend credit to customers and you acknowledge that any collection fee is
not an interest charge, finance charge, or other such charg e or payment of a similar nature and it is reasonably related to the actual e xpe nse we incur due
to unsatisfied payment and may be subject to legal limitations in your state.
Returned Payment Fee: If any bank or other financial institution refuses to honor any payment of yours, we may charge you a fee that is the lesser of (i)
$20.00 ($15.00 for residents of West Virginia); and (ii) the maximum amount permitted under applicabl e law. We do not extend credit to customers and you
acknowledge that any fee is not an interest charge, finance charge, or other such charge or payment of a similar nature and is reasonably related to the
yment of the subscription.

actual expense we incur due to unsatisfied payment and may be subject to legal limitations in your state.
Plan Change Fee: The Plan Change Fee is $5.00 if you select a different plan where the fee is less than or equal to the fee for your current Plan.
Transfer Fee: The Transfer Fee is $15.00 for each permitted transfer of a subscription. No transfer fee will be charged if, in the sole discretion of
PANDIGITAL, if the Device is defective.
Early Termination Fee: The Early Termination Fee is $75.00 which PANDIGITAL may prorate based on when termination occurs, unless otherwise stated
in your Plan. The Early Termination Fee applies only to the extent permitted by law. You will not be charged an Early Termination Fee if you terminate
during any Renewal Period though there may be an administrative or other fees for doing so. Promotional offers may have different Early Termination
Fees. If you buy your Device or purchase the PANDIGITAL service from an authorized agent or third–party vendor, you should check to see if they charge
a separate termination fee.
Taxes & Charges We Set: Usage charges, taxes and other fees may vary depending on where, when and how you use your Device or the PANDIGITAL
service.
We reserve the right to waive any of these fees, in whole or in part, at our dis cretion. If we waive any fee or any other provisions of this Contract, we will
not be deemed to have waived the fee or other contract provision for any other subscription or customer or as to any future occasion.
2. Taxes, Fees and Surcharges W e Don't Set: You are responsible for, and agree to pay, all taxes, fees and surcharges set by a ny governmental agency or
taxing authority. We may not always give advance notice of changes to these items.
F. Billing Statements & Account History, Bill Disputes and Payments:
1. Billing Statements & Account History: U nless you indicated at the time of p urchase or subscription that you would like to receive a billing statement or your
account history, you will not receive any billing statements or account history if you pay using a credit card, charge card or debit card. Billing/account
statements or your account history can be viewed online. The statement reflects the f ees and charges in effect under your Plan at the time they're incurred.
Your billing statement or account history is PANDIGITA L’s notice to you of your fees, charges and other important information including, without limitation,
payments, credits, purchases and any other charges to your account, your account balance and the payment due date. Charges may vary depending on
which Plan(s) and viewing packages you have chosen. Billing for your service and related charges may be delayed from time to time. Please visit
www.pandigital.net or contact our Customer Care departm ent if you would like to receive more detailed account histo ry or billing information or if you
believe there are any billing errors or otherwise have any questions related to your account history or bill. You must notify Customer Care or change your
information via your online account immediately in the event of any change in your name, billing address, service address, email address, telephone
number or credit card or other account information.
2. Bill Disputes: You can dispute your account history or bill by contacting our Customer Care department. Unless otherwise provided by law, you must still
pay any disputed charges until the dispute is res ol ved.
3. Payments: All payments must be made in U.S. Dollars. Payment is due in full each payment period. As a conditi on of your Plan, you may be obligated to
pay in advance by credit card or debit card. All amounts due must be paid by the due date to avoid any late fees and possible deactivation of the service.
We may, at our discretion, accept partial payments, which will be applied to the oldest outstanding charges on your account. If you are late in making any
payments to us, we reserve the rig ht to suspend or terminate your service, deactivate your Device immediately and report any late payment or nonpayment to credit reporting agencies. We may require an advance deposit (or an increased deposit) from you. We'll pay interest (if required) on any
deposit at the rate the law requires. Please retain your evidence of deposit. You agree that we can apply deposits, payments or pre–payments in any order
to any amounts you owe us on any of our accounts or Plans with us. You can't use a deposit to pay any bill unless we agree in writing. We will not honor
limiting notations you make on or with your checks.
G. Your Device, Safety, and Parental Controls:
1. Your Device: Your Device is any PANDIGITAL-enabled device you use to receive the PANDIGITAL service. Whether you buy your Device from
PANDIGITAL or someone else is entirely your choice. PANDIGITAL may change the software required for your Device, applications or programming
remotely and without notice. This could affect data you've stored on the Device, the way you've programmed the Device or the way you use your Devi ce.
PANDIGITAL shall not be liable for any damages whatsoever resulting from or arising out of the loss of data stored on your Device. We are not responsible
for the advertising, statements, practices, promises or services of sellers and manufacturers of the Devices.
2. Safety and Parental Controls: It is your responsibility to exercise discretion and observe all safety measures required by law and common sense. We
assume no responsibility for accidents resulting from or associated with the use of the PANDIGITAL service or your Device. DO NOT VIEW THE DEVICE
SCREEN WHILE DRIVING A VEHICLE OR OPERATING MACHINERY OR USE YOUR DEVICE OR THE PANDIGITAL SERVICE IN A MANNER THAT
WOULD OTHERWISE IMPAIR YOUR ABILITY TO DRIVE A VEHICLE OR OPERATE MACHINERY OR OTHERWISE ACT SAFELY. USE YOUR
DEVICE AND VIEW THE PANDIGITAL SERVICE ONLY WHEN YOU CAN SAFELY FOCUS ON WATCHING THE SCREEN. In addition, some
programming may include language and content which is not appropriate for viewing by users of all ages. It is your responsibility to impose viewing and
listening restrictions that you consider appropriate for you, your family members and guests. Some content may be inappropriate for some age groups and
we are not responsible for content that you or anyone else may find inappropriate. Some s ervices may be blocked to users u nder the age of 18.
Furthermore, some packages, channels, passes, or events may contain age restrictions due to mature content and therefore be unavailable for you to
purchase. Please visit our website to revi ew parental control options. Additional product warnings included with your Device should be followed.
H. Our Rights to Limit or End Your S ervice or This Contract:
You can only use the PANDIGITAL service for personal, noncommercial uses. You agree not to resell or redistribute the PANDIGITAL service to someone
else without PANDIGITAL’s prior written permission, which we can withhold in our s ole disc retion. You also agree that your Devic e and the PANDIGITAL
service won't be used for any purpose that isn't allowed by your Plan or this Contract or for any purp ose that's illegal. You agree that you won't install, deploy
or use any regeneration equipment or similar mechanism (for example, a repeater) to originate, amplify, enhance, retransmit, copy or regenerate a transmitted
radiofrequency signal(s). WE CAN, WITHOUT NOTICE, LIMIT, SUSPEND OR END YOUR SERVICE OR ANY CONTRACT WITH YOU FOR GOOD CAUSE,
including, but not limited to: (i) if you: (a) breach this Contract; (b) make a late payment more than once in any 12 month period or, in the case of pre-paid
subscriptions, if your credit or debit card is declined more than once during any 12 month period; (c) incur charges larger than a required deposit or billing limit
(even if we haven't yet billed the charges); (d) provide credit information we can't verify; (e) becom e insolvent or go bankrupt; (f) lie to us; (g) allow anyone to
tamper with your Device; or (ii) if you, any user of your Device or any authorized contact on your account: (a) threaten or commit violence against our
representatives; (b) use vulgar and/or inappropriate language toward our representatives; (c) harass our representatives; (d) interfere with our operations; (e)
"spam," or engage in other abusive activities; (f) modify your Device from its manufacturer's specifications; (g) use the Device or your service to violat e or
infringe upon any rights of any kind of us or any third party, including, but not limited to, copyright, trademark, contract, defamation, right of privacy or publicity
or any other right of any person or ent ity; or (h) use the service in a way that adversely affects us, our network or other customers, partners, representatives,
agents or affiliates. We can also temporarily limit your service for any operational or gov ernmental reason. WE CAN CANCEL ANY AND ALL PANDIGITAL
SERVICE OFFERINGS AT ANY TIME AND FOR ANY REASON.

1. Disclaimer of Warranties: EXCEPT AS OTHERWISE PROVIDED IN ANY SEPARATE LIMITED WARRANTY THAT MAY BE APPLICABLE TO YOUR
DEVICE, WE MAKE NO REPRESENTATIONS OR EXPRESS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, TO THE EXTENT PERMITTED BY
APPLICABLE LAW, REGA RDING ANY IMPLIED WARRANTY OF MERCHANTABI LITY OR FITNESS FOR A PARTICULAR PURPOSE CONCERNING
YOUR SERVICE OR YOUR DEVICE. WE CAN'T PROMISE UNINTERRU PTED OR ERROR–FRE E SERVICE AND DON'T AUTHORIZE ANYONE TO
MAKE ANY WARRANTIES ON OUR BEHALF. THIS DOESN'T DEPRIVE YOU OF ANY WARRANTY RIGHTS YOU MAY HAVE AGAINST ANYONE

CONSEQUENTIAL OR PUNITIVE DAMAGES FROM THE OTHER. THIS LIMITATION AND WAIVER ALSO APPLIES TO ANY CLAIMS YOU MAY
BRING AGAINST ONE OF OUR DISTRIBUTORS, ORIGINAL EQUIPMENT MANUFACTURERS, SUPPLIERS AND PARTNERS, TO THE EXTENT
THAT WE WOULD BE REQUIRED TO INDEMNIFY OR HOLD HARMLESS SUCH PERSON FOR SUCH CLAIM. YOU AGREE THAT WE ARE NOT
LIABLE FOR PROBLEMS CAUSED BY YOU OR A THIRD PARTY; BY BUILDINGS, ACCIDENTS, HILLS, NETWORK CONGESTION, TUNNELS,
TOWERS, WEATHER OR OTHE R THINGS WE DON'T CONTROL; OR BY ANY ACT OF GOD. YOU ALSO AGREE WE AREN'T LIABLE FOR MISSED
DATA OR INFORMATION OR DELETIONS OF DATA OR INFORMATION FROM YOUR DEVICE, EVEN IF YOU'VE SAVED THEM, OR FOR OTHER
INFORMATION THAT MAY BE LOST OR DELETED IF YOU GET YOUR DEVICE SERVICED B Y US . PANDIGITAL AND ITS A FFILIATES AND
PARTNERS ARE NOT RESPONSIBLE AND ASSUME NO LIABILITY FOR CONTENT OR ADVERTISEMENTS ON YOUR DEVICE OR THE
PANDIGITAL SERVICE, INCLUDING, WITHOUT LIMITATION, ANY LIBEL, DEFAMATION, OBSCENITY OR PROFANITY YOU MAY ENCOUNTER
USING THE SERVICE. IF ANOTHER SERVICE PROVIDER IS INVOLVED IN ANY PROBLEM, YOU ALSO AGREE TO ANY LIMITATIONS OF
LIABILITY THAT THAT SERVICE PROVIDER ALSO IMPOSES.
J. DISPUTES AND MANDATORY ARBITRATION CLAUSE. IT IS IMPORTANT THAT YOU READ THIS ARBITRATION CLAUSE. IT PROVIDES THAT YOU
MAY BE REQUIRED TO SETTLE ANY CLAIM OR DISPUTE THROUGH ARBITRATION, EVEN IF YOU WOULD PREFER TO LITIGATE SUCH CLAIMS

You may opt out of Mandatory Arbitration within the first sixty (60) days of receiving a copy of this Contract. Please contact our Customer Care department if
you would like to opt out of Mandatory Arbitration. If you do not opt out within sixty (60) days of receipt of this Contract, you accept Mandatory Arbitration. If
you opt out, you will not be required to arbitrate any claims. There is no penalty or other negati ve consequence if you do opt out.
1. GENERAL ARBITRATION PROVISION: The Federal Arbitration Act applies to this Contract. Any dispute, controversy or claim between us, regardless of
whether the legal theory is based on this Contract, another common law theo ry, a statute or another ground, will be settled by neutral arbitrators before the
American Arbitration Association (“AAA”). You can also bring any issues you may have to the attention of federal, state, or local government age ncies an d
they can, if the law allows, seek r eli ef against us on your behalf. This arbitration provision is not mandat ory in the event of claims below the applicable
small claims limit in your jurisdiction. You or PANDIGITAL may bring any such small claims matters outside of the arbitration setting, provided they are not
brought in a court of general jurisdiction.
2. FORUM SELECTION AND APPLICABLE PROCEDURE: Unless you and PANDIGITAL agree otherwise, the arbitration will take place in the county of
your billing address. For claims over $10,000 the AAA’s Wireless Industry Arbitration (“WIA”) rules will apply. In large/complex cases under the WIA rules,
the arbitrators must apply the Federal Rules of Evidence and a party may have the award reviewed by a panel of three new arbitrators. For claims of
$10,000 or less, the complaining party can choose either the AAA’s Supplementary Procedures for Consumer-Rel ated Disputes or individual action in
small claims court. You can ob tain procedures, rules and fee information from the AA A (www.ADR.org) or from us. Each of us may be required to
exchange relevant evidence in advance. For claims of $10,000 or less, we agree that you may choose whether the arbitration will be conducte d solely on
the basis of documents submitted to the arbitrator, by telephonic hearing, or by an in-person hearing. To initiate arbitration under this Contract, contact the
AAA, which will provide the necessary forms for you to submit. In the case of a conflict between any arbitration rules and this Contract, this Contract
governs.
3. NO CLASS ARBITRATION: THIS CONTRACT DOES NOT PERMIT CLASS ARBITRATIONS EVEN IF AAA OR WIA PROCEDURES OR RULES
WOULD. The arbitrator may award monetary or injunctive relief only in favor of the individual party seeking reli ef and only to the extent necessary to
provide relief warranted by that party’s individual claim. IF THIS PROHIBITION ON CLASS ARBITRATIONS IS DEEMED UNENFORCEABLE UNDER
APPLICABLE STATE LAW, THEN THE ENTIRE ARBITRATION CLAUSE SHALL BE DEEMED UNENFORCEABLE AND ANY CLASS CLAIMS SHALL
BE BROUGHT AND ADJUDICATED IN A COURT OF COMPETENT JURISDICTION. IN NO CIRCUMSTANCE SHALL CLASS CLAIMS BE BROUGHT
OR ADJUDICATED IN ARBITRATION.
4. CLAIM NOTICES: If you or we have a claim that arises from or relates to your PANDIGITAL subscription, the balance on your account, your Device, any
prior account you had with us, your application, or the enforceability of this Contract or any prior agreement, before initiating, joining, or participating in any
lawsuit, arbitration, or other legal proceeding, the complaining party shall give the other party: (1) a written notice of the claim (referr ed to below as a “Claim
Notice”), at least 30 days before initiating any such proceeding, explaining in reasonable detail the nature of the claim and any supporting facts; and (2) a
reasonable good faith opportunity to resolve the claim without the necessity of a lawsuit, arbitratio n, or other legal proceeding. Any Claim Notice directed to
PANDIGITAL shall be sent to us at PANDIGITAL Incorporated, Attn: General Counsel, 5775 Morehouse Drive, San Diego, California 92121. Any Claim
Notice directed to you shall be sent to your address appearing in our records or, if you are represented by counsel, to your attorney at your attorney’s office.
5. USE OF ARBITRATION AWARD OR JUDGMENTS IN SUBSEQUENT CASES: An arbitration award and any judgment confirming it only applies to the
arbitration in which it was awarded and can’t be used in any other case except to enforce the award itself.

Privacy Statement and that we may collect and transmit information about you and your use of the service in accordance therewith.
2. Credit Cards: You authorize us to investigate your credit history at any time and to share credit information about y ou with credit reporting a gencies and
other PANDIGITAL companies, affiliates, agents or representatives. If you ask, we'll tell you the name and address of any credit agency that gives us a
credit report about you.
3. Special Discounts: You may be eligible for a discount on your monthly access or subscription fee based on your affiliation with an organization that has an
agreement with us, or if you qualif y und er any government employee discount program. To make sure that you meet the eligibility requirements for such a
discount, we may require you to provide proof of your affiliation with your organization upon activation of the service or when
account or (other than for a government employee discount program) we may share certain informat ion relating to your service (including, without
limitation, your name and total monthly charge) with your organizat ion to verify your affiliation. We may adjust your discount in accordance with your
organization's agreement with us and remove your discount after your minimum term expires or if you end or change your affiliat ion with the organization.
You agree that any change or removal of your discount, based on your affiliation with the organization or your organization's agreement with us, shall not
be considered to have a material adverse effect on you.
4. About You: This Service is available fo r individuals aged 13 years or older. If you are 13 or older but under the age of 1 8, you should review these terms
and conditions with your parent or guardian to make sure that you and your parent or guardian understand these terms and conditions. If you're ordering
for an organization, you're representing that you're authoriz ed to bind it, and where the context requires, "you" means the organization.
5. Intellectual Property Rights: You ma y not, and you agree that you shall not, copy, decompile, disassemb le, reverse engineer or manipulate any technology
in, or otherwise modify or tamper with, any Devices and equipment used to receive the PANDIGITAL service. Nothing under this Contract or the fact that
you have access to and use of the PA NDIGITAL service gives you any right, title or interest or license in or to any programming and content available on
the PANDIGITAL service. Nothing under this Contract or the fact that you have access to and use of the PANDIGI TAL service gives you any right, title or
interest or license to reproduce or otherwise use our o r any third party trademarks, service marks, grap hics, or logos. You may not, and you agree that you

6. Survival: Except as provided for in this Section, all Sections shall sur vi ve the termination or earlier expir ation of this Contract.
7. About This Contract: A waiver of any part of this Contract in one instance isn't a waiver of any part or any other instance. You can't assign this Contract or
any of your rights or duties under it. We may assign all or part of this Contract or your debts to us without notice, and you agree to make all subsequent
payments as instructed. EXCEPT AS PROVIDED IN SECTION C(1), NOTICES ARE CONSIDERED DELIVERED WHEN WE SEND THEM BY EMAIL OR
FAX TO ANY EMAIL OR FAX NUMBER YOU'VE PROVIDED TO US, OR 3 DAYS AFTER MAILING TO THE MOST CURRENT BILLING ADDRESS WE
HAVE ON FILE FOR YOU. NOTICES ARE CONSIDERED DELIVERED TO US 3 DAYS AFTER MAILING TO THE CUSTOMER CARE ADDRE SS
BELOW OR ON YOUR MOST RECENT BILLING STATEMENT OR COPY OF YOUR ACCOUN T HISTORY.
8. Except as provided in Section J(3), if any part of this Contract is held invalid, that part may be severed from this Contract while the remainder of the
Contract continues in effect. This Contract and the documents to which it refers form the entire agreement between us on their subjects. You can't rely on
any other documents or statements on those subjects by any sales or service representatives, and you have no other rights with respect to service or this
Contract, except as specifically provided by law. This Contract is no t for the benefit of any third party except our parents, affiliates, subsidiaries, agents,
assigns and predecessors and successors in interest. Except to the extent we've agreed otherwise in the provisions on late fees, collection costs and
arbitration, or as required by Federal law, this Contract and all disputes between us (whether or not based on this Contract) are governed by the laws of
the state of your billing address, without regard to t hat state’s conflict of laws principles.

SUITABILITY, OR PERFORMANCE REGARDING ANY SERVICES OR GOODS, AND IN NO EVENT SHALL AT&T BE LIABLE, WHETHER OR NOT DUE TO
ITS OWN NEGLIGENCE, FOR ANY: (A) ACT OR OMISSION OF A THIRD PARTY; (B) MISTAKES, OMISSIONS, INTERRUPTIONS, ERRORS, FAILURES TO
TRANSMIT, DELAYS, OR DEFECTS IN THE SERVICE PROVIDED BY OR THROUGH THE UNDERLYING CARRIER; (C) DAMAGE OR INJURY CAUSED BY
SUSPENSION OR TERMINATION BY THE UNDERLYING CARRIER; OR (D) DAMAGE OR INJURY CAUSED BY A FAILURE OR DELAY IN CONNECTING A
CALL TO ANY ENTITY, INCLUDING 911 OR ANY OTHER EMERGENCY SERVICE. TO THE FULL EXTENT ALLOWED BY LAW, THE [END USER]
RELEASES, INDEMNIFIES AND HOLDS THE UNDERLYING CARRIER HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS OF ANY PERSON OR
ENTITY FOR DAMAGES OF ANY NATURE ARISING IN ANY WAY FROM OR RELATING TO, DIRECTLY OR INDIRECTLY, SERVICES PROVIDED BY THE
UNDERLYING CARRIER OR ANY PERSON’S USE THEREOF, INCLUDING CLAIMS ARISING IN WHOLE OR IN PART FROM THE ALLEGED NEGLIGENCE
OF THE UNDERLYING CARRIER.
