Consumer Warranty

Directed Electronics, Inc. (“DEI®”) promises to the original purchaser to repair or replace with a comparable reconditioned model any DEI® unit (hereafter the “unit”), which proves to be defective in workmanship or material under reasonable use during the first year, excluding accessories, following the date of purchase of the unit provided the following conditions are met: the unit was professionally installed and serviced by a professional installer; the unit will be professionally reinstalled in the vehicle in which it was originally installed by a professional installer; and the unit is returned to DEI, shipping prepaid with a clear, legible copy of the bill of sale or other dated proof of purchase bearing the following information: consumer’s name, telephone number and address; the dealer’s name, telephone number and address; complete DEI product description, including accessories; the year, make and model of the vehicle; vehicle license number and vehicle identification number. This warranty is non-transferable and is automatically void if: the original purchaser has not completed the warranty card and mailed it within ten (10) days of the date of purchase to the address listed on the card; the unit’s date code or serial number is defaced, missing or altered; the unit has been modified or used in a manner contrary to its intended purpose; or the unit has been damaged by accident, unreasonable use, neglect, improper service, installation or other causes not arising out of defects in materials or construction. TO THE MAXIMUM EXTENT ALLOWED BY LAW, ALL WAR-

RANTIES, INCLUDING BUT NOT LIMITED TO EXPRESS WARRANTY, IMPLIED WARRANTY, WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE AND WARRANTY OF NONINFRINGEMENT OF INTELLECTUAL PROPERTY, ARE EXPRESSLY EXCLUDED; AND DEI NEITHER ASSUMES NOR AUTHORIZES ANY PERSON OR ENTITY TO ASSUME FOR IT ANY DUTY, OBLIGATION OR LIABILITY IN CONNECTION WITH ITS PRODUCTS. DEI DISCLAIMS AND HAS ABSOLUTELY NO LIABILITY FOR ANY AND ALL ACTS OF THIRD PARTIES INCLUDING DEALERS OR INSTALLERS. DEI SECURITY SYSTEMS, INCLUDING THIS UNIT, ARE DETERRENTS AGAINST POSSIBLE THEFT. DEI IS NOT OFFERING A GUARANTEE OR INSURANCE AGAINST

VANDALISM, DAMAGE OR THEFT OF THE AUTOMOBILE, ITS PARTS OR CONTENTS; AND HEREBY EXPRESSLY DISCLAIMS ANY LIABILITY WHATSOEVER, INCLUDING WITHOUT LIMITATION,

LIABILITY FOR THEFT, DAMAGE AND/OR VANDALISM. THIS WARRANTY DOES NOT COVER LABOR COSTS FOR MAINTENANCE, REMOVAL OR REINSTALLATION OF THE UNIT OR ANY CONSEQUENTIAL DAMAGES OF ANY KIND. IN THE EVENT OF A CLAIM OR A DISPUTE INVOLVING DEI OR ITS SUBSIDIARY, THE PROPER VENUE SHALL BE SAN DIEGO COUNTY IN THE STATE OF CALIFORNIA. CALIFORNIA STATE LAWS AND APPLICABLE FEDERAL LAWS SHALL APPLY

Some states do not allow limitations on how long an implied warranty will last or the exclusion or limitation of incidental or consequential damages. This warranty gives you specific legal rights and you may also have other rights that vary from State to State. DEI does not and has not authorized any person or entity to create for it any other obligation, promise, duty or obligation in connection with this security system. This product is not covered by the Guaranteed Protection Plan (GPP).

Make sure you have all of the following information from your dealer:

A clear copy of the sales receipt, showing the following:

■Date of purchase

■Your full name and address

■Authorized dealer's company name and address

■Type of alarm installed

■Year, make, model and color of the automobile

■Automobile license number

■Vehicle identification number

■All security options installed on automobile

■Installation receipts

Terms and Conditions

You should carefully review the following terms and conditions ("Contract") before activating the Valet® Car Com™ services described in this guide. The National Dispatch Center, Inc. ("NDC") is only willing to provide Valet® Car Com™ services to you upon these terms and conditions. Activation of Valet® Car Com™ services will signify your agreement to be bound by these terms and conditions.

1.NDC agrees to sell to you and you agree to buy from NDC the Valet® Car Com™ services described in this Valet® Car Com™ owner’s guide ("Services") on the terms and conditions contained in this Contract. The Services will be provided for the region that includes your home state, indicated on the

Regional Service Coverage Areas map in the "Important Information" section of this guide.

2.Fees for Services include a one-time activation fee of $20.00, an annual fee of $24.00, and all taxes, assessments, tariffs and similar charges imposed by government authorities on Services provided to you ("Taxes"). Fees will be billed in advance to the Visa, MasterCard or American Express account you specify when you activate your Services. In addition, NDC has the right to periodically bill you for all messages in excess of 30 messages per calendar month directly to your credit card on file with NDC at a charge equal to 25 cents for each message in excess of 30, plus applicable Taxes.

3.The term of this Contract shall commence upon the date Services are activated by you and shall be for a minimum period of one (1) year. This Contract shall automatically be renewed for successive one-year periods unless you notify NDC in writing of your desire not to renew, or NDC notifies you in writing of its desire not to renew. Such notice must be given at least thirty (30) days prior to the end of any term, extension or renewal term.

4.Annual renewal fees and applicable Taxes shall be automatically billed in advance to the credit card on file with NDC. NDC reserves the right to modify the annual fee upon any renewal term without notice to you provided such modification is less than or equal to ten percent (10%) of the price for Services for the immediately preceding term. Further, NDC reserves the right to bill your credit card without notice to you upon a change in applicable Taxes.

5.If charges are dishonored or rejected by your credit card issuer for any reason, or NDC is otherwise unable to process any debit to your credit card account, NDC has the right to immediately suspend Services to you without notice until alternative payment arrangements are made.

6.If you wish to terminate Services, please notify NDC's Customer Service Department in writing at 8911 Balboa Avenue, San Diego, CA 92123. You will not be entitled to a refund for any pre-paid fees for Services charged to your account in the event of cancellation of Services before the end of any annual term.
