Battery

Your i99cl phone comes with a Lithium Ion battery and charger. After attaching the battery, you must charge it before you use it for the first time. See page 6 for the charging times for your phone’s battery. The first time you charge your phone’sbattery, chargefor 30 minutesmorethan the timeshown on page 7. After the initial charging, the battery can be charged in the timeshown on page 7.
Remove the battery from the protective plastic safety tray provided in the original packaging. When the battery is not attached to the phone, store it in the original tray.
NOTE:Use only the batteries approved for this product.

Attaching the Battery

Slide the battery cover release button away from the batterycover and remove the battery coverfrom the back of the phone.

USER TIP:Holding thebattery cover downward allows
it to fall easily from the back of the phone without being pulled.

Insert the top of the battery into the battery area. Press the bottom of the battery to secureit.

Replace the battery cover and pressit gently until you hear a click.

Charging the Battery

With your phone’s display screen facing up, plug the charger’s accessory connectorinto the leftside of the accessory connector on the bottom of the phone.

Plug the charger into an electrical outlet.

recommended that youchange your PIN to prevent fraudulent use of the SIM card (see the i99cl Phone User’s Guide on the enclosed CD for more information).

As your phone connects to the Nextel National Network,you willsee Welcome To Nextel and a connecting message.When the idle screen appears on the display, you are ready to use your i99cl phone!
If your display reads No Service or doesn’t change to the idle screen when you turn on your phone, and you know you are in a Nextel coverage area, contact Nextel Customer Care. For details on Nextel coverage areas, go to nextel.com.
To power the phone off:

To receive OARSS programming, you must enable OARSS security the firsttime you poweron your phone orwithin 20 days of first activation of your phone. See “Receiving Over-the-Air Programming” on page 11.

Receiving Over-the-Air Programming

Receiving Over-the-Air Programming
If youhave been set uptoreceive over-the-air programming, you must enable security (see “Enabling Over-the-Air-Radio-Service Software(OARSS)Security”onpage10).Within24hoursof enabling security, you will receive a Net Alert message containing the following:

Closed-Cover Features

You can use a variety of the i99cl phone’sfeatures and functions while the phone cover is closed.

Subscriber Identity Module (SIM) Card

Your phonecomes with a built-in level of security protection through the use of the SIM (Subscriber Identity Module) card. The SIM card is located in the SIM Card Holder on the back of the phone, underneath the battery. You can verify that the SIM card is in place by removing the battery and viewing the SIM card throughthe SIM card cover. If there is no SIM card in your phone, notify your Nextel Authorized Representative. The SIM card stores all of your Phonebook information and your Nextel account identification information.
NOTE:Except for making emergency calls, your phone
will not function without the SIM card.

Subscriber Identity Module (SIM) Card

SIM Card Personal Identification Number (PIN)

To prevent unauthorized use of your account, you can protect your SIM card by enabling the SIM PIN securityfeature. With the SIM PIN enabled, you must enter your PIN each time the phone is powered on. You can change or disableyourPIN if desired.
NOTE:It is recommended that you enable the SIM PIN
security feature to prevent fraudulent use of the SIM card.
Enabling/Disabling the PIN Security Feature
When the PIN security feature is enabled, you are prompted to enter your PIN each time you turn on your phone. Until a valid PIN is entered, you can use the phone only to make emergency calls.
Afterthe PIN is accepted,the phone registers on the networkand the idle screen displays.
When thePINsecurity featureisdisabled, the phonecanbe used without entering a PIN.

Opening and Closing Phone Cover

If you are viewing information on your phone’s one-line display screen,you can always open the phone cover to view more detailed information on the full-sized color display screen. However, if you are viewing information on the color display

screen,closing the phone cover terminates any activity your phone is engaged in — except poweringup, transferring data throughacable, and runningJavaapplications.Javaapplications will temporarily pause.
NOTE:Phone calls will not be suspended when closing
the coverwhen Flip Activation is set to ON.

Full-Sized Color Display Screen

The full-sizedcolordisplay screen consists of:
• statusicon rows—the top
two rows displaystatus. See “Status Icons”on page 18.

One-Line Display Screen

The one-line display screen displayslimited text and one icon on each side of the text.
The text displayed is a shortened version of information displayed on the full-sized screen. To see more completeinformation, open the phone cover.

The Idle Screen

The idle screen displays any time the phone is poweredon but not engagedin some activity.
The full-sizeidle screen displays NEXTEL, the time and date, and any active styles (see the i99cl Phone User’s Guideon the enclosedCD).Theone-lineidlescreendisplaysthetimeand date. You must start at the idle screentoaccess many of your phone’s features and functions.
When your phone cover is open, press r to access the idle screen.
NOTE:Closing and re-opening the phone cover will also
access the idle screen.

Status Icons

Statusicons provide you with information aboutyourphone and its functions. Theseiconsare context sensitive;meaning, the icons that appeardepend on the t ask you are performing. Status icons appearin the top two rows of the display screen.Some appear at all times.Others appear only when your phone is engaged in certainactivities or when you have activatedcertain features.

The icon of the main menu feature in use displays in the top left of the status icon rows. For a list of the main menu options, see “Main Menu Options” on page 22.

Text Display Area

The text displayarea shows menu options, messages, names, numbers,and otherinformation.
The number of lines of text displayedinthetext display area depends on which display view is selected:
• standard view
• compressed view
• zoom view
In standard view, five lines of text are displayed.

Menu Icon

The menui con S displays onanyscreen from whichamenu can be accessed. To accessa menu, press q on your keypad.
Menus are contextsensitive. The menu that displays depends on the screen thatwas displaying at the time that you pressed q. The options on the newly displayedmenu apply to the task you are currently performing.
Press q from the idle screen to access the main menu.

Display Options

Two displayoptions appear atthe bottom of most screens. These optionsenableyouto perform a wide variety of actions, including:

saving and viewing information

You activate a display option by pressing C below it. The idlescreen display optionsprovide quick access to two main
menu features. Bydefault, thePhonebook (PHBK)and Messages (MESG) displayoptions appear on the idle screen. You can control which display optionsappear on the idle screen usingt he Personalize feature in the Settings menu (see the i99cl Phone User’s Guide on the enclosed CD for more information).
NOTE:The display options on screens other than the
idle screen cannot be customized.
Navigating Menus and Lists
The i99cl phone is menu driven. By navigating through menus, you access submenuswhich lead to all of the functionsand featuresthat are built into your phone. Use the menus to store calls,manage your Phonebook andDatebook, changeyour phone settings, browse the Internet, and more.
Some features include lists of names, numbers, or other information. Theselist itemscanbe accessedthe same waymenu options are.
To access the items in a menu or list, scroll usingthefour-way navigation key at the top of your keypad.
Scrolldown by pressing the lower portion of the navigation key R.
Scroll up by pressingthe upper portion of the navigation key Q.
Holding down the appropriate part of the navigation key speeds up scrolling.

You can select My Info from the main menu to display or edit the following:
Name — enter your name in this field.
Private ID — your Private ID is displayed in this field. Your PrivateID is the numberthatothers use tocontact you using the Direct Connect feature.
Phone Numbersof Lines 1 and 2 — your phone’s numbers are displayed in these fields. You can edit the phone numbersdisplayed on the My Information screen, but this does not change your phone numbers.
Carrier IP — your phone’s carrier assignedIP address.
IP Addresses — these fields display the IP addresses you use to access the Internetwith your phone.
CircuitData Number (Ckt)— yourcircuit data numberis in this field.

The i99cl phone utilizes Nextel’s All-Digital National Network for digital cellular service. You can also use your i99cl phone to roam internationally on other iDEN WorldwideSMService.See nextel.com for coverage.

Using Direct Dial

From the idle screen, use the keypadto enter the 10-digit phone number you want to call.

If you make a mistake:
To clear one digit, press C under DELETE.
To clear all digits, press and hold C under DELETE.
To insert a digit, press T to move the cursor.
To cancel, press r.

Emergency Calling

Your phonesupports emergencycalling. Emergencycalls can be made even when the SIM card is blocked or not in the phone.
To place an emergency call, press 911s.Youare connected to thenearest emergencydispatch center. If you areon an active call, you must end it before calling 911.
NOTE:If you have enabled the Keypad Lock feature, you
must unlock the phone’s keypad before any calls can be made,including 911 emergency calls.

Receiving a Phone Call

Incoming calls are indicated by a ring, vibration, or backlight illumination. The screen will display:
• the caller’s name,if stored in your Phonebook and the icon
indicating the number type (work, home,mobile, etc.), or

Nextel Terms and Conditions of Service

TERMS AND CONDITIONS OFSERVICE: This Agreement starts when you open the inside package of anyphone or accessory equipment("Equipment"), you ("Customer") receivedwith this Agreement, orwhen you call to activate Nextel wireless communicationsservices ("Service"), or when you sign this Agr eement, whichever applies. By using the Equipment, Customer applies and subscribes for Services provided by Nextel (the "Company") and confirms that Customer has read, understands, agrees toand accepts the terms and conditions stated herein (the "Agreement"). Should there be any conflict between the terms andconditions below, and the terms and conditions of any current Service/Subscriber Agreement between Customer and Company covering the Equipmentaccompanying thisUser's Guide, the terms and conditions of the current Service/Subscriber Agreementwill control.
1. USE OF SERVICE - By executing thisAgreement, Customer covenants thatit
shall comply with all applicable laws, including without limitation all Federal Communications Commission rules and regulations. Customer will not use the Service forany unlawful purpose.Customerwill not usethe Service inaircraftor in motor vehicles where prohibited by law, ordinance or regulation, as applicable. Customer acknowledges and agrees that all f uture purchases of Company Services and Equipment by Customer shall be governed by the terms and conditions contained herein unless Customer and Company enter intoa subsequent Subscriber Agreement. Companymay change this Agreement at any time. Any changes ar e effective when Company provides Customer with written notice stating the effective date of the change(s). If Customer elects to use the Services or makeany payment to Company on or after the effective date of the changes, Customer is deemed to haveaccepted the change(s). If Customer does not accept thechanges, Customer may terminate Services as of the effective date by sending written notice to Company at the address shown on Customer's bill. If Servicesare terminated before the end of the current billing cycle, (i) no credit or refund will be provided for unused airtime; and (ii) any monthly recurring charge will not be prorated to the date of termination.
2. TERM-The Service Termof this Agreementshall be specifiedon the Subscriber
Agreement Form and shall commence as of the date hereof. Thereafter, unless Customer or Company terminates this Agreementas provided for herein, this Agreement shall automatically renew on a month-to-month basis. Noticeof termination by Customer shall be made only in writing to Company at the address shown on Customer's bill. Company reserves the right not torenew this Agreement at anytime prior tothe conclusion ofthe Service Term or any renewal term. Except for a Customer terminationin response to Company changes in accordance with Section 1 above, a $200 cancellation fee per unit will becharged to Customer for cancellation withinthe Service Term, if a one or two year Service Term is selected on the Su bscriber Agreement. If Company permits Customer to suspendService to Customer's account(s) fora temporary period, Company mayextend the term of this

Agreement by the length of the temporary suspension. If Customer changes rate plans during the Service Term of th is Agreement, or upgradesEquipment at any time, then Customer may be required to start a new Service Term of up to 24 monthsas of thedate ofthe change or upgrade andmay be subject toa transfer fee.
3.CREDIT APPLICATION- ThisAgreementshall be contingent upon Company's
approval ofCustomer's credit application. Company may require Customer to update its credit application or information from time to time. Customer warrants and represents that all information furnished on the credit application is current, complete, accurate,and true. If Company subsequently determines that an y statements madeon the credit application are false, incomplete orinaccurate, Company may declare Customer to bein default under thisAgreement and may exercise any remedies it has under this Agreement at law or in equity. Customer understands that Company will rely upon the credit information provided by Customer, including butnot limited to Customer's social security number or tax identification number, and other confidential and personal financial and credit information requested byCompany and supplied b yCustomer, in making adecision to provide Services. Customer consents to Company's requests for and verification of Customer's bank references and Company's performance of a credit history check utilizing standardcommercial credit reference services in connection with Company's review of the Customer's creditworthiness. Customeracknowledges that Company may provide payment history and other billing/charge information to a credit-reporting agency for inclusion in Customer's records maintained by such credit-reportingagency. Customer understands that a security deposit orairtime usagelimit maybe required.
4. EQUIPMENT AND INSTALLATION - If the sale is for cash only, title to the
Equipment shall be transferred to Customer upon receipt by Company of a cashier's or certified check or other equallysecure form of payment in the amount set forth on the front ofthis Agreement. Company shall not be liable to Customer for delays in delivery orunavailability of Equipment or anypart thereof or forthe cancellation of anyorders of Equipment by the manufacturer. Customer, at its option, may have the Equipment installed by Company at the rate specified on the frontof this Agreement. IfCustomer purchases the Equipment oncredit or an installmentbasis, installations,repairs, and removalof Equipment mustbe performed by a party authorized by Company. Companyshall not beliable for any damageto Customer's vehicle(s) or Equipment that may result from installation of Equipment byany personwho isnot employed by Company. Customer shall notmodify, disassemble, de-install or alter the Equipment in any manner whatsoever, except in accordance with the UserGuide accompanying the Equipment.
5. CUSTOMER RADIO EQUIPMENT - Companyis not responsible for the
installation, operation, quality of transmission, or, unless separatemaintenance arrangements havebeen made between Company and Customer, maintenance of the Equipment. Any change in Service or Equipment may require additional programming orEquipmentor changesto assigned codesor numbers whichmay require programming fees. Company reserves the right to change orremove assigned codesand/or numbers whensuch change is reasonablynecessaryin the

conductof its business. Customer does not have any proprietary interest in such codes or numbers. Although Federal and state laws may make it illegal for third parties to listen in on service,complete privacy cannot beguaranteed. Company shall not be liable toCustomer or to any third party for any eavesdropping on or interception ofcommunications from Company's System.
6. NEXTEL ONLINE SERVICES - Nextel Online Services, consisting of certain
applications suchas email, data, informationand other wireless internetservices (the "Applications ") are part of the Services that can be obtained through Company. Certain Applications offered by Company or authorized third parties may be compatible with the Equipment and/or the Service offered by Company. Customer acknowledges and agrees that there is no guarantee or assurance that the Applications are compatible, or will continue to be compatible, with Company's System or anyof its Equipment or Service offerings.Such compatibilityor approval from Company of compatibility shall not be construed as an endorsement of a particular Application ora commitment onthe part of Company thatApplication(s) will continue to be compatible with the System, Equipment or Service for any period of time. Company reserves the right, in its sole discretion, to disable or discontinue anyApplication for anyreason. Use of Nextel Online Services r equires a wirelessinternet compatible phone, andis subjectto any storage, memory orother Equipment limitation.Only certain internet sites may be accessed, and certain Nextel Online Services may not be available in all Company Service areas.
7. APPLICATION CUSTOMER CARE AND SUPPORT - Customer
acknowledges andagrees that in most cases, the developer ofan Application is responsible for providing Customer care and Application support toall Customers using the Application. In the event Customercontacts CompanyCustomer care with a problem concerning the use of an Application, Customer may bereferred to the Application developer's Customer care, andCompany shall have no obligation to support such Application.
8. CONTENT;COMMUNICATIONS WITH OTHERS; INTELLECTUAL
PROPERTY RIGHTS - Company is not a publisher of third party content that Customer may from time to time access through Nextel Online Services; therefore Company isnot responsible for thecontent provided by suchthird parties, including but not limited to statements, opinions, graphics, photos, music, services and other information ("Content"), and accessed byCustomer through Nextel Online Services. Nor is Company responsible for the actions of third parties arising from a Customer's co ntact with suchthird partiesvia Nextel OnlineServices, whethersuch contact is facilitated through Customer's own initiative or via an embedded link on the Equipment.Company gives no guaranteeor assurance as to thecurrency, accuracy, completeness or utility of Content obtained through Nextel Online Services. Company, Content providers andothers have proprietary interests in certain Content.Customer shall not, nor permit others, to reproduce, broadcast, distribute, sell,publish, commercially exploit or otherwise disseminate such Content in any manner without the prior written consent of Company, Content providers, or others with proprietary interestsin such Content, asapplicable.

9. DEPOSITS - Customer shall provide Company with a deposit towards the
purchase of the Equipment in the amountset forth on the front of this agreement. Company also has the right, exercisable in its sole discretion at any time or from time to time, to require Customer to make a deposit to guarantee payment of sums due hereunder, including Service charges. Unlessotherwise required by law, deposits may bemixed with other funds and will not earn interest. Customer hereby grants Company,as applicable, a securityinterest in such deposits,to secure the payment of all sums due hereunder as well as the performance of all otherpayment obligations Customer may h ave to the Company whethernow existing or hereafter arising. Upon termination of Service, or upon the first billing cycle after thetwelfth month of serv ice, whichever comes first, Company may apply the deposit against any outstandingService charges of Customeror any other amount owed to the Company.If Customer is terminating theAgr eement, any remaining balance will be released to the Customer at the Customer's last known address within approximately 90 days. If the Customer continues with the Agreement,any credit balanceremaining after the depositis applied will be appliedto any amounts that may becomeowing to theCompany in thefuture except that, at Customer'srequest, amounts of$50 or more will be released tothe Customer atthe latest address known to Company within 30 days of theCustomer request. In all cases, Cu stomer agrees that any r emaining balance will be r etained by Company in theevent the postal service isunable to deliver th e funds to the Customer at the latestaddress known to Company. Companyreserves the right to in terrupt Services if Serviceappears to have excessive charges, payments are delinquent, any unusual calling patterns are observed on Customer's account, or duringpublic safety emergencies. Such interruption maybe done to protect Customer or Company as the Company determines in its sole discretion, but in noevent shall the Company be liable to the Customer or to any third party by reason of interrupting or failing to cause an interruption of Service.
10. RATES, CHARGES, ANDPAYMENT - The price established for Service is
set forthin the current Company rate plan(s) selected by Customer. Company shall issue invoices for Service. Monthly Access charges shall be invoicedin advance. Airtime and lo ng distance charges shallbe invoiced in arrears. Customer is responsible to pay Company, on a timely basis, for charges for Service as set forth on thefront of this Agreement, andany modifications thereto. If Customer elects to pay using a Company-approved credit or debit card, Customer hereby authorizes Company to charge the credit or debitcards specified by Customerfrom time to time on a recurring basis for all charges incurred on theCompany Account Numbers setfo rth on Customer's invoice. Customer (i)expressly authorizes Company to charge Customer's designated credit or debit card account number(s) for all fees and charges incurred;and (ii) reauthorizes Company to charge such account number each time services areused. Customer shall promptlynotify Company of any changes to the creditor debit card or bank account used for payment. Enrollmentis for the durationof this Agreement unless cancelled earlier by either party with thirty (30) days advance written notice to the other party. Customer acknowledges that chargeable time fortelephone calls and Nextel Direct Connect call transmissions originated by a unit begin when a connection is established with Company facilities. A new Nextel Direct Connect call is initiated by a call participant if that participant responds more th an six (6) seconds afterthe other party finishes its Nextel Direct Connect transmission. Customer accepts

responsibility for Airtime charges from incoming telephone calls to its mobile unit from the time that Customer responds to the call.If Customer disputesany Service charges, Customermust pay the entireamount set forth in theinvoice by the due date and submit a writtenexplanation within forty five (45) days from the date on the invoice. Direct Connect, Group Connect, and Nationwide Direct Connect charges are calculated by multiplying the minutes of use, number of participants, and applicable rate, to be paidby the initiator. If Company determines that an error was made onCustomer's invoice, Company shall credit Customer's account in the amountof the error.If Customer does notpay theamountin dispute, Company may exercise any remedies it may have u nder this Agreement for non-payment of Service charges. Companyreservesthe rightto modifyany and all elementsof the Service charges at any time and each such modification shallbe effective immediately uponthe Company's communication thereof to Customer, unlessthe Company's communication indicates a latereffective date with respectto such modification. Payments whichare not received within thirty (30)days from the date of the invoice shall be subject to late payment charges as setforth in this Agreement. If thepar ties have agreed thatpayments are tobe made in installments, or on credit,as indicated on thefront of this Agreement,Customer shall be responsible forpaying amounts dueas agreedto in this Agreement. IfCustomer does notmake all payments when they are due,such failure shall be a default under this Agreement and Company shallbe entitled to exerciseany remedies it may have under this Agreement or at law orin equity. If the sale of the Equipment is ona credit or installment basis and theCustomer accepts delivery of the Equipment, the Customer may not return the Equipment or receive a refund of any amounts paid and agrees to continue making payments as required under this agreement until the Equipment sale price is paid in full.
11. NONPAYMENT/BREACH - A late payment charge of 1.5%(or the maximum
interest rate permitted bylaw) per month may be ap plied to Customer's account if monthly invoices are not paid by the due date. The late payment charge is applied to the total unpaid balance due and outstanding. The latepayment charge is for costs related tothe non-timely payment and shall not be deemed an interest payment. A charge of $25.00 willbe made by Companyfor anycheck or negotiableinstrument tendered by Customer and returned unpaid bya financial institution for any reason. Company may demand payment by money order, cashier's check, or similarly secure formof payment, at Company's discretion at any time or from time to time. If Company obtains theservices of a collectionor repossession agency oran attorney toassist Company in remedying Customer's breach of this Agreement, including but not limitedto the nonpayment for chargeshereunder,Customer shall be liable forthis expense. Customer understandsthat inthe eventof nonpayment of charges or any other breach of the terms and conditions of thisAgreement, in addition to any other remedies Company may have, Company may temporarily or permanently terminateService to Customer. If Service isterminated and not reconnected withinthirty (30) days, all o utstanding payments to be made in installments are accelerated and immediately due in full. If Company disconnects the Service, Customer shall be liableto satisfy and discharge all outstanding amounts due an d pay a reconnect ch arge of $25.00 per unit, in ad dition to any advance paymentof Service chargesthat maybe requested by the Company at its discretion, before the Company will reactivate Service. Company reservesthe right

to modify the terms of Service as a preconditionto reactivating Service. If the Equipment is purchased on an installment basis, or credit,the Company may take possession of the Equipment, at any time wherever the same may be without legal process and without being responsible for loss and damage.
12. RISKOF LOSS;INSURANCE -Upon Customer'sacceptance of deliveryof the
Equipment, allrisk of loss, damage, theft, or destruction to the Equipment shall be borne by the Customer. No such loss, damage, theft, or destruction of the Equipment, inwhole or part, shallimpair t he obligations of Customer hereunder, including, without limitation, responsibility for thepayment of Service Charges due hereunder.
13. PROPERTY DAMAGEINSURANCE - If Customer selects Direct Protect
insurance protection, Company will remit the monthly charge for the insurance that appears onCustomer's bill to The Signal Telecommunications Insurance Services ("Signal ") on Customer's behalf. Customer acknowledges that insurance protection is offered bythe Signal,not Company, and that any requests for information or claims regardingthe insurance shall be directed to Signal. Customer acknowledges having receiveda summaryof coverage, includingdeductible information,which is also available by calling Signal at 1-888-352-9182.
14. TAXES, FEES,SURCHARGES & ASSESSMENTS - Customer must pay all
federal, state,and local taxes, fees, surcharges, and other assessments (collectively, "Charges") thatare imposed on transactionssubject to this Agreement.Customer will be r esponsible for such charges regardless of whether the Charge is: (a) imposed upon the sale of telecommunications services, other services, equipment, and/or otherproducts; (b) measured by grossreceipts from salesmade by Company to Customer; (c) imposed upon the Customer or upon the Company; (d) imposed as a per-line or per-unit Charge. Such Charges include, but are not limited to: excise taxes; sales andtransaction taxes; gross receipts taxes,utility taxes; universal service assessments;telephone relay service (TRS) assessments; and other regulatory feesand assessments. Customer shallnot be responsible fortaxes imposed on Company's netincome. If Customer claimsan exemption from any suchCharge, Customer must provideCompanywith validand properly-executed documentation of such exemption before such exemption shall become effective. Customer must provide Company withthe Customer's Primary Placeof Use of Company's Service,as defined by Customer'sresidential street address orprimary business address.
15. COVERAGEAREA - LocalDispatch (Direct Connect),cellular calling,Nextel
Online Services, and respective coverage areas for these Services are subject to change at any time at the sole discretion of Company.

16. LIMITATION ANDCONDITION OF LIABILITY; INDEMNITY - Company
does not assume and shall have no liability under the Agreement for (i) failure to deliver the Equipment within a specified time period; (ii) availability and delays in delivery of the Equipment, or (iii) damage caused to the Equipment due directly or indirectly to causes beyond the control of Company, including, but not limited to acts of God, acts of the public enemy, acts of the government,acts or failure toact of the Customer, its agents, employees or subcontractors, fires, floods, epidemics, quarantine restrictions, corrosive substancesin the air or other hazardous environmental conditions, strikes,freight embargoes,inability to obtain materials or services, commotion,terrorism,war,unusuallysevereweatherconditionsor default of Company's subcontractors whether or not due to any such causes; (iv) the use of Nextel Online Services,including but not limited to the accuracy or utilityof any information acquired from the Internet through Nextel Online Services; or Internet Services, Content or Applicationswhetheror notsupportedby Company;or (v)any action Company takes inits sole discretion to protect Company's network, systems, and the rights or property of Company, itssubscribers, or others from"hacking," "spamming," "viruses "or other acts of third partiesthat Company believes adversely impact its network or systems. EXCEPT AS OTHERWISE SET FORTHIN THE PRECEDING SENTENCE, IN NOEVENT IS THE COMPANY LIABLE FOR ACTUAL, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR OTHER INDIRECT DAMAGES CAUSED BYITS NEGLIGENCE OR OTHERWISE, NOR FOR ECONOMIC LOSS, PERSONAL INJURIES OR PROPERTYDAMAGES SUSTAINED BY THECUSTOMER OR ANYTHIRD PARTIES. Customer agrees toindemnify, defend, and hold Company harmless from any C ustomer violations of FCC rules and regulations or Customer violation of any statutes, ordinances or laws of any local, state, or federalpublic authority.
17. COMPLETE AGREEMENT/SEVERABILITY/WAIVER - This Agreement
sets forth allof the agreements b etween the parties concerning the Service and purchase of the Equipment, and there are no oral o rwritten agreements between them otherthan as set forth inthis Agreement. Except forchanges made by Company in acco rdance with Section 1 above, no amendment or addition to this Agreement shall be binding upon Company unless it is in writing and signed by both parties (and, in the case of the Company, by an officerof the Company). Company shall not be bound by the terms and conditions in Customer'spurchase order or elsewhere, unless expressly agreed to in writing by an officer of the Company. This Agreement becomes effective when accepted by theCompany. Should any provision of this Agreement be illegal or in contravention of the law, such provision shall be considered null and void but the remainder of this Agreement shall not be affected thereby. The failure of Company atany time to require the performance by Customer of the provisions of this Agreement shall not

affect in any way the right torequire such performances atany later time norshall the waiverby Company of a breach of anyprovision hereof betaken or held to be a waiver of compliance with or breachof any other provision or a continuing waiver of such provision.
18. ASSIGNMENT/RESALE/GOVERNING LAW -This Agreement may be
freely assigned by Company to any successor of it or any other firm or entity capableof performing itsobligations hereunder, andupon anysuch assignment, Company shall be released from all o bl igations to Customer. Customermay not assign this Agreement, or resell the services which are subjectto this Agreement without prior written consent of Company. Subject to the restrictions contained herein, thisAgreement shall bind and inure to the benefit of the successors and permitted assigns of the parties hereto. This Agreement shall be governed by the laws of the Stateor Commonwealth in which this Agreement is executed by the Company.
19. NOTICE REGARDING USE OF SERVICE FOR 911 OR OTHER
EMERGENCY CALLS - (a) The Service provided hereunder does not interact with 911 andother emergencyservices inthe same m anner as landlinetelephone service. Depending on Customer's location and the circumstances and conditions of a particular call,the Service provided hereunder may not be able to identify Customer's telephonenumber and/or location toemergencyservices,and Customer may not always be connected to the appropriate emergency servicesprovider. Company is deploying wireless Enhanced 911 ("E911 ") service to help public safety authorities locate Customers and other users of theService who make 911 calls. However, E911 is not available in all areas,and even inthose areas where it is implemented, inherent limitations in this advanced wireless technology prevent it from being 100%reliable. Accordingly, Company agrees to provideCustomer with E911 servicewhere available, andCustomer acknowledges thatE911 service is not availablein all areasand isnot completelyreliable. (b)Customer hereby consents to Company's disclosure of Customer information, including but not limited to Customer name,address, telephone number, andlocation,to governmental and quasi-governmental insti tutions such as emergencyservice providers and law enforcement agencies, whereCompany deems itnecessary to respond to an exigent circumstance.
20. NO WARRANTY(SERVICE) - COMPANY MAKES NO WARRANTIES,

thoseInternet and dataServicesofferedin conjunctionwith aServiceplanusing the suffix "Gold"; e.g., Packetsream Gold.Company may charge an activation fee for each IP address for these services.These services may beused only with mobile clients for Internet/intranet access andInternet e-mailvia a standard HTML browser (e.g., Netscape® Navigator or C omm unicator, Microsoft ® Int ernet Explorer, etc.) It may also be used with software for proxy applications, for dispatch applications, for POP3 em a il access, and for otheruse specifically approved by Nextel. These Internet and data Services may not besubstituted for a private line or frame relay connection,or be usedfor streamingdata feeds. Companyreserves the right to deny service, without notice,to any Customerwhose usageadversely impactsCompany's network, systemsor other subscribers' use of Services.
23. NETWORK SECURITY, INTEGRITY, AND OPTIMIZATION - Company
may take any and all action it deems necessary or reasonable to(i) protect its networkand systems, orthe rightsof Company, Company's subscribers or others; (ii) optimize or improve its network or systems; or (iii) improve its products and services. Such action may include, without limitation, employing methods, technologies, or procedures to filter or block messages sent through Company's network orsystems. Accordingly, Company may,in its sole and absolute discretion, at any time, filter "spam ", without regard to any Customer preference solicited by Company or exercised by Customer. Company shallnot beliable toCustomeror to any third partyfor blocking messages sentthrough Company's network or systems.

24. CUSTOMER INFORMATION - Company may in its sole discretion access,
use,and disclose to third parties, anyinformation(whether personallyidentifying information, or "Customerproprietary network information," within themeaning of 47 U.S.C.§ 222 and itsimplementing regulations) it collects, possesses or develops aboutCustomer (i) to provide any product or servicethat Customer purchases, or accesses through or u ses on the Equipment; (ii) to conductmar keting activities in accordance with applicable law,and Company'sprivacy policy,as describedbelow; (iii) to provision a number portability request, either through Company or a new service provider; (iv)to complywith thelaw; or (v) to respond to emergencies. Customer acknowledges that (i) Companyposts a privacypolicy on its website that explains its policies with respect to the collection, access, use, and disclosure of personal Customerinformation; (ii) Company may revise such policy at any time; and (iii) the most recent version of such policy shall at any time serve as the effective privacy policy, regardless of the dateon which Customer entered into this Agreement.
25. COMMERCIAL LOCATIONBASED SERVICES- If Customer purchases any
commercial location based service for usethrough Company's network or Equipment, Customer shall clearly, conspicuously, and regularly notify all its users that locationinformation (i.e.,the geographic coordinates ofthe Equipment) may be accessed, used,or disclosed to providethe location based service and that, as a result, Customer or someone other thant he user of the Equipment may be able to identify the geographic coordinates of the Equipment. Your wireless phone is a radio transmitter and receiver. It is designed and manufactured not to exceed the emission limits for exposure to radiofrequency (RF) energy set by the Federal Communications Commission of the U.S. Government. These limits are part of comprehensive guidelines and establish permitted levels of RF energyfor the general population.The guidelines arebased on standards thatwere developed by independent scientific organizations through periodic and thorough evaluation of scientific studies. The standards include a substantial safety margin designed to assure the safety ofall persons, regardless of age and health.
The exposure standard for wireless mobile phones employs a unit of measurement known as the Specific Absorption Rate, or SAR. The SAR limit set by the FCC is

Tests for SAR are conducted using standard operating positions reviewed by theFCC with the phone transmittingat its highest certified power levelin all tested frequency bands. Although the SAR is determined at the highest certified power level, the actual SAR level of the phone while operating can be well below the maximum value. This is because the phone is designed to operate at multiple power levels soas to use only the power required to reach the network. Before a phone model is available for sale to the public, it must be tested and certified to the FCC that is does not exceed the limit established by the government-adopted requirement for safe exposure. Persons with pacemakers should:

Use of Non-Motorola Products andAccessories. Defects or damage that result from the use of Non-Motorola branded or certified Products, Accessories, Software or otherperipheral equipmentare excluded from coverage.
Unauthorized Service or Modification. Defects or damages resulting from service, testing, adjustment, installation, maintenance, alteration, including without limitation, software changes, or modification in any way by someone other than Motorola, or its authorized service centers, are excluded from coverage.
AlteredProducts. Products or Accessories with (a) serial numbers or date tags that have been removed, altered or obliterated; (b) broken seals or that show evidence of tampering; (c) mismatched board serial numbers; or (d) nonconforming or non-Motorola housings, antennas, or parts, areexcluded from coverage.
Communication Services. Defects, damages,or the failure of Products, Accessories or Software due to any communication serviceor signal you may subscribe to or use with the Products, Accessories or Software is excludedfrom coverage.
SoftwareEmbodied in PhysicalMedia. No warranty is made that the software will meet your requirements or will work in combination with any hardwareor software applicationsprovided by third parties, that the operation of the software products will be uninterrupted or error free, or that all defects in the software products will be corrected.

When drivinga car, driving is your first responsibility. If you find it necessary to use your wireless phone while behind the wheel of a car, practice good commonsense and remember the following tips:
